THIRD ADDENDUM TO PURCHASE
AND SALE AGREEMENT
THIS THIRD ADDENDUM TO THE Purchase and Sale Agreement is executed this

day of September, 2023, by and between Grant County, Washington, a Washington

county under Chapter 36.01 RCW ("Purchaser") and Karl K. Northrup, as his separate estate
("Seller").
RECITALS
WHEREAS, Seller and Purchaser executed a Purchase and Sale Agreement dated July 1 1
2023, a copy of which is attached hereto as Exhibit "A" for the purchase and sale of that certain
real property described therein (the "Purchase and Sale Agreement"); and
WHEREAS, the Purchase and Sale Agreement provided for a closing date of August 31
2023; and
WHEREAS, on August 31, 2023, Purchaser and Seller executed an Addendum, to
Purchase and Sale Agreement extending the closing date to September 8, 2023; and
WHEREAS, on September 7, 2023, Purchaser and Seller executed a Second Addendum
to Purchase and Sale Agreement extending the closing date to September 22, 2023; and
WHEREAS, Purchase and Seller require that the closing date be extended to enable them
to complete all tasks necessary for closing, NOW THEREFORE,
WITNESSETH:
The Seller and Purchaser agree to amend, revise and supplement the Purchase and Sale
Agreement as follows:
1. Revision to Paragraph 1.11 — Closing Date: Paragraph 1.11 of the Purchase and
Sale Agreement is revised and amended to read as follows:
October 23, 2023, the scheduled date for Purchaser and Seller to: (a) deposit
with Closing Agent all fiends required by this Agreement; (b) execute all
instruments, and documents necessary to close the conveyance of the
Property on the terms and conditions set forth in this Agreement, and (c)
certify that all contingencies and conditions precedent to Closing have been
fully satisfied or waived.
2. Conflict. Except as expressly modified in this Third Addendum to Purchase and
Sale Agreement, the terms, covenants, and conditions of the Purchase and Sale Agreement shall

continue in full force and effect. In the event of any conflict between the terms of the Purchase
and Sale Agreement and this Third Addendum to Purchase and Sale Agreement, the terms,
covenants, and conditions of this Third Addendum to Purchase and Sale Agreement shall be
controlling.
IN WITNESS WHEREOF, the parties hereto have set their hands the day and year first
above written.
