The networking and Audio / Visual (AV) work being done throughout the County including all of our
hearing rooms, meeting rooms, courtrooms, and Grant Integrated Services requirements is very expansive.
As we have gone through the work of figuring out how to pay for this, we also needed to find a way to
contract for the work in such a way as to distinguish between the different facets of the project.
This request is combined with three Contracts with Ednetics that require signature FRI the Board to
begin this work. The total amount of the project is $1,202,538.04 with the Counties portion being $35,000
from our capital budget, $612,010.04 being funded from the CARES ACT, and $555,528.00 funded
through a grant from the Administration of the Courts. You will find an accounting below.

This Notice to Proceed acts as Customer's Contract activation and receipt of Customer's firm approval to
proceed with any service delivery activities, and will be considered as such upon execution by Customer's

Upon receipt of the signed Contract and signed Notice to Proceed, Ednetics will begin the work necessary
to deliver your services.
Customer further understands and agrees any one-time installation charges, and all charges as defined
within the Contract(s), are Customer's firm contractual obligation for the duration of the Contract(s). If
Customer cancels this Notice to Proceed, termination fees may apply, as referenced in the Terms and
Conditions of the Contract.

ATTACHMENT E I EDNETICS SERVICE ORDER
These Service Order Terms and Conditions are in addition to the Terms and Conditions included in the
Master Agreement and associated Ednetics Managed Service Product Attachment(s) and are incorporated
herein by reference. In the event there is a conflict between these Service Order Terms and Conditions and
the Agreement and/or the Product Attachment, the Terms and Conditions in this Service Order will take
precedence.
1. Pricing. Pricing included within the Service Order will take precedence over any previous pricing. If the
underlying Managed Service contract related to this Service Order is canceled, expires, or is not
renewed or replaced at the end of its term, Customer understands Early Termination fees will apply as
described in Section 4.
2. Invoicing. Service Orders will be invoiced at one hundred percent (100%) upfront (One Time Payment).
The invoice will be generated upon delivery of the equipment and installation of the equipment, as
listed within the Service Order Detail.
3. Term. The Term of the Service Order begins upon the completion date of Equipment delivery and
implementation. Ednetics will work to deliver the Service no sooner than the Requested Start Date
identified on the Customer's completed Notice to Proceed (NTP).
4. Early Termination. Early termination, with or without cause, will result in Early Termination Fees equal
to one hundred percent (100%) of the remaining value of the Service Order. Customer must provide
written notice of their intent to terminate this Agreement at least thirty (30) days prior to the requested
termination date.
5. Firm Obligation. Customer understands and agrees any charges resulting from this Service Order are
Customer's firm contractual obligation for the duration of this contract. Cancelation of this Service
Order may result in Early Termination charges as described in Section 4.
6. Manufacturer Warranty. Manufacturer Warranty of items included under this Service Order are not
provided unless specifically stated in the Service Order Detail. Customer may choose to obtain
manufacturer equipment warranties at an additional cost.
7. Equipment Damage. Customer shall be responsible for any and all damages to, including the repair or
replacement of, any Equipment provisioned within this Service Order whether caused directly or
indirectly by Customer's end-users, acts of vandalism, or force majeure event as set forth in Section 22
of the underlying Master Agreement.
8. Equipment Location. If necessary, Ednetics reserves the right to relocate any equipment in this
Service Order for the purpose of fulfillment of the associated Ednetics Managed Service Agreement.
9. Equipment Replacement. If necessary, Ednetics reserves the right to replace any equipment in this
Service Order with equal or better equipment for the purpose of fulfillment of the associated Ednetics
Managed Service Agreement.
