HomeMy WebLinkAboutAgreements/Contracts - BOCCh 19-0—, NEGOTIATED SETTLEMENTAGREEMENT This Negotiated Settlement Agreement ("Agreement') is entered into by and between Dennis Love, dba Covington Meadows, a sole proprietorship doing business in the State of Washington ("Owner"), and Grant County, Washington, a third-class county, duly organized and operating under and by virtue of the Constitution and the laws of the State of Washington, by and through the Grant County Development Services Department ("County"). 1. RECITALS WHEREAS, the Owner's property located at 9326 Neppel Road NE, Moses Lake, WA and legally described as Lot 5 Bayview Heights II (APN: 12-1695-000) is currently operating as a marijuana production facility in the Rural Residential 1 zoning district, duly licensed by the Washington State Liquor and Cannabis Board. Development of the site includes a single-family residence with associated out -buildings, a pole -frame building which is utilized in the marijuana production business, and two fenced or partially fenced outdoor marijuana grow areas known as Suite A and Suite B; and WHEREAS, on March 7, 2017, the Grant County Board of County Commissioners ("BOCC") passed Ordinance 17 -026 -CC ("Ord. 17 -026 -CC") which adopted official zoning controls that regulate marijuana production, processing, and retail sales on all unincorporated properties in Grant County; and WHEREAS, at the time the Owner established its marijuana production facility, Ord. 17- 026 -CC was not in effect. Upon passage of Ord. 17 -026 -CC, all new marijuana uses in the Rural Residential 1 zoning district were prohibited, and those that were legally existing at that time, including the Owners operation, were rendered pre-existing, nonconforrring uses; and WHEREAS, the Owner was issued a building permit (permit number 15-067) on February 23, 2015 for the post -frame structure used in the marijuana production business at the site. The Owner had one inspection for post holes/setbacks on February 26, 2015 but no other i nspecti ons of the bui I di ng; and WHEREAS, the Owner has continuously used the post -frame building since it completion in 2015 (date uncertain) for marijuana production, and other ancillary uses related to the marijuana production business on the site; and WHEREAS, the Owner established the Suite A outdoor growing area concurrently to the construction of the post -frame building and established a marijuana crop within this boundary; and WHEREAS, the Owner has continuously maintained an outdoor grow within Suite A from 2015 through the executed date of this agreement; and N:Adrrinistration/Dhooper/Planning DivisiorVSettlemere Agree nts-1 1410281 06/11/2019 08:44 AM AG P. 2 f 6 R 104.00 Grant Co, WA GR6NT COUNTY PLANNING I IIII I I I I II II I I I I III IIII I I III! 11111111111111 X111 IIIA VIII 1111111 III VIII VIII IIII IN WHEREAS, Suite B has not been utilized for an outdoor marijuana production due to a lack of completion of certain required improvements that are conditions precedent to establishing a marijuana grow in this area; and WHEREAS, the County has identified potential issues concerning the vested status of the Owner's pre-existing, nonconforming use and structure(s) due to the Owner's nonfulfillment of certain provisions set out in building permits) issued to the Owner; and WHEREAS, the Owner disputes the County's claims regarding the nonfulfillment of certain provisions set out in the building permits issued to the Owner, alleging hired contractors did not follow through on those requirements unbeknownst to the Owner; and WHEREAS, the Owner has applied for all other permits for subsequent structures (whether built or not) and demonstrates a good faith effort to secure necessary permits in advance of construction; and WHEREAS, it is the desire and intent of the Owner to initiate and enter into a Settlement Agreement as allowable by applicable law and statute; and WHEREAS, the Owner understands, acknowledges and agrees that the BOCC has sole discretion to approve or reject any Settlement Agreement or portions of such agreement; and WHEREAS, the Owner and Grant County desire to resolve, fully and finally, all claims, disputes and/or obligations, whether known or unknown, which could have arisen or otherwise been alleged by Grant County prior to the date hereof regarding the Owner's compliance with provisions set out in Grant County Code; and WHEREAS, the Owner and Grant County expressly deny any and all liability for the claims or disputes being resolved, settled and released, and neither this Agreement or any document or instrument companion hereto shall operate as an admission of liability on the part of the Owner and Grant County; and WHEREAS, Grant County shall be entitled to record a copy of this Agreement with the Grant County Auditor's Office; and WHEREAS, these Recitals are contractually binding and shall be construed as terms of this Agreement. ll. AGREEMENTS Based on the foregoing recitals, and the mutual covenants and undertakings herein, the parties to this Agreement hereby agree as follows: A. Obligations of Grant County. In consideration of the Owner entering into this agreement, Grant County agrees to release and discharge the Owner from any and all claims, N:Adrrinistration/Dhooper/Planning Division/Settlement Agreements - 2 1410281 06/11/2019 08:44 AM AG Page 3 of 6 R 104.00 Grant Co, WA We COUNTY PLANNING liabilities and obligations concerning the expiration of building Permit 15-067 (application number 20143699). B. Obligations of Owner. In consideration of Grant County entering into the agreement, the owner hereby releases and fully discharges Grant County, its agents, lawyers, servants and employees from any and all manner of claims, demands, liabilities, obligations, damages, causes of action and suits, whether known or unknown, whether suspected or unsuspected, which Owner, their predecessors, successors, heirs, controlled corporations, or assigns has or may have against Grant County concerning the expiration of building permit 15- 067. The Owner agrees to prepare and submit to the County a full and complete building perrrit application seeking the approval of a "finish permit" for the post -frame structure originally approved by Building Permit 15-067. The Owner agrees to abandon any use of the area identified as Suite B immediately upon mutual execution of this Agreement. Abandonment includes removal of any improvements (excluding irrigation systems) in this area that may be present. All abatement/removal work for Suite B must be completed within 6 -months of the date of mutual acceptance (signing) of this Agreement. The Owner shall call Development Services and seek an inspection from the Director, or his designee, to conduct a site visit to verify the removal of said improvements. The Owner agrees to cease and desist all marijuana related business activities at the subject site (inclusive of Suite A and the related activities conducted within the post -frame structure) not later than the conclusion of the 2022 growing season, but, in any event, no later than December 31, 2022 Any and all fencing related to Suite A will be removed within 6 -months of the cessation of marijuana production activities. The Owner shall contact Development Services and seek an inspection from the Director, or his designee, to conduct a site visit to verify the removal of said improvements. The Owner agrees that no additional marijuana related activities will be permissible at the site from the date of mutual execution of this agreement in perpetuity, barring any changes in local regulations that would make such uses lawfully permissible. C. Obligations of All Parties. In the event the BOCC rejects this Agreement, the Director of the Grant County Development Services Department ("Director") and the Owner shall meet and confer, in good faith, for the purpose of drafting a subsequent agreement. The Director shall have sole discretion to determine whether such subsequent agreement should be considered by the BOCC. If, after exhaustive good faith efforts for a period not to exceed ninety (90) days, the Director and the Owner fail to produce an Agreement for presentation to the BOCC, the parties understand, agree and acknowledge that this Agreement and any companion documents or instruments shall be void and without legal force or effect. Any pursuit of compliance after that time shall be through normal code enforcement actions. Indemnification. Each party hereto, in consideration of the undertakings herein, agrees to hold the other, and their respective agents and employees, free and harmless from any and al I cl ai ms, i ncl udi ng thi rd -party cl ai ms, and i ncl udi ng al I costs and attorneys' fees i ncurred i n the defense of such claims, arising out of or companion to this Agreement. F. Disputes. If a dispute arises from or relates to this Agreement or the breach thereof, and if the dispute cannot be resolved through direct discussions performed in good faith, the parties agree to endeavor first to settle the dispute in an arnicable manner through mediation. The mediator may be selected by agreement of the parties. All fees and expenses for mediation shall be borne by the parties equally. However, each party shall bear the expense of its own counsel, experts, witnesses, and preparation and/or presentation of evidence. Provided: in the event that no agreement is reached, neither party shall be prohibited from seeking legal remedies post -mediation that the party would have had but for this Agreement. G. Jurisdiction -Venue. This Agreement and any dispute relating thereto shall be construed under Washington law, and is subject to the exclusive jurisdiction and venue of Grant County Superior Court of the State of Washington. Recitals shall be construed as terms of this Agreement. If any portion of this Agreement is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect. In case of any dispute the prevailing party shall be entitled to an award of costs and attorney's fees as costs. H. Binding Effect. This Agreement is binding upon and shall inure to the benefit of the parties hereto and their respective heirs, legatees, representatives, successors, transferees and assigns. I. Entire Understanding This Agreement constitutes the entire and integrated Agreement of the parties and may not be modified except in writing signed by all parties. J. Ca ions. The captions and headings used herein are inserted only as a matter of convenience and are not to be used in the interpretation of any provision of thisAgreement. K. Draftsmanship. The fact that one of the parties may have drafted or structured any provision in this Agreement shall not be considered in construing the particular provision either in favor of, or against, such party. L. Counterparts. This Agreement may be executed in several counterparts, each of which will be an original, and all of which will constitute one and the same instrument. M. Voluntary Signature. It is understood and agreed that this Agreement has been executed knowingly and voluntarily and that each party to this Agreement has had full opportunity for review by legal counsel prior to signing the Agreement. This Agreement contains all material terms and conditions of the parties' agreement, and the terms of this Agreement are contractual and not merely a recital.
