MEMORANDUM OF UNDERSTANDING
BETWEEN GRANT COUNTY AND
AND THE CITY OF EPHRATA.
I. PARTIES
This MEMORANDUM OF UNDERSTANDING ("MOU") is entered into by and between
GRANT COUNTY, duly organized and operating under and by virtue of the Constitution and the
laws of the State of Washington, ("County"), and The City of EPHRATA, WA, duly organized
and operating under and by virtue of the Constitution and the laws of the State of Washington,
("City")
II. PURPOSE
This MOU defines the scope, roles and responsibilities of the County concerning the
temporary use of the Ephrata City Council room should the Grant County Commissioner's public
meeting facility become unusable.
III. RESPONSIBILITIES
It is the desire of the County and the City to reach an understanding which will result in
making certain facilities and equipment of the City available to the County in case of disaster
which renders County facilities unusable.
A. Responsibilities of Grant County:
1. Grant County shall inform the City as soon as possible of the need to use the facility.
The parties understand that given this agreement may be used on an emergency basis, limited
notice may be the only notice possible.
2. The County shall coordinate scheduling with a named City representative to
deconflict use of the facility.
B. Responsibility of City of Ephrata:
The City shall provide facilities, including use of meeting equipment, on the same
terms as those facilities and equipment are used by the City.
2. The City shall coordinate with the County's designee to deconflict scheduling of
the facility.
IV. INDEMNIFICATION
All MEMBERS to this Agreement shall be responsible for its own wrongful and negligent acts or
omissions, or those of its officers; agents, or employees to the fullest extent required by law, and

shall indemnify, defend and hold the other parties to the Agreement harmless form any such
liability.
V. SEVERABILITY
In the event any portion of this Memorandum of Understanding is determined to be void or
unenforceable, such provision shall be severable and will not affect the validity of the remaining
portion of this Memorandum of Understanding.
VI. TERM OF MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding will remain in force from the time of signature until a written
request is made by with County or the City to terminate or modify the understanding.
This Memorandum shall be reviewed every three years in accordance with County policies and
procedures.
VII. AMENDMENTS TO MEMORANDUM OF UNDERSTANDING
Either Entity may require changes in the scope of service. Any mutually agreed upon changes shall
be effective when incorporated as a written amendment to this Memorandum of Understanding.
VIII. TERMINATION OF MEMORANDUM OF UNDERSTANDING
Either Entity may terminate this Memorandum of Understanding upon ninety days prior written
notice.
