HomeMy WebLinkAboutAgreements/Contracts - Public Works (002)K19-057 Adams County and Grant County INTERLOCAL AGREEMENT For the ODESSA — COUNTY ROAD BRIDGE REPLACEMENT PLANNING PROJECT This agreement made and entered into on this a r"t Z9 zo(q by and between Adams County and Grant County, both politicaf subdivisions of Washington; in the interest of better administration and more effective measures as applies to the Odessa - County Road Bridge Replacement Planning Project: WITNESSETH: History The United States Bureau of Reclamation (USBR) and East Columbia Basin Irrigation District (ECBID) have begun an expansion of the East Low Irrigation Canal which has brought forth the need to widen bridges located within both Adams and Grant County. Funding was requested from the Legislators on behalf of Adams and Grant County in the 2018 Supplemental Transportation Budget. The request was to assist Adams and Grant County in preparing planning, design elements, and cost estimates for up to three prototype bridges for the replacements required for completing the East Low Canal Project as part of the Odessa Ground Water Replacement Program. Adams County was notified on March 28, 2018 that $100,000 had been awarded for the Odessa — County Road Bridge Replacement Planning Project. The Adams County Engineer informed the Grant County Engineer of the funding which provides for cost estimates on up to three prototype bridge replacements. With there being 8 structures in Adams County and 2 in Grant County it was mutually determined that Adams County Engineer would take the lead in administrating the project. The project will involve securing a consultant to perform the planning, design elements, and cost estimates for up to three prototype bridges for county road bridge replacements. Adams County will coordinate with Grant County on all aspects of the project. Page 1 of 4 NOW THEREFORE IN CONSIDERATION OF THE MUTUAL COVENANTS HEREINAFTER SET FORTH, ADAMS COUNTY AND GRANT COUNTY AGREE AS FOLLOWS: Assignment Adams County shall provide all administration for the Odessa — County Road Bridge Replacement Planning Project. Adams County shall have the authority to enter into any necessary agreements to utilize the available funding. Coordination Grant County hereby agrees to make available their County Engineer and/or designee to participate in any necessary planning, design, and consultant contract decisions to utilize this project funding. Expense Adams County hereby agrees to reimburse Grant County for their cost to participate in the planning, design, and consultant contract decisions for Odessa — County Road Bridge Replacement Planning Project. The cost shall be based on the actual cost of labor (including fringe), and equipment used on the project. Any request for reimbursement shall be submitted at a minimum quarterly and any final request shall be submitted 60 day prior to the closure of this project. Indemnification Adams County and Grant County each agree to indemnify one another to the extent of the indemnitor's negligence as permitted in RCW 4.24.115. Assignment This Agreement may not be assigned in whole or in part by either party, without prior written approval of the other party. Dispute Resolution Adams County and Grant County agree that any dispute arising out of this agreement shall first be attempted to be settled through negotiations by appointed representatives of the parties involved. Each party shall appoint a representative to a dispute panel. Those representatives shall mutually agree on a third person to chair the panel. The dispute panel shall thereafter decide the dispute with the majority prevailing. No party shall have recourse to the courts unless and attempt has been made to settle the dispute under the mechanism set forth herein. Notice Any notice required to be given by either party to the other shall be deposited in the United States mail, postage prepaid, addressed to the County at the Adams County Engineer's Office, 210 W. Alder, Ritzville, Washington 99169, or to Grant County Public Works Director at 124 Enterprise Street SE, Ephrata, Washington 98823. Termination Each County can terminate this agreement at will and without cause by giving a ninety (90) day written notice of intent to the other County.
