Re: SIP #2019-12, Port of Coulee City, $169,000 Grant
On October 30, 2019 the Grant County SIP Advisory Committee recommended a $169,000.00 grant to Port
of Coulee City, Project: Coulee City Medical Clinic.
On November 18, 2019, the BOCC approved the grant recommendation with a note to "hold for more
information, contingent on letter of support." Resolution No. 19 -093 -CC was signed approving the grant
with no reference to a contingency.
On November 18, 2019, an Award Letter was sent from Grant County to Port of Coulee City with the
following: "Note: This award is contingent upon the County receiving a letter of support from the Soap Lake
Hospital District."
On November 10, 2020, Grant County received a letter from Grant County Port District #4 (Port of Coulee
City) regarding the stipulation of a letter of support from Grant County Hospital District #4 (McKay
Healthcare) and provided a copy of a letter they received from McKay dated March 19, 2020.
On January 12, 2021, Commissioner Danny Stone spoke with Cliff Sears, legal counsel for McKay
Healthcare. Per Commissioner Stone, Mr. Sears indicated BOCC should release the funds to Coulee City
Port District and further indicated McKay wants to open discussions with Coulee City Medical Center about
possible cooperation on the clinic at some level.
Commissioner Stone is requesting the BOCC approve the redrafting of the Award Letter without the
stipulation of a letter of support from Grant County Hospital District #4 (McKay Healthcare) and amend the
completion date to January 19, 2022.

Advisory Committee — Project Review/Recommendations
Dear Commissioners:
The SIP Committee met Friday, October 25th and reviewed 3 project applications. The Port of Mattawa
submitted an application but then rescinded it before the committee met. Committee members
presentforthe meeting were (newly assigned) Corinne Isaak, Tony Massa, Curt Morris, Wes Crago,
Cathy Potter, Scott Hunterand Brant Mayo. No members absent.
SIP #2019-9: (rescinded)
Applicant: Port of Mattawa
SIP #2019-10: Waterline Extension East to Eldorado Stone (Torklift) (requested a $196,500 grant)
Applicant: Port of Royal Slope
Recommendation: The committee voted to recommend a $133,000 grant and a $40,000 for the Portof
Royal Slope regarding theirneedfora waterline extension. Thesefundswould help attract 90
immediate jobs and 178 within 5 years. The Port of Royal Slope received fundingfrom CERB, $84,000
grant and a 10 -year loan for $252,000. This places an annual $26,680 payment forthe Port. The
committee was looking to help reduce the burden o n the Port. This is a great projectto possibly replace
jobs left by Eldorado Stones exit.
SIP #2019-11: Infrastructure support for public hospital (requested $250,000 grant)
Applicant: Grant County Public Hospital Dist. No. 1 (Samaritan Healthcare)
Recommendation: The committee voted to recommend a $100,000 grant for Grant Co. Public Hospital
Dist. #1. Samaritan. The committee feels this is an extremely important projectto bring addition
healthcare services to the area. This will limit Grant County residences havingto travel outside our area
for healthcare. The committee would have agreed to the full grant amount but we considered other ------

current applications and funds available. This project will create an additional 55 well-payingjobs in the
near future and 25 more in the years to come.
SIP #2019-12: Coulee City Medical Clinic (requested $169,000 grant)
Applicant: Port of Coulee City
Recommendation: The committee voted to recommend a $169,000 grant for Port of Coulee City. The
committee feels this is an extremely important project to bring addition and upgraded healthcare
services to the area. This projectwill help strengthen the Coulee City area by retaining and creating over
20 jobs. The committee is very excited about this project and its impact.
In summary the committee recommends the following funding:
#2019-10: Portof Royal Slope: Recommend $133,000 grant
#2019-11: Grant Co. Public Hospital Dist. #1: Recommend $100,000 grant
#2019-12: Portof Coulee City: Recommend $169,000 grant
These recommendations were given a motion by Wes Crago and seconded by Scott Hunter. Cathy Potter
abstained. The remaining committee voted in favorof recommendations 6-0.
The funding of these 3 impactful applications caused the committee to dip into our reserve. We
recommended using approximately $36,000 of our normal $100,000 reserve. This reserve will be met
with this month's depositfrom the state. The committee will not be making a habit of using the
reserved, we felt the importance of these projects justified this.

The SIP Advisory Committee met on Friday, October 25, 2019 to review and make
recommendations on the above -referenced projects. The Committee's
recommendations were provided to the BOCC via email on October 30, 2019 and a
copy of the Committee's letter is attached to this Memo. These projects are set for
BOCC action on November 5, 2019:

Dear Mr. Liening,
The Board of County Commissioners reviewed the SIP Advisory Committee's
recommendation of 10/30/2019, and has considered its recommendation for Strategic
Infrastructure Program funding for the Port of Coulee City's above referenced project. The
BOCC has determined to award funding of the project with SIP funds as follows: A Grant
in the amount of $169,000.00. You were provided with a copy of the BOCC's approval
(Attachment 1) of the SIP Advisory Committee's recommendation as well as Resolution
No. 19 -093 -CC (Attachment 2) via email on 11/18/2019.
Please be advised that the following enclosures require action at different phases of the
project:
(1) Attachment 3: Grant County Strategic Infrastructure Program — Awards Terms
And Conditions Acceptance (Acceptance Form). This form is to be
completed now and returned to our office to the attention of the
undersigned; the award will not be considered valid until receipt of the
completed Acceptance Form; and
(2) Attachment 4: Grant County Strategic Infrastructure Program — Project
Certification (Certification Form). The Certification Form must be accompanied
by an invoice for project reimbursement and is required in order to secure this
award. The project is to be completed, and certification received, within one
year of the Board's passage of the resolution, which occurred on 11/18/2019,
(sent via email on 11/18/2019). Please note that the project award
automatically expires one year from the passage of the resolution, or
November 18, 2020.

NOTE: This award is contingent upon the County receiving a letter of support from
the Soap Lake Hospital District.

I am responding to your letter dated October 12, 2020 regarding the need for a signed Award
Terms and Conditions Acceptance form from us on the above -referenced SIP project.
I have attached several documents that apply to this project and I need clarification from the
County Commissioners on exactly where we stand before we proceed with the Terms and
Conditions Acceptance form. When we were awarded this grant in November, 2019, there was
no mention of having to obtain consent from McKay Healthcare before we could accept this
grant. It was only mentioned later, when we received the award letter, that we were made
aware of this condition.
It is concerning to us, not only that we had to obtain permission to proceed from McKay, but
that we were expected to answer to their demands in the attached letter dated March 19,
2020. The demands that they are making do not apply to us as the owner of the property. We
are simply building a new clinic to replace the existing one that has been in the Town of Coulee
City for several years. We cannot answer for Coulee Medical Center nor can we answer for the
Town of Coulee City.
We find the condition conflicting with a previous grant that we had received from the County in
2016 for the exact same project. That grant was awarded with no stipulations attached to it, by
either the County Commissioners or McKay Healthcare. We can only wonder why there is this
condition placed on the above referenced award.

Before we move forward with signing this Acceptance form, we would like to either have this
condition clarified by the County Commissioners or removed completely so we can continue
with this project and finish the financing to actually complete the building. This is not a new
idea or a new tenant. This relationship between Coulee Medical Center and the Port District
has been established for many years and all we are trying to do is build a new building that
better serves the community and surrounding area. One that is safer for staff and patients so
that quality healthcare can continue as it has in the past.
I have attached a copy of the minutes from the Commissioners meeting on November 4, 2019,
a copy of the letter from McKay Healthcare outlining their demands and a copy of the award
letter from the County Commissioners.
We hope to resolve this as soon as possible. Please feel free to contact us if any further
information is needed or if we would be asked to come in for a meeting with the
Commissioners to get this resolved.

Re: McKay's consent to funding constriction and operation of the new Coulee City Clinic
Dear Mr Liening, Ms. Maes and Ms. Hicks:
Thank you for reaching out to us requesting our consent to the constriction and operation of a
larger clinic in Coulee City to meet the healthcare needs of the community. We hoped to be able
to express our full support sooner and believe that we will do so but first we want to make sure
we fully consider the interests of all of the parties. In this regard, we would like to schedule a
meeting with you in the next two weeks to talk through the following issues to be included in a
letter agreement or some other document that expresses our mutual support for the new clinic:
1. We foster good working relationships with each other in providing healthcare to our
conununities.
2. We should understand the role of the board that oversees the clinic and who may participate
on the board.
3. All of the parties, but particularly McKay and Coulee Medical Center (CMC), agree to work
collaboratively on issues of mutual benefit. Examples may include:
a. CMC physician and non -physician providers be given expedited approval for privileges
at McKay.
b. CMC physician and non -physician providers may serve as a temporary medical director
for McKay in the absence of McKay's medical director.
c. When space is available, McKay will be given an opportunity to provide services in the
clinic to the Coulee City community.
d. We develop employment opportunities for students and scholarships for firture nurses.
e. Each party may make information about the services they provide and employment
opportunities available at the clinic and online at no charge.
4. Retain existing taxing district boundaries for PHD 4 and 6.

5. The clinic won't offer a competing healthcare service with services offered by PHD No. 4
now or in the future.
6. We should understand the existing building size and scope of services and how fixture
changes might be discussed and agreed upon.
7. We anticipate that our consent to construction will be permanent. We would like to revisit
clinic operations periodically and at other times by mutual agreement.
Please give me or Erica a call or send us an email with your available times to meet, perhaps in
Coulee City, within the next 2 weeks. Let me know if you have other issues that you want to
discuss as well. Our contact infonnation appears below.
