HomeMy WebLinkAboutAgreements/Contracts - Central ServicesK21-130 THIS CONTRACT ("Contract"), entered into by and between GRANT COUNTY, duly organized and operating under and by virtue of the Constitution and the laws of the State of Washington, ("County"), and DelSol Inc, a Corporation duly formed and doing business in the State of Washington ("Contractor"). In consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: Work of Contract/Scope of Work. The requirements of this Contract, are as follows. Scope: The contractor shall perform all tasks and furnish all tools, materials, equipment, and labor to complete the tasks according to the cleaning standards in Appendix B, periodic schedule of tasks In Appendix C at the sites Identified in Appendix A. Appendix D contains agreed upon pricing for services outside of the normal scope of the periodic tasks Identified in Appendix C. Tasks in Appendix D need to be requested by Email or work order and will be billed in addition to the costs detailed in Appendix A. The term "work" shall mean all work individually and/or collectively performed by the Contractor during the project. 1. Project Sites. The work shall be accomplished at the sites identified in Appendix A. Billing for the work for the site will be sent to the responsible Grant County Entity. These Grant County Entities are listed below with billing addresses and monthly cost. Grant County Courthouse ($28230.74) Atm: Facilities and Maintenance PO Box 37/35 C St NW Ephrata, Wa. 98823 • Grant County Public Works, ($7083.83) Atm: Director of Public Works 124 Enterprise St SE Ephrata, Wa 98823 Grant Integrated Services ($12805.61) Atm: Veronica Perez 840 E Plum St Moses Lake, Wa 98837 2 Duration of Contract: Contract will be active upon the Grant County Board of Commissioner's and Del Sol's signing of this contract and will expire January 31, 2024. 3. Contract Sum and Terms. The agreed Contract sum, except for provisions set forth below in Paragraph 14, and with payment of such Contract Sum subject to provisions set forth below in 2021 DelSol Contract Renewal — Page I Paragraphs 9 and 12, and/or any other provision contained within the Contract which may affect such Contract Sum to be paid to Contractor, is as follows: The A n n u a 1 Contract sum shall be $577,442.22 including all applicable taxes any additional costs resulting from jurisdictional requirements maintained by an additional authority; permit costs as needed, and, all materials and/or labor to complete the scope of work described herein is the responsibility of the Contractor. 4. Performance and Payment Bonds: NA 5. Retainage: NA 6. Indemnity and Hold Harmless. The Contractor shall defend, indemnify and hold the County, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits, including attorney fees, arising out of or in connection with the performance of the contract, except for injuries and damages caused by the sole negligence of the County. It is further specifically and expressly understood that the indemnification provided herein constitutes the Contractor's waiver of immunity under Industrial Insurance, title 51 RCW, solely for the purposes of indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration of termination of this contract. 7. insurance. The Contractor shall procure and maintain for the duration of this contract, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives, employees or subcontractors. The Contractor shall provide a Certification of Insurance evidencing: Automobile Liability insurance with limits no less than $1,000,000 combined single limit per accident for bodily injury and propertydamage; and Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence and $1,000,000 aggregate for personal injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket contractual; products/competed operations; broad form property damage; explosion, collapse and underground (XCU) if applicable; and employer's liability. • Worker's Compensation insurance at the limits established by the State of Washington. Any payment of deductible or self-insured retention shall be the sole responsibility of the Contractor. The County shall be named as an additional insured on the insurance policy, as respects work performed by or on behalf of the Contractor and a copy of the endorsement naming the county as additional insured shall be attached to the Certificate of Insurance. The Contractor's insurance shall 2021 De1Sol Contract Renewal — Page 2 be primary insurance with respect the County and the County shall be given thirty (30) days prior written notice of any cancellation, suspension or material change incoverage. & Payments Withheld. The County may withhold or, on account of subsequently discovered evidence, nullify the whole or part of any payment to such extent as may be necessary to protect County from loss or damage for reasons including but not limited to: • Work not in accordance with the Contract; • Failure by the Contractor to perform in accordance with the Contract; or • Cost or liability that may occur to the County as the result of Contractor's faultor negligent acts or omissions. PROVIDED: In any case where part or all of a payment is going to be withheld for unsatisfactory performance, the County shall notify Contractor in accordance with RCW39.76.011(b). 9. Authorinj of County. If the Contractor fails to perform the work according to requirements of the Contract Document, the County shall provide written notice of the deficiency to the Contractor and Contractor shall have seven days to correct the deficiency in the work. If the Contractor fails to correct the deficiency in the work within the seven day period or to take and continue all appropriate steps to initiate the corrections in the event corrections cannot be reasonably completed in the seven day period, the County may, without prejudice to other remedies, (a) use County forces, other contractors, or other means to make good the Contractor's deficiency and (b) deduct from the Contractor's payments the cost of such effort. 11. Successors and Assigns. The County and Contractor respectively bind themselves, their partners, successors, assigns, and legal representatives to the other party hereto and to partners, successors, assigns and legal representatives of such other party in respect to covenants, agreements, and obligations contained in the Contract. Neither party shall assign the work without written consent of the other. If eitherparry attempts to make such an assignment without such consent, that party shall nevertheless remain legally responsible for all obligations set forth in the Contract. 12 Changes in Work. The County may, at any time and without notice to Contractor's surety, order additions, deletions, revisions, or other changes in the work. These changes in the work shall be incorporated into the Contract Document through the execution of Change Orders. If any change in the work ordered by County causes an increase or decrease in the Contract Sum or the time of performance, an equitable adjustment shall be made, and such adjustments(s) shall be incorporated into a Change Order. If the County desires to order a change in the work, it may request a written Change Order proposal from Contractor. Contractor shall submit a Change Order proposal within 14 days of the request from the County, or within such other period as mutually agreed. Contractor's Change Order proposal shall include full compensation for implementing the proposed change in the work, including any adjustment in the contract sum or time of performance, and including compensation 2021 De1Sol Contract Renewal — Page 3 for all delays in connection with such change in the work and for any expense or inconvenience, disruption of schedule, or loss of efficiency or productivity occasioned by the change in the work. Upon receipt of the Change Order proposal, or a request for equitable adjustment in the contract sum or time of performance, or both, the County may accept or reject the proposal, request further documentation, or negotiate acceptable terms with Contractor. Pending agreement on the terms of the Change Order, the County may direct Contractor to proceed immediately with the Change Order work. Contractor shall not proceed with any change in the work until it has obtained the County's approval. All work done pursuant to any County -directed change in the work shall be executed in accordance with the Contract. 13. No Agency Relationship. Neither the Contract, nor any agreement implied therefrom, constitutes the Contractor as an agent or legal representative of the County for any purpose whatsoever, and the relationship of the Contractor to the County by reason of the Contract Document shall be that of an independent contractor. The Contractor is not granted any express or implied right or authority to assume or create any obligation or responsibility on behalf of or in the name ofthe County or to bind the County in any manner or thingwhatsoever. 14, Clean U2. Contractor shall at all times, keep the project site, including hauling routes, infrastructures, utilities, and storage areas, free from accumulations of waste materials. Before completing the work, Contractor shall remove from the premises its rubbish, tools, equipment, and materials. Upon completing the Work, Contractor shall leave the project site in a clean, neat, and orderly condition satisfactory to the County. If Contractor fails to clean up as provided herein, and after reasonable notice from the County, the County may do so and the cost thereof shall be charged to Contractor. 15. Survival in the event any clause or provision of this Contract shall be held to be invalid, then the remaining clauses and provisions shall nevertheless be and remain in full force and effect. 16. EntireAgreement. The Contract embodies the entire agreement between the parties, all other agreements, oral or written, are hereby merged into and superseded by the Contract. There are no other agreements which modify or affect the terms hereof. No amendment hereto shall be binding unless the terms thereof are in writing signed by both parties.No verbal or other agreements modify or affect the Contract. 17. Explanation of Documents. The Contract has been fully reviewed by the Contractor. The Contractor has had the opportunity to consult with legal counsel as to the legal effect of the Contract. 18. Notices. All notices which may be required pursuant to the terms hereof are to be in writing and delivered personally to the party to receive the same or mailed by regular mail, postage prepaid to the address specified adjacent to the parties' signatures. All notices shall be deemed served upon delivery thereof or three (3) days following deposit of the notice in the U.S. mails as required herein. 19 Headinas. Construction. The headings of the sections and paragraphs are inserted solely for the convenience of the parties and are not a part of and are not intended to govern, limit or aid in the 2021 De1Sol Contract Renewal — Page 4 construction of any term or provision hereof. In construing the parties' intent with regard to this contract, no greater or stricter construction of any term or provision hereof shall be asserted against the County as drafter. 20. DisR=. Attorneys' Fees. In any controversy, claim or dispute arising out of, or relating to, this contract or the method and manner of performance thereof or the breach thereof, the prevailing party shall be entitled to be awarded its reasonable attorney's fees in addition to such other damages as are appropriate. If neither party wholly prevails, the party that substantially prevails, shall be awarded its reasonable attorneys' fees as litigation expenses. For the purposes of this provision, the terms "proceeding" and "litigation" shall include arbitration, administrative, bankruptcy, and judicial proceedings, including appeals therefrom. For purposes of this contract, the actual attorneys' fees incurred shall be deemed "reasonable". 21. Governing Law. Venue. The performance and interpretation of the Contract Document shall be governed and interpreted in accordance with the laws of the State of Washington. Blinds: Both sides of blind slats are free of dust and water spots. Cords and tapes are clean. Carpets: All carpet surfaces are free of food crumbs, dirt, smudges, marks, dust and other debris, including those areas under furniture and behind doors. There is no unsightly discoloration from spot cleaning. Carpets show no evidence of high traffic areas. Carpets are cleaned at a time which allows the carpets to dry completely before employees occupy the work area. Ceilings: Ceilings shall be free of cobwebs, spots, and streaks. Dispensers: All supply dispensers are filled. Waste and sanitary napkin receptacles are empty, clean, sanitized, and have new liners or bags. Additional supplies are set out in the event dispensers need to be restocked before custodians service the area. Door Thresholds: Thresholds are clean and free of oil, grease, dirt and grime. Drinking Fountains: The porcelain, metal and stainless steel surfaces are clean, bright, sanitized, and free of dust, spots, stains, and streaks. Drinking fountains are free of trash, ink, coffee grounds, etc., and nozzles free from encrustation. Floors And Baseboards: Floors, including steps, risers, and landings, are free of dirt, lint, streaks, mop strand marks, string, gum, grease, tar, skipped areas, reapplied wax etc., and present an overall appearance of cleanliness. The area has a uniform luster. All surfaces are dry and the corners clean. Furniture: All furniture, including those items made of fabric, plastic, and metal, are free of dust, dirt, spots, and surface film. Desktops are NOT disturbed. Papers are NOT removed from desks in offices or Commissioners Chambers / hearing room. Personal computers, phones, terminals, printers and keyboards are not touched by the Contractor's employees and/or work crews. Light Covers: Surfaces are clean and free of dust. Metal Surfaces: Metal surfaces are free of smears, stains, and finger marks. They are clean, bright, and polished to a uniform luster. Bright metal surfaces have a polished and lustrous appearance. 2021 De1Sol Contract Renewal — Page 9 Mirrors: Minors are clean and free of dirt, dust, streaks, and spots. Patio Areas and Outside Stairways: All inside and patio and stairway areas are free of all paper, trash, empty bottles, and any other discarded material. Porcelain: Porcelain fixtures (washbasins, urinals, toilets, etc.) are kept clean and bright; there are no spots, stains, dust, rust, mold, encrustation, and excess moisture. In washrooms with showers, the showers are free from dust, spots, stains, rust, mold, encrustation, and excess moisture. Walls and Baseboards: Walls and baseboards are free of dirt, cobwebs, lint, streaks, etc., and present an overall appearance of cleanliness. All surfaces are dry and the corners clean and free of splashing and markings from any equipment. Wastebaskets: Wastebaskets are free of dust, debris, and residue. Lids of plastic containers are free of marks, smudges, and food remnants. Liners are replaced. Windows/Glass: Windows and glass are free of all cobwebs, dirt, smudges, marks and spots. Windowsills: Sill areas are free of all cobwebs, dirt, dust, spots, streaks, and smudges. There is no obstruction to the visibility due to improper cleaning. Wood Fixtures/Furniture: Wood fumiture/fixtures are polished and free of dirt, dust, streaks, and spots. The finished area has a uniform luster. DEFINITION OF TERMS Buff: Remove all marks using floor machine equipment with polishing pad to maintain floor luster. Carpet extraction: Shampoo carpeting using wet extraction machine method. Clean: Remove all dirt, stains and marks with approved cleaner. Daily: Work to be performed each and every day of the week. Damp Mop: Remove all surface dirt and stains with mop and warm water containing detergent or floor cleaner as required. Damp Wipe: Remove surface dirt with damp cloth. Disinfect: To cleanse in order to destroy disease and germs. 2021 DelSol Contract Renewal — Page 10 Disinfectant: A germicidal cleaner for microbe control. Dust: Remove all loose dirt and debris. Specially treated cloths shall be used. Mop: Remove all surface dirt and stains with a mop and warm water containing floor cleaner or germicidal disinfectant. One Day: 24 clock hours. Polish: Machine polish or rub with dry cloth. Refinish: Apply proper floor coating (wax on polish or sealer) and buff. Sanitize: To cleanse free from dirt and bacteria. Scrub: Remove all dirt, stains and marks with an approved cleaner using a floor machine equipped with scrubbing pad. Strip: Remove all accumulation of old floor finish, all surface dirt, stains and marks. Rinse and dry. Sweep/Dust Mop: Remove all loose dirt and litter with dustless -type sweeping tools on smooth concrete, tiled, and terrazzo floor; in places difficult to sweep, use hair floor brush or vacuum on other hard floors. Vacuum: Remove all surface and embedded dirt, dust and debris using a vacuum cleaner. Wash: Remove all dirt, stains, and marks with approved cleaner; rinse and dry. Wax: Apply appropriate number of coats of approved floor finish. 2021 DOW Contract Renewal — Page i I Appendix C Periodic Schedule of Tasks The frequency of all services shall be performed in accordance with the following periodic schedule and shall be subject to inspection and approval by the Building and Facilities Superintendent or his/her designee(s). Work shall be scheduled around the permitted service hours identified in Attachments F and H. When County meetings run longer than scheduled, work crews must wait until the meetings are finished before completing their work. PLEASE NOTE FOR ALL AREAS: any broken or defaced fixture, appliance, or building facade shall be reported to the Building and Facilities Superintendent upon observation. DAILY* The following shall be accomplished every work day. Restrooms: Sweep and wet mop floors with approved cleaning agents. Clean and sanitize toilets, urinals, sinks and fixtures, and hardware with approved cleaners. Clean and polish chrome or stainless steel. Clean mirrors, shelves, benches, trash cans, paper towel dispensers, and sink counters with approved cleaning agents. Clean walls, partitions, doors, and door hardware. Remove dust, handprints, and fingerprints, kick marks, etc. Replenish toilet tissue, paper hand towels, hand soap, hand cleaner, toilet seat covers, urinal screen deodorant, and feminine sanitary products in feminine dispensers. Empty trash containers and replace liners as necessary. Clean shower drains. Pour soapy water down drains. Employee Lunchrooms/Lounges/Kitchen Areas: Sweep and mop (or sweep with treated mop) hard floor surfaces. Vacuum all carpet. Vacuum mats and under chairs. Wipe down vending machines, refrigerators, microwaves, stoves, cabinets, tables, chairs and all other furniture and appliances. (external only, Grant County Employees are responsible for the inside of any appliance) Clean and sanitize sinks, counters, and sink hardware with approved cleaning agents. Remove spots from all walls, doors, and glass. Empty all tmsheans, wipe down tops of trashcans, and replace plastic liners as necessary. 2021 De1Sol Contract Renewal — Page 12 Offices, reception areas, council chambers, auditoriums, conference rooms, file rooms, storage rooms, elevators, stairways, patios, and all similarly occupied spaces and adjacent areas in the building (herein referred to as "all other areas'J: Sweep and wet mop vinyl, tile, and concrete surfaces. Vacuum all carpet. Vacuum mats and under chairs. Remove spots from all walls, doors, and interior windows. Clean interior and exterior glass on all first floor entrance/exit areas. Wipe down tables, countertops, cabinets, vinyl, plastic, and leather chair seats, and any other furniture with approved cleaning agents. Do not touch employee desk areas. Clean sinks and restock paper and soap products as needed. Wipe down all handrails, instrument panels, and telephone panels (where present). Clean stainless steel with approved cleaner. Remove hair from any drains. Clean and polish drinking fountains. Empty all trashcans, wipe down tops of trashcans, and replace plastic liners as necessary. Police for trash and remove cobwebs on patio areas. Outside Trash Enclosures: 1. Clean up trash from ground in and around dumpsters. WEEKLY: In addition to the daily requirements specified, the following shall be accomplished once every seven (7) days. Restrooms: 1. Scrub grout to eliminate mold, dirt, and/or grime. Employee Lunchrooms/Lounges/Kitchen Areas: Dust and clean all furniture, office equipment, shelves, windowsills, blinds, doors, heat vents, glass displays, and all other surfaces within seven inches from the floor, except desks. Clean both sides of glass windows in offices including window sills and frame. Clean baseboards. All Other Areas: Dust and clean all furniture, office equipment, high file cabinets, shelves, windowsills, blinds, doors, heat vents, glass displays, and all other surfaces within seven inches from the floor, except desks. Clean both sides of glass windows in offices including window sills and frame. Clean baseboards. MONTHLY: In addition to the daily and weekly requirements specified, the following shall be accomplished once (1) each month.
