HomeMy WebLinkAboutAgreements/Contracts - Prosecuting AttorneyK22-227 Grant County Service Contract with Dennis Fountain for Leadership and Personal Growth Consultation for the Grant County Prosecutor's Office This Agreement is made between Grant County Prosecutor's Office C"GCPo") through Grant County C"COUNTY""), a subdivision of the State of Washington and Dennis Fountain ("CONSULTANT"); hereinafter collectively C"PAR.TIES"). N For and in consideration of the conditions, covenants, and agreements contained 'herein the parties agree as follows: 1. Services to Be Performed CONSULTANT agrees to perform the following services: a. A one-time training for all personnel within the GCPO. 1. This training will consist of four 40-50 minute sessions with all personnel. a This training will train through the curriculum, "Everyone Communicates, Few Connect" by John Maxwell. b, A one-time 40-45 minute meeting with every employee of GCPO. i. The meetings will be mandatory and confidential. I The meetings will be designed for the internal assessing of the GCPEO. iii. Gather information and consult with the GCPO lead team in order to improve relationships, workability) and communication within the GCPO. iv. Gather, arrange, and provide statistics and general information from the one- on-one meetings to help instruct leadership in relational and structural growth. V. Present recommendations and direction to the lead team for developing courses to help the office, C. Six coaching sessions for the lead team i. These coaching sessions will be 45-60 minutes in length, ii. These coaching sessions will coach through the curriculum, "The 15 Invaluable Laws Of Growth" by John Maxwell, iii, To accompany these coaching sessions, the CONSULTANT.will provide 2 book resources to each member of the lead team. d. A DISC Assessment for each employee i, The DISC Assessment will be used in the one-on-one meetings. I The DISC Assessment will be briefly explained, but not used for coaching or training, as it is designed. iii. The DISC Assessment may be used for Coaching if the GCPO decides to proceed with this in the future. 2. Payment In consideration for the service to be performed by CONSULTANT, the GCPO agrees to pay CONSULTANT at the rate of $10,320.00, plus tax at 8.4% or $x'14.00 on $8,500,00, for a total of $11,034.00. The CONSULTANT will submit an invoice before the, to be agreed upon, start date, after which the GCPO will pay in full before the final meeting with the lead team, 3. Expenses CONSULTANT shall be responsible for all expenses incurred while performing services under this Agreement. This includes automobile, and other travel expenses; vehicle maintenance and repair costs, vehicle and other license fees and permits; insurance premiums; road, fuel, and other taxes; fines; radio, pager, or cell phone expenses; and meals, 4. Independent Contractor Status CONSULTANT is an independent contractor and shall not be deemed GCPO or COUNTY employee. In its capacity as 'an independent contractor, CONSULTANT agrees and represents, and GCPO and COUNTY agrees, as follows I. CONSULTANT has the right to perform services for others during the term of this Agreement. 2. CONSULTANT has the sole right to control and direct the means, manner, and method by which the services required by this Agreement will be performed. CONSULTANT shall select starting and quitting times, days of work, and order the work is performed. 3. The services required by this Agreement shall be performed by CONSULTANT; COUNTY and GCPO shall not hire or pay any employees to help CONSULTANT. S. Business Licenses, Permits, and Certificates CONSULTANT represents and warrants that CONSULTANT will comply with all federal, state, and local laws requiring drivers and other licenses, business permits insurance, continuing education, and other certificates required to carry out the services to be performed under this Agreement 6. State and Federal Taxes Neither the COUNTY nor GCPO will: Withhold FICA (Social Security and Medicare taxes) from CONSULTANT payments or make FICA payments on CONSULTANT's behalf Make state or federal unemployment compensation contributions on CONSULTANT's behalf, or Withhold state or federal income tax from CONSULTANT?s payments, CONSULTANT shall pay all taxes incurred while performing services under this Agreement including all applicable income taxes and, if CONSULTANT is not a corporation, self- employment (Social Security) taxes. If requested, the CONSULTANT shall provide COUNTY or GCPO with proof that such payments have been made. 7. Fringe Benefits CONSULTANT understands that CONSULTANT is not eligible to participate in any employee pension, health, vacation pay, sick ck ioay, or other fringe benefit plan of the COUNTY. A 8. Unemployment Compensation COUNTY shall make no state or federal unemployment compensationpayments on behalf of CONSULTANT. The CONSULTANT will not be entitled to these benefits in connection with work performed under this Agreement, 9. Workers' Compensation COUNTY shall not obtain workers' compensation insurance on behalf of the CONSULTANT. 10. Term of Agreement This agreement will become effective upon the signing date, and will terminate upon the agreed upon completion date. 11. Terminating the Agreement Either GCPO, COUNTY or CONSULTANT may terminate this Agreement, effective immediately upon giving 14 days written notice, 12. Exclusive Agreement This is the entire Agreement between CONSULTANT and COUNTY and GCPO. 13.
