HomeMy WebLinkAboutAgreements/Contracts - Sheriff & JailGrant County Service Contract with Dennis Fountain for Leadership and Personal Growth Consultation for the Grant County Sheriff's Office This Agreementis made between Grant County Sheriffs Office ("GCSO" through Grant County ("COUNTY"), a political subdivision of the State of Washington and Dennis Fountain ("CONSULTANT"); hereinafter collectively (TARTIES"), WHEREAS, GCSO is a law enforcement agency; WHEREAS, law enforcement agencies provide critical services to the community through their employees; WHEREAS, the nature of the employment in a law enforcement agency is inherently and abnormally highly stressful.; WHEREAS, employees often encounter dangerous and traumatic scenarios where they must make split second decisions that may have Iong-lasting effects to themselves and others including other law enforcement personnel and members of the community; WHEREAS, the recent changes in Washington State laws affecting law enforcement and d the additional public scrutiny have compounded the stress for law enforcement employees; WHEREAS, employee wellness is essential in maximizing law enforcement employees' ability to handle the stress in working for a law enforcement agency and properly serve the community; WHEREAS, law enforcement agencies with strong leadership can better assist their employees with coping in the highly stressful environments; WHEREAS, CONSULTANT is a certified speaker, trainer, and coach with the Maxwell Leadership, LLQ WHEREAS, with the Maxwell Leadership, LLC certification, CONSULTANT is specifically trained to provide One -on -One Coaching, Company Training, and Business .Leader Training and has provided training to other companies,, WHEREAS, CONSULTANT has a certificate in Critical Incident Stress Management; and WHEREAS, CONSULTANT'S Bachelor and Master's degrees in Religious Studies included counseling classes. AGREEMENT For and in consideration of the conditions, covenants, and agreements contained herein the parties agree as follows: 1. Services to Be Performed CONTRACTOR agrees to perform the following services: a, A minimum of one 30 -minute meeting with every employee of GCSO in a calendar year. L The meetings will be mandatory and confidential. The meetings will not be privileged under RCW 5.60.060 as CONTRACTOR is not a psychologist or licensed counselor, and will not be meeting with employees in his clergy capacity; ii. An employee may terminate a meeting at any time provided that: a The employee explains why he/she terminated the meeting to his/her supervisor, and b) In the supervisor's discretion, the super -visor may require the employee to reschedule the meeting. iii. Employees are not required to communicate with CONSULTANT and may choose to not communicate with CONSULTANT iv. Employees must be 'informed that while the communications with CONSULTANT gill be confidential, CONSULTANT will provide information to the administration regarding a) topics for leadership and personal growth based on the general information gathered from the one-on-one meetings; and b) statistics and general information gathered from the one-on-one meetings to assist with relational and structural growth. v. At the beginning of each meeting the CONSULTANT will provide the attached disclaimers, Exhibit A, to the employee, the employee must have an opportunity to read the disclaimers prior to any further communication,, b. On an ongoing basis, gather information and consult with the GCSO administration in order to improve of relationships within the Grant County Sheriffs Office and improve its employees' wellness, c. Periodically gather, arrange, and provide statistics and general information from the one-on-one meetings to help instruct leadership in relational and structural growth, d, Quarterly present recommendations and direction to the administration for developing courses to help the agency. e. Quarterly offer both developmental and leadership training to the employees, 2.. Payment In consideration for the service to be performed by CONTRACTOR, COUNTY agrees to pay CONTRACTOR at the rate of $2,000 per` month. CONTRACTOR will submit monthly invoices by the 15thof each month and invoice shall be paid within 14 days after CONTRACTOR W. submits an invoice to COUNTY, 3. Expenses CONTRACTOR shall be responsible for all expenses incurred while performing services under this Agreement. This includes automobile, and other travel expenses,, vehicle maintenance and repair costs, vehicle and other license fees and permits; 'insurance premiums; road, fuel, and other taxes; fines-, radio, pager, or cell phone expenses; and meals. 4. Independent Contractor Status CONTRACTOR is an independent contractor and shall not be deemed G or COUNTY employee. In its capacity as an independent contractor, CONTRACTOR agrees and represents, and GCSO and COUNTY agrees, as follows 1. CONTRACTOR has the right to perform services for others during the term of this Agreement, 2. CONTRACTOR has the sole right to control and direct the means, manner, and -method by which the services required by this Agreement will be performed. CONTRACTOR shall select starting and quitting times, days of work, and order the work is performed. 1 The services required by this Agreement shall be performed by CONTRACTOR; COUNTY and GCSO shall not hire or pay any employees to help CONTRACTOR, 5. Business Licenses, Permits, and Certificates CONTRACTOR represents and warrants that CONTRACTOR will comply with all federal, state, and local laws requiring drivers and other licenses, business permits, insurance., continuing education, and other certificates required to carry out the services to be performed under this Agreement 6. State and Federal Taxes Neither the COUNTY nor GCSO will: Withhold FICA (Social Security and. Medicare taxes) from CONTRACTOR payments or make FICA payments on CONTRACTO'R's behalf Make state or federal unemployment compensation contributions on CONTRACTOWS behalf, or Withhold state or federal income tax from CONTRACTOR'S payments. CONTRACTOR shall pay all taxes incurred while performing services under this Agreement including all applicable income taxes and, if CONTRACTOR is not a corporation, self- employment (Social Security) taxes. Upon demand, CONTRACTOR shall provide COUNTY or GCSO with proof that such payments have been made, 7, Fringe Benefits CONTRACTOR understands that CONTRACTOR is not eligible to participate in any employee pension, health, vacation pay, sick pay, or other fringe benefit plan of the COUNTY. 8. Unemployment Compensation COUNTY shall make no state or federal unemployment compensation payments on behalf of CONTRACTOR. CONTRACTOR will not be entitled to these benefits in connection with work performed under this Agreement, 9. Workers' Compensation COUNTY shall not obtain workers' compensation insurance on behalf of CONTRACTOR. 10. Term of Agreement This agreement vAll become effective May 4, 2022, and will terminate December 31, 2022, 11. Terminating the Agreement Either GCSO, COUNTY or CONTRACTOR may terminate this Agreement, effective immediately upon giving 14 days written notice. 12. Exclusive Agreement Thisis the entire Agreement between CONTRACTOR and COUNTY and GCSO. 13.
