A RESOLUTION APPROVING A SPECIAL SERVICES CONTRACT
WITH RESPECT TO THE AUTHORIZATION, ISSUANCE, SALE
AND DELIVERY OF BONDS OF GRANT COUNTY, WASHINGTON;
AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING
THERETO
GRANT COUNTY, WASHINGTON
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
GRANT COUNTY, WASHINGTON, as follows:
WHEREAS, Grant County, Washington (the "County"), is a third-class county duly
organized, existing and operating under and by virtue of the Constitution and laws of the
State of Washington;
WHEREAS, the County is authorized and empowered by Titles 36 and 39 RCW to
issue, sell and deliver bonds to finance various municipal projects;
WHEREAS, the law firm of Perkins Coie, as Bond Counsel, is a law firm that
specializes in rendering legal advice with respect to the issuance, sale and delivery of bonds,
and said firm is able to render a marketable legal opinion with respect to tax-exempt
securities;
WHEREAS, the County is authorized and empowered by RCW 36.32.200 to hire
special attorneys from time to time; and
WHEREAS, the County is desirous of entering into a special services contract with
Perkins Coie, Spokane, Washington, in order to obtain certain legal services as set forth in
the "Special Services Contract," attached hereto as Exhibit "A" and incorporated herein by
reference, in conjunction with the issuance of its bonds;
NOW, THEREFORE, IT IS HEREBY FOUND, DETERMINED AND
ORDERED, as follows:
The law firm of Perkins Coie, of Spokane, Washington, is hereby retained as Bond
Counsel for the County and is authorized and directed to take all action necessary and
prudent incident to the authorization, issuance, sale and delivery of the County's bonds.
The Special Services Contract by and between the County and Perkins Coie is hereby
accepted in all respects, and the Chairman of the Board of County Commissioners of the
County is hereby authorized to execute said Contract in the name of the County.

ADOPTED by the Board of County Commissioners of Grant County, Washington,
this 7 day of June, 1994.

I, Peggy Grigg, Clerk of the Board of County Commissioners of Grant County,
Washington, hereby certify that the foregoing resolution is a full, true and correct copy of a
resolution duly adopted at a regular meeting of the Board of County Commissioners, duly
and regularly held at the regular meeting place thereof held on June 7, 1994, of which
meeting all Commissioners had due notice and at which a majority thereof were present;
and that at said meeting said resolution was adopted by the following vote:
AYES, and in favor thereof, Commissioners: 3
NOES, Commissioners: 0
ABSENT, Commissioners: 0
ABSTAIN, Commissioners: 0
I further certify that I have carefully compared the same with the original resolution
on file and of record in my office; that said resolution is a full, true and correct copy of the
original resolution adopted at said meeting; and that said resolution has not been amended,
modified or rescinded since the date of its adoption, and is now in full force and effect.
