Gravel Road Study Hearing Notice - Road Vacation Road System/KULE � � CONTRACT FOR SERVICES WHEREAS, Grant County, a municipal corporation, at P.O. Box 37, Ephrata, Wa. 98823, hereinafter referred to as the "County", desires to provide more effective access to its mainframe computer for the purpose of allowing ease of access to public records for Grant County Title Company at P,O. Box 460, Moses Lake, Wa., hereinafter referred to as "GCTC". The County agrees to provide such access for GCTC in exchange for the promise of GCTC to reimburse the County for expenses incurred in providing such service; the Cou �y and GCTC enter into this contract this �� � day of �.�-���`►�aa��� V-" , 2000 which contains the following terms: WITNESSETH; 1. Duties of Grant Countv: The County does hereby agree to initially purchase certain communications equipment listed in the attached Appendix A at a cost of $_ 0 ; and thereafter, to provide limited data entry services to GCTC and its employees only. Specifically, the County agrees to provide GCTC with access to its mainframe computer on a dial up communications line supplied by GCTC between the hours of 8:00 a.m. and 5:00 p.m., Monday through Friday of any regular work weelc. Additionally, support services and assistance besides those listed in the attached Appendix A are available to GCTC at a cost of$50.00 per hour. 2. Duties of Grant Countv Title Compan� In consideration for the County providing access to its mainframe computer, GCTC promises to reimburse the County for their share of the purchase price of the equipment in the amount of$ 0 according to Appendix A attached hereto. The balance of equipment costs will be borne by other entities. 3. Term: This contract is for an initial period of one (1) year to commence upon the date of signing by both parties. This contract can be extended each year for four (4) additional consecutive years by written consent of both parties thirty (30) days prior to expiration. 4. Reimbursement: The County shall submit invoices for reimbursement of the purchase price of the equipment included in the attached Appendix A and which are necessary to provide GCTC with the services described in this contract. The County shall also submit invoices for the cost of staff assistance at the rate indicated in section 1 above. GCTC will have thirty (30) days upon receipt of each invoice in which to submit payment in full. t 5. Sus�ension of Services: The County reserves the right to suspend services far bricf periods of tinle wzthaut liability for the purpose of maintenance of hardware and/or software. The County shall give notice prior to any period of suspension whenever possible. Further, any period of suspensian will not result in any form of liability to the Cai�nty. 6. Exclusive Sez�vice: GCTC, upon signizlg this agreement, shall not enter into any other agreements o�r contracts with another party for the provision of any service which they are receivizlg from the County upan commencement of this contract and for the period af this cantract. 7. Amendments: Any amendmexi�(s} to this contract including a change in the scope ar purpose of the service are invaiid unless the change is appxoved in advance and in writing by both the Cou��ty and GCTC. s. Termination: This contract is for a period of one (1) year from tl7e date of signing and will autornatically terminate at that time uniess extended pursuant ta the conditions st�ted herein. In the evellt that GCTC fails to remit payment withix�thirty (30) days of receipt af an invoice from the County will result in immediate terminatian of the contract. This agreement shall continue in full force and effect and shall govern all transactions between the partics until canceled or terminated by either party. It is agreed that either party shall have the privilege, with or without cause, to cancel and/or terminate this agreement at any time on thirty (30} days written notice to the other party. This contract between the County and GCTC is to pravide a service to GCTC only. Any use of these services by anather individual, entity, etc., besides GCTC for any reason will resu�t in immediate termination af the cantract with ar withaut notice by the Caunty. 9. Forfeiture: Upon termination of this contract, for any reasoza, any claims that GCTC may hava in any equipment p�.irchased under this contract by the County and for which the County has been reimbursed, or any equiprnent in the possession of the County ui�der this contract, will be automatically forfeited to the County. ; 10. Liability: GCTC agrees to hald harmless the County fox any liability it may incur due I to the information and/or use af the information accessed through this sexvice. � 11. Inte�ration Clause: This document and the attached Appendix A comprise the entire i agreement between these parties, and any statements, promises, or inducements made � by either party or agent of either party that are not contained in this written contract sha11 not be valid or binding. ; F � � 12. Severabilitv: It is understaod and agreed to by the parties that if any part, term, or provision of this agreement is held by the Courts to be illegal, the validity of the remaining provisians sha11 not be affected and the rights and obligatio�ls of the parties shall be construed and enforced as if the agreement did nat contain the particular provision held to be in�valid.
