Order Form - Compliance Investment
Order Summary
This Order Form is entered into between Eleos Health Inc. ("Eleos") and Renew Grant County Behavioral Health & Wellness ("Customer") and is
governed by the Eleos Master Service Agreement ("MSA") dated October 28, 2024, the terms and conditions of which are incorporated herein by
reference.
Subscription Term Note: The addition of the Compliance solution is coterminous with Customer's existing subscription term under the MSA. The
first year of Compliance will be pro -rated with year two of the MSA.

ORDER FORM TERMS AND CONDITIONS
General: This Order Form is entered into as of the last date in the signature block: below ("Effective Date") between Eleos Health Inc. ("Eleos") and
Renew Grant County Behavioral Health & Wellness("Customer").
Order Information & Fees: All prices are quoted in US Dollars
Taxes: Customer is responsible for applicable taxes related to this Order Form
Additional Provider Packages: Renew may purchase additional Documentation licenses at $70 per user per month in a package minimum of 5
providers. Renew may purchase additional Compliance licenses at $40 per user per month in a package minimum of 5 providers.

Eleos Platform Contract Language
Availability and Non -Use
Client acknowledges and agrees that the Documentation Product Suite and the Compliance Product Suite collectively constitute a platform offering,
and that individual features or modules within those suites may (i) be released by Eleos on a phased or future timeline; (ii) be intended for specific
clinical programs, staffing, or workflows that Client may or may not operate; or (iii) be optional for Client to use, The Parties agree that (a) Eleos'
obligation is to provide access to the platform as generally made available to its customers, and not to guarantee the utilization of any particular
feature or module; (b) Client's decision not to use or implement any feature, or Client's lack of applicable programs or clinical personnel, shall not
constitute a breach by Eleos; and (c) no refunds, fee reductions, offsets, service credits, or adjustments to current or renewal pricing shall be owed
or applied on the basis of feature non-use, phased release, or Client -specific operational limitations. Eleos retains discretion to modify or enhance
features in accordance with its standard product lifecycle practices, provided such changes do not materially degrade the core functionality of the
platform.

Compliance functionality, including: the Compliance Quality Dashboard, providing oversight of documentation quality and compliance -related
metrics; and Live Quality Assist ("LQA"), which offers real-time guidance to support adherence to organizational documentation requirements
