2026 Professional Services Agreement
of COUNTY employment. The AGENCY assumes exclusive responsibility,for all actions, rights
and obligations of its agents, officers, or employees.
The AGENCY' responsible for all payroll taxes, as otherwise appropn" ate, including without
limitafior� Federal Social Security taxes, Federal and State unemployment tazes and State
worlanen's compensation, m'surance premiums, license fees, and any other expenses of the
AGENCY relating to the execution of this contract,
The COUNTY has not and shall not be responsible for withholding or payment of any taxes or

Social Security onbehalf of the AGENCY including, without limitation, industrial insurance

prennuras. The AGENCY .all be fully responsible for any such withholding or payments
including, without limitation, taxes, Social Security, and industrial *insurance premiums,

If the AGENCY fails to comply with the terms and conditions of the Agreement, the COUNTY
may pursue such remedies &s are legally available including, but not limited to, the wspension or
te='*nau'*on of this Agreement,

The parties agree that this Agreement 'i's the complete expression of the terms hereto and any oral
representatives or understandings not incorporated herein are excluded. Further, any modification of
