Renew Grant Behavioral Health & Wellness
CONTRACT FOR PROFESSIONAL CONSULTING SERVICES
This CONTRACT FOR PROFESSIONAL CONSULTING SERVICES is made on the date of signature
of the last signatory to this contract, by and between:
Grant County dba Renew Grant Behavioral Health & Wellness, of Grant County, Washington,
with offices at 840 E Plum Street, Moses Lake, Washington, hereinafter referred to as "RENEW"
and
Letendre & Associates LLC, a consultancy established as a single member LLC with offices at
58 Sundog Lane, Middletown Springs, Vermont. hereinafter referred to as "CONSULTANT".
Section 1. Scope of Services
The CONSULTANT will provide the following services to RENEW:
1. Onboarding Redesign: Redesign the process by which Renew onboards new employees,
informed by leading practices in high: performing organizations. The process will be redesigned
to more intentionally connect new team members to Renew's vision, mission, values, and
culture of excellence, and to establish a lasting relationship with Renew.
2. Leadership Effectiveness System Design: Design a. proactive and systematic approach — to be
used on an ongoing basis by which Renew develops its leaders to manage, lead and excel in
their roles. This system will serve new and existing leaders alike.
3. Organizational Transformation Guidance: Provide excellence -focused implementation guidance
and support to Renew in embedding approaches, tools, and principles of excellence into
Renew's processes and practices.
and hereinafter referred to as "SERVICES".
Section 2. Term
Work under this Contract shall be carried out in calendar year 2026 with full implementation by RENEW
no later than March 31, 2027.
Section 3. Compensation and Payment Terms
A. Compensation shall be paid to the CONSULTANT to provide consulting services at a fixed
professional engagement fee of $140,000 for SERVICES, including all activities and outcomes
delineated in Exhibit A (attached).
B. With payment in full on acceptance a professional 5% discount will be applied, for a total net
engagement fee of $133,000.
C. Alternatively, a deposit of 60% ($84,000) is due on acceptance. The remaining 40% ($56,000) is
due 90 days from the date of acceptance.
D. Direct expenses will be billed as incurred and are due upon receipt of invoice. They are not
subject to any mark-up and may include facilitation tools, educational materials, and resources
for ongoing use by RENEW. Travel expenses for on -site sessions in Grant County will be
reimbursed and include typical expenses such as airfare, rental car, transportation, lodging,
meals, and tips.
Section 4. Postponement, Guarantee-, and Termination
A. Once accepted, this engagement is non -cancellable and payments are to be made at the times
specified. However, RENEW may reschedule, postpone, or delay elements of this engagement
as RENEWs business needs may unexpectedly dictate, without penalty and without time limit,
subject only to mutually agreeable timeframes in the future.
B. Letendre & Associates LLC guarantees to RENEW the quality of the work. If the Executive
Director of RENEW (Dell Anderson) feels that CONSULTANT has not assertively and
competently pursued the objectives we have jointly agreed on, as delineated in Exhibit A
(attached), CONSULTANT Founder (Kathy Letendre) will confer with RENEW Executive
Director to identify all problems and develop solutions. If after that process, RENEW Executive
Director (Dell Anderson) remains dissatisfied, CONSULTANT will refund fees paid as
requested.
C. This Contract may be terminated by mutual agreement of both parties if postponement is
deemed infeasible due to extenuating circumstances.
D. In the event of termination not the fault of the CONSULTANT, the CONSULTANT shall retain
compensation for the full value of SERVICES performed and initiated. In the event of the
termination through fault of or breach by the CONSULTANT, the CONSULTANT shall retain
compensation only for SERVICES provided and performed to the satisfaction of RENEW
Executive Director (Dell Anderson).
Section 5. Employment Status
For purposes of performing the services specified in this Contract, the parties understand and agree
that the CONSULTANT is an independent contractor. The CONSULTANT is not an employee of
RENEW. RENEW will not provide any individual retirement benefits, group life, health or dental
insurance, vacation, sick leave or other similar benefits to the CONSULTANT.
Section 6. Insurance
CONSULTANT shall maintain in effect during the term of this Contract Professional Liability Insurance
with a limit of liability of $1,000,000.
Section 7. Limit of Liability
The liability of CONSULTANT to RENEW for any reason and upon any cause of action related to
performance of the work under this Contract shall be limited to amount paid by RENEW to
CONSULTANT in accordance with terms of this Contract.
Section 8. Indemnification
A. CONSULTANT shall indemnify and hold RENEW harmless from liability and any claims, suits,
judgments and damages occurring in conjunction with work performed during this Contract.
B. RENEW and their agents shall indemnify and hold CONSULTANT harmless from liability and
any claims, suits, judgments and damages occurring from their ongoing use of work created
during this Contract.
Section 9. Severability
Each paragraph and provision of this Contract is severable from the entire Contract; if any provision is
declared invalid, the remaining provisions shall nonetheless remain in effect.
Section 10:.Jurisdiction and Venue
This agreement shall be governed by the laws of the State of Washington, and any legal action arising
from this agreement shall occur in Grant County, Washington.
Section 11: Agreement and Amendment
This Contract, including Exhibit A (attached), represents the entire agreement between RENEW and
the CONSULTANT. No changes, modifications or amendments in the terms and conditions of this
Contract shall be effective unless reduced to writing and signed by the CONSULTANT and the
Executive Director of RENEW (Dell Anderson).
This Contract shall be governed by applicable state and federal law.

All alternatives we have discussed tap into my deep expertise in health and human services
strategic execution, performance improvement, and organizational transformation The
primary differences between the options discussed are:
in the level of internal responsibility versus external support for achieving your desired
outcomes;
the breadth of knowledge transfer in the detailed design phase of the onboardin

experience.
I concur with your desire to have the internal core team create the detailed materials for
the onboarding process once the design "blueprints" have been developed. This can be
revisited later in the project should you find added -value from my guidance and oversight
on this.
We will work collaboratively to sequence and synchronize the initiatives in a way that is
realistic, manageable, and aligned with Renew's organizational calendar and capacity. The
project work will involve core groups at Renew, with detailed scheduling to be confirmed in
coordination with Dell Anderson (Executive Director) and Sarah Nelson (Executive Assistant).
Both the onboarding Experience and Leadership Excellence projects are designed with a 202

go -live target. Transformation Advisory support will be ongoing throughout calendar year
2026.
My accountabilities
I will fulfill all responsibilities described in this Letter of Agreement at a professional level. I
will adhere to agreed -upon deadlines and communicate proactively. I will sign all appropriate
nondisclosure and confidentiality agreements. I will inform you of any peripheral issues that
emerge that merit your attention and provide updates at your request.
Your accountabilities
Executive Director (Dell Anderson) will be responsible for: providing clear leadership and
sponsorship of this engagement; ensuring access to key individuals on mutually convenient
dates; sharing all information that may have a bearing on this work; sharing key performance
and organizational information that could inform the design of the projects; making decisions
needed for moving the work forward in a timely manner; payment in conformance with the
terms below; and for reasonable access to yourself and others for necessary discussions
questions, and decisions.
Executive Assistant (Sarah Nelson), or a highly capable administrative designee, will be
responsible for. coordination and timely communication; arranging logistics for sessions and
workshops; scheduling participants for interviews, focus groups, and work sessions on

III. Terms of Engagement
As a value -focused consultancy, our fees are designed to be commensurate with the value
created and therefore are represented as single fee. More time spent does not automatically
translate into higher value, which is why we do not assess an hourly or daily rate. Our focus is
to support you in achieving the desired outcomes; you should feel comfortable to interact with
us without the fear of a "meter" running.
Although we have discussed additional add -on features in initiative 1, our most recent
understanding is that you wish to proceed with each of these three initiatives as described
above to achieve the maximum efficiency and synergy.

Two payment options are available:
Option A
Payment in Full on acceptance: with full payment on acceptance, I offer a 5%
professional discount, for a total to $133,000.
Option B Payment in Installment: A deposit of 6 0% ($84,000) is due on acceptance. The
remaining 40% ($56,000) due go days from the date of acceptance, for a total of $140,000.
Once accepted, this engagement is non -cancellable and payments are to be made at the times
specified. However, you may reschedule, postpone, or delay elements of this engagement as
your business needs may unexpectedly dictate, without penalty and without time limit
subject only to mutually agreeable timeframes in the future.

Expenses
Direct expenses will be billed as incurred and are due upon receipt of invoice. They are not
subject to any mark-up and may include facilitation tools, educational materials, and
resources. Travel expenses for on -site sessions will include typical expenses such as airfare,
rental car, transportation, lodging, meals, and tips.
Guarantee
As a consulting firm, our most valuable marketing comes through strong word-of-mouth
referrals and glowing references from our highly satisfied clients. As the founder of Letendre
& Associates, LLC, I therefore guarantee to you the quality of our work.
Your Consultant & Advisor
It is our intent that Kathy Letendre will lead all proposed work for this engagement and serve
as your trusted advisor. We may, as determined in the final design of sessions and workshops,
engage qualified co -facilitators at select points in the process. We would discuss these add -
on elements should they arise and be deemed valuable for you.
Enclosed in Appendix A you will find additional information about Kathy, including her
extensive experience in healthcare, strategic execution, organizational improvement, and
excellence -based transformation.

Brief Biography
Kathy Letendre, MHSA
Kathy Letendre creates transformative experiences for organizations, elevating organizational
performance to new heights.
As a seasoned healthcare executive and champion of organizational improvement, Kathy shares
her expertise and methods, helping leaders achieve unprecedented levels of performance for their
organizations. An expert in strategy, performance, and organizational excellence, she advises
healthcare and human service organizations. She has a reputation as a collaborative and
passionate agent of change, and a masterful facilitator of strategic initiatives.
Prior to establishing her consulting practice, Kathy served as the Vice President of Planning &
Organizational Excellence at a regional healthcare system, where she spearheaded the
organization's journey to excellence, resulting in numerous organizational validations including
the Governor's Award for Performance Excellence and Magnet designation for Nursing
Excellence.
In combination with her role in Letendre & Associates, Kathy is also an Organizational
Excellence Advisor in Ingenium Healthcare Advisors, a member of PuMP's global team, and a
founding member of Healthcare Shapers US. Her associates in these consulting collaboratives
engage with Kathy on select client endeavors.
Previously, Kathy was a senior consultant & manager in Ernst & Young's Healthcare
Performance Improvement Group. She earned a Master's degree in Health Services
Administration from the University of Michigan's School of Public Health and a Bachelor of
