Water was found in the tanks when doing inspections and testing. Doing this project will remove the water and replace the water detectors which are currently not working and remove the biocidal agents that are affecting the diesel tank. This will be paid from the Public Works 510 fund. PO Num: DETAILED SCOPE OF WORK Tank Cleaning and Restoration: Fuel Delivery and Treatment must be minimum of 48hrs prior to tank cleaning service. **For best results tank should be filled to 90% capacity.** Arrive on site to perform tank cleaning. Set up safe zone and gain access to required tanks. Pull sample from tank to determine severity of fuel quality. Remove debris from the bottom of the tank using a tank bottom sweep. Start fuel filtration and cleaning process to 5 microns. Flush fresh clean product through all product lines and dispensers. Change the dispenser filters. Return system to normal operating condition. Pull final sample and review finding with customer. All debris/waste from tanks will be drummed and left on site for required disposal by site. "Fuel Quality Management. Please read all line items and reach out with any questions or concerns. Customers with Diesel tanks specifically shall allow SME to add treatment to the tank prior to a delivery of fuel. For best results the delivery should be to 90% of total tank capacity. If this cannot be achieved a delivery of 10% above normal level must be obtained. - Replacement of UST probes SOW: Mobilize to site. Perform pre -work safety meeting. Barricade work area with vehicles, delineators, and "Caution Do Not Enter" tape. Lock-out/Tag-out all affected circuits. Remove existing hard wired probes and install field serviceable probes with new float kits. Program tank monitor as needed for new probes. NOTE: *Tank charts to be provided by the site and must be available at time of install.* Perform Tank Monitor Certification. Perform Overfill Verification. Perform Retrofit/Repair Checklist if applicable. Clean areas of any work related debris. Commission all equipment with manufacturer, where applicable. EXCLUSIONS - Debris/Waste disposal is not included in the price of this quote. - Disposal services performed by SME will be billed on a separate invoice. - Quote covers up to 10 hours of tank cleaning service per tank. For locations with excessively poor fuel quality, an additional trip may be needed to bring your fuel to top quality standards. - If a return trip is needed, this will be discussed with the site during the sample review process, with pricing options to follow. Quote assumes clear and uninterrupted access to all equipment. All wiring is per code and complete. All ATG software is of current version. All equipment is on site or delivered to SME Solutions, if provided by others. Any work required outside the listed scope of work will be billed on a T&M basis. Any delays caused by others outside the control of SME Solutions will result in additional charges at our hourly rate. Quote does not include additional repairs to existing equipment. Testing of equipment does not guarantee a passing result. Quote does not include any repairs needed to achieve passing tests. Prices used in the Quotation are based upon current prices, work performed during normal business hours, upon the condition that the Quotation will be accepted within 60 days, and that work will commence pursuant to the Quotation within 30 days of acceptance. If the Quotation is not accepted within 60 days, or if work has not commenced within 30 days of acceptance, the Quotation is subject to being rebid to adjust for new pricing. Premium rates will apply to all work done outside of normal business hours regardless of cause. Any typographical errors are subject to correction without penalty to SME Solutions, LLC (SME). In the event of a conflict between the Quotation Terms & Conditions and any other document, the Quotation Terms & Conditions shall control. 2. Payment Schedule. All Contract payments will be COD unless provided otherwise by existing credit terms agreed to by SME. Customer will pay any deposit required as indicated in the Quotation with the balance due upon completion of the work (or in installments or progress payments as described in the Quotation). Payment of any additional work is due per the terms and conditions of an executed change order which is made a part of the project. In the event any payment is not made as specified, SME may at its option declare the entire balance owing immediately due and payable in fiill, and may stop work until full payment is made. Customer agrees to pay a service charge of 1.5% per month on all overdue amounts until paid. Mechanic's liens may be filed by SME for any Contract work not paid in a timely manner. Lien releases will be issued only upon final payment and receipt of clear funds. 3. Formation Upon Execution. Upon acceptance by the Customer, the Quotation, Terms and Conditions, and related plans and/or specifications agreed to between SMEand the Customer and signed by both parties, shall constitute the entire agreement ("Contract") and description of work to be performed ("Work"). Neither SME nor Customer will be bound by any oral representations or other statements of any kind made by any person. The project will be constructed according to plans and specifications identified as: hereinafter referred to as the Project Documents which have been examined by the Customer and which have been or will be signed by both SME and Customer. Except as otherwise expressly provided for herein, any work not expressly described in the Quotation, including any dewatering and any related disposal work, is excluded, and no other project work shall be performed without prior written authorization of both SME and Customer as may be provided on a SME change order form describing the agreed terms including the price for such additional work as well as any additional time to complete the Work. 4. Site Assumptions. The Contract price is based on there being no unusual site conditions including but not limited to: (i) that the project site and adjoining land are not filled ground or hardpan and the bearing capacity of the ground exceeds 1,000 pounds per square foot and is stable, and contains no rock formations or boulders; (ii) that there are no septic tanks, pipe lines, conduits, electric lines, sprinkler lines or any other obstructions other than those indicated on the plans; (iii) that no underground or surface water conditions will interfere with the Work; (iv) that no surcharge engineering will be required; and (v) that the site conditions with regard to any adverse environmental conditions is as represented in the Project Documents. If any of the site conditions should vary from the above specifications requiring additional work or materials to complete the Work under the Contract, or should the Customer order additional work, or should SME encounter conditions different from those ordinarily encountered or reasonably anticipated, SME shall be paid for same as agreed upon in an appropriate change order. SME will only be responsible for damage to underground services (septic tanks, pipe lines, conduits, electric lines, sprinkler lines, etc.) when they have been properly and accurately indicated and marked on the plans prior to beginning excavation. 5. Cost of Permits Not Included. The Contract price does not include costs and disbursements required for obtaining permits or licenses or any other authorization required by governmental agencies or any other public (or quasi -public) authorities, unless specifically included, and does not include inspections or other work to complete the permitting process. The Customer will pay assessments and charges required by governmental agencies or any other public (or quasi -public) authorities, and any utilities, for financing or repaying the cost of sewers, storm drains, water service, and other utilities, including sewer and storm drain reimbursement charges, revolving fund charges and the like. All permits, plan preparation, and permitting inspections will be performed at SME's current time and material rates and cost mark ups. Prices quoted for plans and permits, if any, are estimates only. 6. Changes Permitted to Comply with Applicable Regulations. If the proposed scope of Work under this Contract is pending approval from any local or state governmental or regulatory agencies, the State of California, and/or the Federal EPA, including but not limited to the City and/or County Fire, Building, Electrical, Plumbing, or Environmental Health Departments and any local AQMD, any changes or additional requirements as may be ordered by any such regulatory or public entity will be mutually agreed upon by Customer and SMEas part of a change order. The Customer agrees that SME may make any changes in plans or construction which may be required to conform to existing or future building codes, zoning ordinances, or other requirements of inspecting public or quasi -public authorities or governmental agencies, or utility companies. Additional work required to conform to such codes, ordinances, or requirements shall be paid for by the Customer in addition to the contract price at SME's rate indicated on an agreed upon change order. 7. Extra Work, Changes and Deletions. If at any time during the progress of the work, Customer desires to make any additions to, alterations of, deviations or oinissions from the work (collectively "Extra Work"), Customer shall have the right to do so and the same shall in no way affect or make void this Contract. No Extra Work shall be made except on Customer's written request and the execution of a written change order agreed to by both SME and the Customer. Any adjustment in costs due to an increase or decrease in the work to be completed, or any change in the time of completion of Initial Z91�7 1 of 4 Terms and Conditions the project, shall be agreed to in the change order. 8. Time & Materials Rate Sheet. Available upon request. QUOTATION DATE: 04/28/26 QUOTE: 106646 9. Customer Responsible for Equipment Compatibility. The compatibility of any equipment and parts are the sole responsibility of Customer. Any replacement, repair, modification, trouble shooting, or additional components required to make any system compatible, whether new, used, or existing equipment or parts, will be billed to Customer at SME's current rates as per Section 8 above, plus materials and mark-ups. This includes, but is not limited to, payment network compatibility, electrical and plumbing requirements, code compliance, software and programming, satellites or any piece of equipment or part not provided by SMEin the Quotation or under a change order. Additional charges will be assessed for delays including but not limited to software malfunction, network connectivity or back -office issues. PLU and other advanced option programming are excluded. It is the Customers responsibility to verify all programming/pricing is accurate prior to technician leaving site. SME is not responsible for any costs, damages, losses, or expenses that may be incurred due to electronic system failures or data breach or corruption. This includes loss or corruption of data, connectivity for hardware, software, or other operations, virus or malware damages or tampering with programs, settings or reports that may arise as a result of or related to the Work of SME under the Contract. 10. Disclosure of Customer of Site Specific Requirements. It is the responsibility of Customer, at the time a request for a quotation is made, to disclose all requirements for insurance, endorsements, certifications, prevailing wages, reporting, or any conditions required by Customer for the performance of the proposed work in compliance with applicable laws. SME may request copies of permits to operate, plans, testing results, and site information at any time during the performance of the proposed work. Failure to disclose this information may result in additional charges. Failure to disclose site conditions that directly affect the performance of the work outlined in the Quotation may result in additional charges. 11. Compliance Testing_ Quotations for testing do not guarantee a passing test result. SME will make all reasonable attempts to achieve a passing test at the time the test is performed. This does not include the repair or replacement of any parts or equipment. Failed tests are the sole responsibility of Customer, and repairs made during testing will be billed at SME's current T&M rates as shown in section 8 above. Full payment of the cost of the testing, whether passed or failed, is Customer's sole responsibility and all balances for testing work are due at the time of invoice. NOTE: Test results will not be released or filed with regulators, and no further work will be performed by SME, until charges are paid in full. 12. Damage or Destruction. If any portion of the Work is destroyed or damaged by any accident, disaster, or calamity, such as fire, storm, flood, landslide, subsidence or earthquake, or by theft vandalism or malicious mischief (individually, a "Casualty"), Customer shall have the option of either (i) instructing SME to rebuild or restore the Work or (ii) terminating this Contract. In the event Customer elects to terminate this Contract, SME shall be paid for all Work completed as of the date of the Casualty including a pro rata percentage of profit and overhead, and both parties shall be relieved of an3 further obligation to the other under this Contract. Any work performed by SME in rebuilding or restoring the Work shall be handled as a change order and compensated pursuant to the provision on Time & Materials as set forth herein or pursuant to any rate sheet attached hereto. 13. Warranty. SME guarantees the quality of its workmanship for a period of one year from the date of issuance of its final invoice. This warranty is limited to defective construction and workmanship only and does not include any labor, parts, testing, trouble shooting, or replacement of any manufacturer's defective or failed equipment. Any warranties for new equipment and parts are solely between the Customer and the manufacture or seller of the equipment or parts. If any equipment or parts are purchased by SME as part of its quotation, SME will deliver to Customer all warranty documentation and if necessary, assign all warranties to Customer. Any request made by Customer, his/her employees or agents, for SME to repair or replace any piece of equipment for any reason (except if caused by the defective construction or workmanship of SME) is the sole responsibility of Customer and will be billed to Customer at SME's current time and materials ("T&M"), equipment rates and mark-ups. It is the sole responsibility of Customer to understand the terms and conditions of any and all warranties for equipment. Customer acknowledges and agrees that most manufacturer warranties do not include any labor charges. Except as otherwise specifically provided for herein, the liability of SME for defects or malfunctions of materials and equipment installed is limited to the warranties and guarantees of the manufacturers and/or suppliers of said materials and/or equipment. ALL OTHER WARRANTIES AND GUARANTEES, WHETHER EXPRESS, IMPLIED OR STATUTORY, ARE HEREBY DISCLAIMED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 14. Cancellation Before Mobilization. Customer acknowledges that SME may be purchasing specially ordered materials for the project and that portions of the work may be delegated to subcontractors. In the event of cancellation by Customer of this Contract prior to mobilization by SME on site, Customer agrees to reimburse SME for all incidental expenses incurred by SME to enter into this Contract, including SME's costs and expenses to obtain permits, any costs associated with preordered materials, and any cost, expense, or fee to terminate all executed contracts with subcontractors, and any other cost reasonably incurred in anticipation of undertaking the Work. 15. Right to Assign. This entire Contract or any portion of the work to be done hereunder may be assigned or subcontracted by SME at the discretion of SME. 16. Force Majeure. SME shall not be liable to the Customer for any loss, damage, or delays occasioned by fire, strikes, or material stolen after delivery upon premises, lockouts, acts of God, or the public enemy, accidents, boycotts, weather, floods, freight embargoes, causes incident to national emergencies, war, or any other causes beyond the control of SME. Any increase in the cost of the project, or the time to complete the project, necessitated by such delay shall be performed at SME's current time and material rates and cost mark-ups as a change order. 17. Additional Charges. Additional charges will be assessed for delays outside of the control of SME as well as charges associated with software malfunction, network connectivity or back -office issues. Estimated site downtime is based on equipment performance as published by the supplier or manufacturer. PLU and other advanced dealer option programming is not included. 18. LIMITATION ON DAMAGES. IN RECOGNITION OF THE RELATIVE RISKS, REWARDS AND BENEFITS OF THE PROJECT TO BOTH CUSTOMER AND SME, THE RISKS HAVE BEEN ALLOCATED SUCH THAT CUSTOMER AGREES THAT, TO THE FULLEST EXTENT s y Initial 14 2 of 4 Terms and Conditions QUOTATION DATE: 04/28/26 QUOTE: 106646 PERMITTED BY LAW, SME'S TOTAL LIABILITY TO CUSTOMER FOR ANY AND ALL INJURIES, CLAIMS, LOSSES, EXPENSES, DAMAGES, ATTORNEY' S FEES AND COSTS OR CLAIM ARISING OUT OF THIS CONTRACT FROM ANY CAUSE OR CAUSES, SHALL NOT EXCEED $50,0000 OR THE LABOR CHARGE AMOUNT PAID BY CUSTOMER TO SME UNDER THIS CONTRACT, WHICHEVER IS GREATER. SUCH CAUSES INCLUDE, BUT ARE NOT LIMITED TO, NEGLIGENCE, ERRORS, OMISSIONS, STRICT LIABILITY, AND BREACH OF CONTRACT OR BREACH OF WARRANTY, UNLESS OTHERWISE PROHIBITED BY LAW. SME IS NOT RESPONSIBLE FOR CUSTOMER LOSS OF REVENUE, INCOME OR PROFITS UNDER ANY CIRCUMSTANCE. ESTIMATED DOWN TIMES, IF GIVEN IN THIS QUOTE, ARE ONLY AN ESTIMATE BASED ON INDUSTRY STANDARDS AND/OR EXPERIENCE. 19. Independent Contractor. SME hereby declares that it is engaged as an independent business, and agrees to perform the Work as an independent contractor and not as the agent, employee or servant of Customer. SME has and hereby retains the right to exercise full control and supervision of the Work and full control over the employment, direction, compensation and discharge of all persons assisting in the Work. 22. Protection of Work, Materials and Equipment. SME shall protect its work, materials and equipment on the project site and shall not damage or unduly interfere with the work, materials or equipment of others. SME's duty to protect the Work, materials and equipment shall terminate when SME completes, and Customer accepts, the Work, provided SME provides Customer forty-eight (48) hours' prior written notice of such completion. SME shall not be liable for the repair or replacement, except upon the payment of reasonable compensation, of any of its Work or installations damaged directly or indirectly through, by, or as a result of defective design by Customer's architect or engineer, or defective materials directly supplied and installed by Customer or Customer's representative. 23. Mediation. Any controversy or claim arising out of or relating to this Contract, or a breach thereof, shall first be submitted to non -binding mediation under the Construction Industry Mediation rules of the American Arbitration Association, or any other mediation process the parties agree upon. Customer and SME agree to include a similar mediation provision with all contractors, sub -contractors, sub -consultants, suppliers and fabricators, thereby providing for mediation as the primary method for dispute resolution between all parties. This agreement shall be construed in accordance with, and governed by, the laws of the State of Washington. All proceedings commenced under this section, including any mediation or arbitration shall be conducted in Pierce County. 24. Indemnification. Customer shall, to the fullest extent permitted by law, indemnify, defend, and hold harmless SME, its officers, directors, employees, agents and any other representatives from and against all damage, liability and cost, including reasonable attorney's fees and defense costs arising out of or in any way connected with the performance by any of the parties named above of the services under this Contract, excepting only those damages, liabilities or costs attributable solely to the gross negligence or willful misconduct of SME. 25. Acceptance of Quotation. The Quotation will become a contract between the Customer and SME at the time it is accepted by Customer. To accept the Quotation, and enter into a binding contract for the work specified therein, Customer must sign below. No work will begin until the signed Quotation is received by SME and deposit is paid if required. Cancellation of the Contract may result in charges to Customer for non -returnable equipment, parts restocking, permit and planning work and the like. A portion or all of Customers deposit may be retained for payment of the foregoing charges. 26. No Guarantee of Performance for Environmental Remediation. Customer recognizes and acknowledges: that the means and methods to be used by SME in remedying contamination by hazardous wastes involve inherent risks and may cause further contamination or releases from the site; that SME is a construction firm, not expert in the engineering or design aspects of developing remedial action(s) to address hazardous material; that SME cannot therefore guaranty or warrant the performance or results of its work in that regard; that SME is not the "operator" of the project or site, is not a "hazardous waste generator, and that SME shall not be designated as the responsible party on any manifest or documentation for the removal, transportation, or disposal of hazardous materials from the site. Unless specifically indicated elsewhere in the Contract, SME will not provide a performance bond and may not maintain contractor's pollution liability insurance, but if requested to secure such insurance, and if SME is able to secure such insurance, will provide same as an additional expense to Customer. 27. Contractor's License and Bond Notice. Contractors are required by law to be licensed and regulated by the Contractors' State License Board which has jurisdiction to investigate complaints against contractors if a complaint regarding a patent act or omission is filed within four years of the date of the alleged violation. A complaint regarding a latent act or omission pertaining to structural defects must be filed within ten (10) years of the date of the alleged violation.
