Deliver a polished library of assets suitable for web, socia media, paid advertising, and partner marketing usage within 30 days of the scheduyled photoshoot. 4. Highligh key areas including; Frenchman Coulee, Beverly Sand Dunes Off road Area, Sun Lakes —Dry Falls State Park Coulee City, Moses Lake Downtown Area (featuring a brewery/burger stop such as Moore Brewing, Moses Lake Taproom, or Ten Pin Brewing), Moses Lake Mud Flats and Sand Dunes, Fishing in lakes in Grant County, and Camping / recreation in the area. 5. Promote Grant County content on 9Washington Explored Instagram page with over 165,000 followers, primarily located in Washington. Production Approach: Content capture will utilize high -quality DSLR camera systems and drone aerial cinematography to produce dynamic, cinematic visuals across landscapes, activities, and local stops. PRIVACY Explored Co. LLC ("Explored Co.") values Client's privacy and is committed to protecting personal and business data.. Information collected in connection with this Agreement shall be used solely for the purpose of performing the services set forth herein. Explored Co. will not share, sell, or disclose such data to any third party without Client's prior written consent, except as required by law. Both parties agree to comply with all applicable privacy and data protection laws. 2. OWNERSHIP OF WORK PRODUCT Upon full and final payment of all amounts due under this Agreement, all deliverables, creative assets, and materials specifically created for the Client ("Work Product") shall become the sole and exclusive property of the Client. Explored Co. is granted a non-exclusive, non -transferable right to display completed work for promotional purposes, including but not limited to the Explored Co. website, portfolio, and social media accounts, provided that such display does not disclose confidential client information. 0!CHANGES TO SCOPE Any changes or modifications to the agreed -upon Statement of Work ("SOW") must be documented in writing and signed by both parties.Such changes may impact uthe project scope, timeline, u,cost. nuchange in additional costs, those costs must be mutually agreed upon in writing prior to implementation. A revised SOW will be issued reflecting all approved changes. 4L?ERMiNATION The Client i this Agreement at any time by providing written notice to Explored Co. Work completed up to the date of termination shall be invoiced at a rate of $150 per hour, unless otherwise specified in the SOW. All outstanding invoices must be paid within 30 calendar days of the termination date. Explored Co. may terminate this Agreement upon providing written notice to the Client. In such case, Explored Co. shall complete any in -progress deliverables as reasonably possible. Completed work will be billed at a pro -rated amount or $150 per hour. 5.FAYMENT TERMS Payment for services will bestructured with a3D-50%deposit d h to the start of work, andthremaining balance due immediately upon completion of the contracted deliverables. Specific payment terms may vary by project and will be detailed on the pricing and signature page of this Agreement. Late payments may incur a 5% monthly finance charge or the maximum amount permitted by law, whichever is lower. Explored Co. reserves the right to suspend or withhold delivery of work in the event of non-payment. If Explored Co. is required to take legal actionzorecover any amounts owed under this Agreement, the Client shall be responsible for all reasonable attorneys'fees, court costs, and collection expenses incurred by Explored Co., except where prohibited by law. 6. LIMITATION OF LIABILITY Explored Co. makes no guarantees of revenue, profit, or results. Client assumes all business risk. Explored Co. shall not be liable for any loss of revenue, profit, goodwill, or other indirect or consequential damages. Total liability shall not exceed the fees paid byClient under this Agreement. 7.CONFIDENTIAL|TY Both parties agree to maintain strict confidentiality of any proprietary or sensitive information exchanged under this Agreement execp1 as required by law.. This obligation shall survive termination or expiration ofthis Agreement. 8. GOVERNING LAW f&JURISDICTION This Agreement shall begoverned b and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under or related to this Agreement shall be subject to the exclusive jurisdiction and venue of the courts located in Grant County or Kittitas County in Washington 8(sde.' 9.
