Content will highlight iconic landscapes, off -road destinations, local culture, fishing, and camping —packaged into a cohesive narrative designed for tourism promotion, digital marketing, and social content. Note: Exact locations, routes, and access points are to be approved prior to production. Objectives: 1. Capture premium outdoor lifestyle content (photo + video) that reflects the breadth of Grant County recreation and scenery. IE; Off roading, Hiking, Fishing, Camping, and Exploring. 2. Tell a compelling "weekend adventure" story that positions Grant County as a hidden gem between Washington's two largest cities (Seattle and Spokane). 3. Deliver a polished library of assets suitable for web, socia media, paid advertising, and partner marketing usage within 30 days of the scheduyled photoshoot. 4. Highligh key areas including; Frenchman Coulee, Beverly Sand Dunes Off road Area, Sun Lakes —Dry Falls State Park Coulee City, Moses Lake Downtown Area (featuring a brewery/burger stop such as Moore Brewing, Moses Lake Taproom, or Ten Pin Brewing), Moses Lake Mud Flats and Sand Dunes, Fishing in lakes in Grant County, and Camping / recreation in the area. 5. Promote Grant County content on @Washington Explored Instagram page with over 165,000 followers, primarily located in Washington. Production Approach: Content capture will utilize high -quality DSLR camera systems and drone aerial cinematography to produce dynamic, cinematic visuals across landscapes, activities, and local stops. Explored Co. will provide an outfitted Jeep vehicle or similar off road themed vehicle built for off-road/adventure, plus adventure gear to be featured throughout the content: Fishing equipment, Camping equipment, Off -road equipment / recovery gear. Grant County. We're exploring Grant County for the weekend —because this hidden gem is packed with outdoor recreation and history." 2) Short -Form Vertical Videos (Social/Ads/Web) -Minimum of twelve (8) vertical videos, 60 seconds or less each -Designed for social media, websites, Facebook/Meta ads, and other digital placements -Mix of: location highlights, activity moments, scenic reels, and "quick hits" 3) Photo Set -150+ edited, high -quality photos -Fully curated and edited for clarity, color, and consistency -Delivered in organized folders by location/activity 4) Promotion on @Washington Explored -Minimum of 10 posts over the course of Spring/Summer (combination of photo/video) across @Washington Explored instagram page with 165,000+ followers primarily located in Washington promoting Grant County and calling to action users to follow Grant County Tourism's Instagram page and downloading the app. (other promotional calls to action can be discussed) ?a PAGE 2/4 THIS AGREEMENT IS ENTERED INTO BETWEEN EXPLORED CO. LLC ("CONTRACTOR") AND GRANT COUNTY TOURISM ("CLIENT99), EFFECTIVE AS OF 1/1/2026~ 1_PRIVACY Explored Co. LLC ("Explored Co.") values Client's privacy and is committed to protecting personal and business data. Information collected in connection with this Agreement shall be used solely for the purpose of performing the services set forth herein. Explored Co. will not share, sell, or disclose such data to any third party without Client's prior written consent, except as required by law. Both parties agree to comply with all applicable privacy and data protection laws. 2. OWNERSHIP OF WORK PRODUCT Upon full and final payment of all amounts due underthis materials specifically created for the Client ("Work Product") shall become the sole and exclusive property of the Client. Explored Co. is granted a non-exclusive, non -transferable right to display completed work for promotional including but not limited mthe Explored Co. website, portfolio, and social media accounts, provided that such display does not disclose confidential client information. 3.K]HANGES TO SCOPE Any changes or modifications to the agreed -upon Statement of Work ("SOW") must be documented in writing and signed by both parties. Such changes may impact the project scope, timeline,or cost. nachange in additional costs, those costs must be mutually agreed upon in writing prior to implementation. A revised SOW will be issued reflecting all approved changes. 4.TERM!NATION The Client i this Agreement at any time by providing written notice to Explored Co. Work completed up to the date of termination shall be invoiced at a rate of $150 per hour, unless otherwise specified in the SOW. All outstanding invoices must be paid within 30 calendar days of the termination date. Explored Co. may terminate this Agreement upon providing written notice to the Client. In such case, Explored Co. shall complete any in -progress deliverables as reasonably possible. Completed work will be billed at a pro -rated amount or $150 per hour. 5.PmYME0T TERMS Payment for services will be structured with a 30-50% dsit due priortothe start ofwork, and the remaining balance due immediately upon completion ofthe contracted deliverables. Specific payment1enn by project and will be detailed on the pricing and signature page of this Agreement. Late payments may incur a 5% monthly finance charge or the maximum amount permitted by law, whichever is lower. Explored Co. reserves the right to suspend or withhold delivery of work in the event of non-payment. If Explored Co. is required to take legal actionmrecover any amounts owed under this Agreement, the Client shall ooresponsible reasonable attorneys'fees, court costs, and collection expenses incurred by Explored Co., except where prohibited by law. 6. LIMITATION OF LIABILITY Explored Co. makes no guarantees of revenue, profit, or results. Client assumes all business risk. Explored Co. shall not be liable for any loss of revenue, profit, goodwill, or other indirect or consequential damages. Total liability shall not exceed the fees paid byClient under this Agreement. ?.CONF|DENTIALITY Both parties agree to maintain strict confidentiality of any proprietary or sensitive information exchanged under this Agreement execpt as required by law.. This obligation shall survive termination or expiration of this Agreement. 8. GOVERNING LAW &JUR|SD|CTION This Agreement shall begoverned b and construed inaccordance with the laws ofthe State ofWashington, without regard to conflict of law principles. Any disputes arising under or related tothis Agreement shall be subject to the exclusive jurisdiction and venue of the courts located in Grant County or Kittitas County in Washington State."' 9. ENTIRE AGREEMENT This Agreement, including any attached Statements of Work, constitutes the entire understanding between the parties and supersedes all prior negotiations, communications, or agreements, whether written ororal. Any modification to this Agreement must be in writing and signed by both parties.
