This AGREEMENT (Agreement) is made and entered into by and between GRANT COUNTY,
WASHINGTON (County),, a political subdivision of the State of Washington, by and through
Renew and QUINCY SCHOOL DISTRICT (District), a public school district as defined in Title 28A
RCW and a political subdivision of the State of Washington, as authorized and pursuant to by
the Interlocal Cooperation Act, RON 39.34 et seq,
This Agreement establishes a formal partnership between District and Renew, along with
Quincy Partnership for Youth Coalition (QYP), to deliver the Strengthening Families Program
(10-14), an evidence -based program designed to prevent substance use and enhance positive
family communication sWills. The program aligns with the District's strategic foundation by
supporting Its goals of fostering family partnerships, Improving,stud ent success, and
strengthening the overall well-being of youth and families within the community.,
AGREEMENT:

the ... Quinu-School Di The District agrees to support QPY 'in the
following ways.
a) The Strengthening Families Program (10-14) will be implemented In two separate
sessions per school year. The language of Instruction (English or Spanish) will be
determined by the District. The program will be scheduled to maximize community
engagement and Impact.
b) Endorsement: Support the Strengthening Families Program (10-14) as an 'Important
initiative for youth, families, and community engagement,

c) Staffing: Provide facilitators and childcare staff for the program, with tn QSD invoicing QpY
for associated costs, including stipends.
d) Facilitator Oversight: Ensure facilitators are present at all required sessions, fulfilling
their responsibilities and delivering the program with fidelity according to the established
guidelines and expectations.
e) Promotion & Recruitment: Collaborate with Qp to promote the program and recruit
families and students for participadom
Marketing: Assist In designing and distributing promotional materials through district
communication channels.
g) Volunteer Opportunities. Encourage students to volunteer for service hours, assisting
with logistics and childcare during program sessions.,

a) Program Funding: Fully fund the program, including purchasing supplies and marketing
materials* QPY will proVide payment to the district to cover the overall costs of the
program, 1 t

b) Promotion & Recruitment: Collaborate with QSD to promote and recruit participants.

with applicable laws, regulations,, and HA/ DBHR requirements.

a) Facilitator Stipend: Facilitators will receive a stipend of $3,3 for completing seven
sessions of the Strengthening Families Program, If fewer than seven sessions are
completed., the stipend will be prorated based on the number of sessions facilitated.
0 Four Facilitators per -Spanish and English 'Implementation of SFP,,
b) Childcare Staff-, Childcare staff will receive $70 per session worked, with an expected 2.5
hours per session, Payment will be processed according to district payroll procedures.
1) Two Childcare Staff for all 14 sessions (seven per language),
c) Payment Process: The District will submit an invoice to Renew for the total facilitator
and childcare stipends, Upon receipt of the invoice, Renew will issue a check to the
district to cover these costs,
5) Health-, Care Authority, Requirements,
a) The District agrees to comply with the t6rms and conditions of the Health Care Authority
(HCA) Agreement, Including.
1) Subcontract Language. It is the Contractor's (County) sole responsibility to ensure
that its subcontractors (District) performing services under this Agreement meet the
re-quirements below and as otherwise outlined in the HCA Agreement when providing
spS ices to patients, clients or persons se Win assistance, which include but are not
limited to.,
(1) Subcontractor's Identifying information, *Including UE1 number and Zip code +4 of
District.
(2) Applicable definitions.
(3) Identification of purpose and term of subcontract.
(4) Federal and state laws as applicable:
(a) Thi's includes, but Is not limited to-, 45 C.F,R,, Part 75,, Uniform Administrative
Requirements, Cost Principles, and Audit Requirements, "If applicable to the
Nstrict,
(5) Subrecipient requirements as applicable,
(6) Identification of funding sources and associated funding requirements.
(7) Determination of eligible clients.,
(8) Compensation and billing arrangementin compliance with the HCA Agreement
and the Substance Use Disorder Prevention and Mental Health Promotion
Services Billing Guide,
(9) Termination and contract closeout language as applicable to include:
(a) That termination of a subcontract shall not be grounds for a fair hearing for
the service applicant or a grievance for the recipient if similar services are
Immediately available In the county; and
(b) What actions the Subrecipient Will take in the event of a termination of a
subcontractor to ensure all prevention data on services provided have been
entered into Minerva and/or SAPI data reporting system..
(10) How service recipients will be informed of their right to a grievance in the case
of
(a) Denial or termination of service; or
(b) Failure to act upon a request for services with reasonable promptness.
(11) Statement of work and/or 'Identification of deliverables and plan for monitoring,

(1) Identification of data entry 'Into Minerva and/or SAPISP data reporting system, as
applicable.
(13) Authorization for Contractor to conduct an 'Inspection of any and all
subcontractor facilities where services are performed, 'Including for contract

monitoring activities.;
(a) Requirement that subcontractors will perform background checks on its
employees and independent contractors used to perform the services.
(14) FBO requirements, if applicable.
(15) Insurance requirements.
(16) Debarment and suspension certification.
(17) Protection of confidential information and restrictions on the providing and
sharing of data.
(18) Federal compliance, certifications, and assurances as applicable.
(19) _..�AMHSA award terms as applicable; and
(2) ;_'Jo-dentifying unallowable uses of federal funds if applicable.
ii) On -Site Monitoring: The Contractor shall:
(1) Conduct a subcontractor review which shall include at least one (1) on -site visit,.
annually, to each subcontractor site providing services to monitor fiscal and
programmatic compliance with subcontract performance criteria for the purpose
of documenting that the subcontractors are fulfilling the requirements of the
subcontract unless otherwise specified.
(2) Submit written documentation of each on-silte visit within thirty (30) calendar
days upon completion to HCKs Contract Manager or designee. A copy of the full
report shall be kept on file by the Contractor.
6) Effective —..aa.Le..Of..AgLeement. This Agreement shall be effective January 1, 2026 and shall
terminate on June 10, 2026.
7) Termination. This Agreement may be terminated by either party for any reason on giving
thirty (30) days advance notice in writing of its intention to do so.
8) Notices. All notices pursuant to this agreement shall in writing and shall be transmitted
by facsimile or United States Postal service, postage prepaid, Any such notice is effective
upon receipt by the party to whom the notice is directed, Proof of delivery via facsi mile shall

be sufficient upon showing of a receipt of successful transmission produced by the sending
facsimile machine and Indicating the telephone number to which the transmission was sent,
provided that the receipt indicates the transmission was sent to the phone number of the
Intended recipient,

9) Sarabil,, If any termt provision, covenant, or condition of this Agreement should be held
by a court of competent Jurisdiction to be Invalid, void or unenforceable, the remainder of
this Agreement shall continue In force and effect and shall in no way be affected,, Impaired
or invalidated,
10) Indemnification. To the fullest extent permitted by law, the District shall Indemnify and hold
harmless the Countyf Its officers, its commissioners, its agents and its employees from and
against any liability, suits., claims, actions, damages, losses and expenses of whatsoever
Wind or nature including, but not limited to, attorney's fees and costs arising out of.. In
connection with,, or incident to the District's performance of the terms of this Agreement,
including 'specifically claims or suits based In whole or in part of deficient or inadequate or
negligep.tr ,pcts or omissions on the part of the District, its employees, and/or its agents and
its /their4Wformance under this Agreement. This indemnity shall also cover all losses,
claims, expenses, attorneys fees, liabilities, and judgments, 'Including those for personal
injury or death or for damages to personal property, Irrespective of whether In connection
with such act or ornission, it Is alleged or claimed that the negligence of the County and/or
Renew or its representatives or third parties caused or contributed thereto. This indemnity
provision is not Intended to indemnify the County from the negligence of County's own
employees, officers, or agents.,
11) To the fullest extent permitted by law, the County shall indemnify and hold harmless the
District, Its officers,, its directors, Its agents and its employees from and against any liability,
suits, claims, actions, damages,losses and expenses of whatsoever Wind or nature Including,
but not limited to, attorney's fees and costs arising out of, In connection with, or *incident to
the Counts performance of the terms of this Agreement, Including specifically iy claims or
I suits based In whole or n part of deficient or inadequate or negligent acts or omissions on

the pa of the County, its employees, and/or Its agents and Its/their performance under
this Agreement. This indemnity shall also cover all losses, claims, expenses, attorneys fees,,
liabilities and )ud m nts, including those for personal injury or death or for damages to
personal property, irrespective of whether in connection with such ad or omission, it is
alleged or claimed that the negligence of the District or its representatives or third parties
caused or contributed thereto. This Indemnity provision Is not Intended to Indemnify the
District from the negligence of District's own employees, officers or agents.
12) Provided: Neither this Agreement or any content herein, shall create an employer -employee
or principal -agent relationship, and or partnership or joint venture between Renew and the
District. The status of Renew concerning this Agreement is that of an independent
contractor.
13) 6dministration of 6gLegLngot, No new or separate legal or administrative entity is created to
administer the provisions of this Agreement. This Agreement shall be administered by
Renew and the District, Issues and/or disputes related to implementation of the Agreement
shall be referred to each respective governing authority for resolution. Provided: either party
shall be entitled to seek legal remedies Including, but not limited to, such remedies as, set
forth In Chapter 3934 RCWO
14) Insurance., For the duration of this Agreement, each party shall maintain Its own insurance;
insuring damage to its own real and personal property and equipment,
15) &-sAimen . Neither party to this Agreement shall be permitted to assign Its rights or
obligations herein without the advance and express written consent of the other party.

6) Applicable Law - Venue. This Agreement shall be governed by and interpreted according t
the laws of the State of Washington, In the event of any suit or action or other legal
proceeding to enforce this Agreement, venue shall be a curt of competent jurisdiction in
Grant County, Washington.
17) Ithor%.. ,. Each of the undersigned hereby represents and warrants to the other party that
they have the authoritty to execute and carry out the terns of this Agreement.
1 No Waiver, No failure of Renew or the District to insist on the strictest performance of any
term of this Agreement shall constitute a waiver of any Such term or an abandonment
this Agreement,
19) Disposal ofPr t)g ft. No real or personal property will be Jointly acquired by the parties
under this Agreement. All property owned by each of the parties shall remain its sole
property to hold and dispose of in its sole discretion.
20) Entire Aareem.ento This Agreement constitutes the complete agreement among the paffles
hereto, wi h respect to the subject matter Herein and supersedes all prior agreements,
contracts,Viand understanding, wr itten end oral.
