W YES ❑ NO ❑ N/A 'l -Now DATE OF ACTION: 12 DEFERRED OR CONTINUED TO: APPROVE: DENIED ABSTAIN D2: D3: WITHDRAWN: 4/23/24 Docusign Envelope ID: 7E55B74D-71C7-4DDF-A3B5-04FAD78DCBB0 THIRD AMENDMENT TO BEHAVIORAL HEALTH SERVICES TELEMEDICINE AGREEMENT THIS THIRD AMENDMENT TO BEHAVIORAL HEALTH SERVICES TELEMDICINE AGREEMENT (this "Third Amendment") is made by and between SEATTLE CHILDREN'S HOSPITAL, a Washington non-profit corporation ("Children's), and GRANT COUNTY, WASHINGTON, a political subdivision of the State of Washington, by and through its operating division, Renew ("Renew"). RECITALS A. Renew and Children's are currently party to that certain Behavioral Health Services Telemedicine Agreement last executed on May 5, 2015, as amended by First Amendment effective as of August 1, 2023, and later amended by Second Amendment effective as of August 1, 2024, (together, the "Agreement"), pursuant to which Children's provides or arranges for the provision of certain behavioral health telemedicine services to pediatric and adolescent patients of Renew. B. The term of the Agreement is currently set to expire on July 31, 2025. C. The parties now wish to extend the term of the Agreement AGREEMENT NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties amend the Agreement as follows: 1. Term. The term of the Agreement is extended through July 31, 2026. 2. Effect. Except as amended in this Third Amendment, all terms and conditions of the Agreement shall remain unchanged and shall continue in full force and effect. This Third Amendment may be executed electronically and in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
