C1 YES ❑ NO DATE OF ACTION: DEFERRED OR CONTINUED TO: WITHDRAWN: APPROVE: DENIED ABSTAIN /1" D2: D3: ❑ N/A RECEIVED AUG 1 1 2025 4/23/24 GRANT COUNTY COMMISSIONERS K25-167 INTERLO CAL AGREEMENT BETWEEN THE GRANT COUNTY SHERIFF'S OFFICE, WA AND THE CITY OF WARDEN, WA RELATING TO PROVISIONS OF INTERIM CHIEF OF POLICE SERVICES This Agreement is made and entered into this 14th day of July, 2025 by and between the Grant County Sheriff s Office, Washington, hereinafter referred to as "Sheriff s Office", and the City of Warden, a non -charter code city, herein referred to as "Warden" for the provisions of this interim chief of police services. Recitals: 1. Warden is currently and temporarily without a chief of police and needs the assistance and service of an interim police chief; 2. The Grant County Sheriffs Office has the ability to provide Warden the services of a temporary interim chief of police; 3. This agreement will provide for the immediate needs of Warden with adequate compensation to the Grant County Sheriff s Office. NOW THEREFORE, the Sheriff's Office and Warden hereby agree as follows: 1. Authori This Interlocal Cooperation Agreement is executed pursuant to the authority conferred upon the parties on Chapters 10.93 and 39.34, RCW. In all respects, the parties shall be deemed to be acting in their governmental capacities. 2. Interim. Police Services. The Sheriff's Office agrees to make its Lieutenant, Nick Overland, available to Warden as a temporary, interim police chief. 3. Scope of Services. The Interim Chief services will be provided by the Sheriff's Office through its designee, Lieutenant Nick Overland. 4. Consideration. As consideration for such services, Warden agrees to pay the Sheriff's Office $65.41 per hour for all regular time Lieutenant Nick Overland spends acting as Interim Chief for Warden, and $15 3.8 7 per hour for all overtime Lieutenant Nick Overland spends acting as Interim Chief for Warden. For purposes of payroll, Lieutenant Nick Overland's Sheriff's Office schedule shall control when determining regular versus overtime hours worked. The Sheriff's Office shall bill Warden monthly. Lieutenant Nick Overland will continue to wear his Sheriff's Office uniform and utilize his Sheriff's Office issued equipment and gear. 5. Terms of Agreement. This Agreement shall be effective July 14th, 2025, after execution by both governing bodies, and shall continue in full force and effect for a period of up to one (1) month, unless otherwise terminated by either party as provided in Paragraph 16. This Agreement shall automatically end upon the hiring of a full-time Chief of Police by the City of Warden. 6. Pro e . It is not expected that property shall be acquired or disposed of on behalf of this Agreement. The properly owned by Warden and used in providing the services under the terms of this agreement shall remain property of Warden and the property owned by the Sheriffs Officeand used in providing services under the terms of this agreement shall remain property of the Sheriffs Office. 7. Details of Services. The Interim Police Chief is an administrative, supervisory, professional position responsible to plan, organize, and manage operations inc uding : Warden Police Department (WPD) • Review the leadership structure within the WPD and, in consultation with the Mayor, modify said structure if needed. • Create, supervise, and monitor work schedules and duty calendar for the efficient operations of the WPD and its personnel. • Assist, mentor, and train officers as necessary. • Assist the Mayor with the recruitment and selection of a new Police Chief. • Create an inclusive and positive environment for the police department. • Provide guidance and oversight of operational activities. • Per the Mayor's request, provide such other guidance as may be necessary and within the regular duties of a Chief of Police. These duties will be performed in accordance with Warden's chain of conunand and adopted policies and procedures. 8. Liability. In executing this agreement, the Sheriffs Office does not assume liability or responsibility for or in any way release Warden from any liability or responsibility, which arises in whole or in part from the existence, validity or effect of Warden ordinances, rules or regulations. If such cause; claim, suit, action or administrative proceeding is commenced; Warden shall defend the same at its sole expense and if judgement is entered or damages are awarded against the Sheriff's Office, Warden shall satisfy the same. 9. Contract Administration. The parties do not by this Agreement create any separate legal or administrative entity. The Warden Mayor and the Grant County Sheriff shall be responsible for administering the terms of this Agreement. The parties do not intend to jointly own any real or personal property as part of this undertaking. 10. No Third Party Beneficiary. The provisions of this Agreement are not intended to create any third -party beneficiary contract rights, and therefore, none should be deemed created by the Agreement. The Agreement between the parties is only intended to create rights and/or obligations between the signatory parties. 11. Governing Law. This Agreement is entered into shall be governed by the laws of the Sate of Washington. In the event of a dispute, the venue shall lie in Kittitas County, Washington. 12. Amendment and Waiver. This Agreement may be amended by mutual written agreement of the parties. No waiver by any party of any term or condition of this agreement shall be deemed or construed waiver of any other term or condition, nor shall a waiver of any breach be deemed to constitute a waiver of any subsequent breach whether of the same or a different provision of this Agreement. 13. Insurance Requirements. Each party to this Agreement shall maintain and procure for the duration of this Agreement insurance against claims for the injuries to persons or„damages to property or persons. The City of Warden shall provide insurance coverage for Lieutenant Nick Overland solely for claims or lawsuits arising out of his official duties. as Interim Police Chief for the City of Warden, with limits of no less than $20 million per occurrence. 14. Waiver of Breach. The failure of either party to this Agreement to insist upon strict performance of any of the covenants and agreements contained in this Agreement, or to exercise any option or right conferred by this Agreement, in any one or more instances shall not be construed to be a waiver or relinquishment of any such option or right of any other covenants or agreements which shall all be and remain in full force and effect. 15. Workers Compensation Industrial Insurance. Both parties agree to provide Workers Compensation Industrial Insurance through Washington Department of Labor and Industries during the times that Lieutenant Nick Overland works for each of them. 16. Notices. Any notice required or desired to be served, given, or delivered hereunder shall be in writing and shall be deemed to have been validly served, given, or delivered upon deposit in the United States mail by registered or certified mail with proper postage paid and addressed to the party to be notified. Each party shall include the applicable address below the signature block hereof. 17. Severability. If any term, provision, covenant, or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provision hereof of shall remain in full force and effect and shall in no way be affected, impaired, or invalidated as a result of such decision. 18. Captions. The captions used herein are for convenience only and are not part of this Agreement and do not in any way limit or amplify the terms and provisions hereof. 19. Termination of Agreement. Upon thirty (30) days prior written notice, either party may terminate this Agreement. If for any reason during the term of this Agreement, Lieutenant Nick Overland does not continue to work in the position of Lieutenant for the Grant County Sheriff's Office, this Agreement shall be immediately terminated. IN WITNESS WHEREOF, the parties hereto have executed this Agreement, effective on the date shown above. The signatories below represent and warrant that they possess the authority to execute this Agreement and bind their respective entities.
