Thank you for being part of the upcoming Semiquincentennial of the United States in 2026, commemorating the 250 years since the signing of the Declaration of Independence in 1776. This is a once -in -a-generation opportunity to come together with a shared purpose in reflecting on the past and building stronger, more connected communities in the future. As an America's 250th partner, you now have access to the following benefits: • Your organization name and website on the America250WA.org partner page • Ability to post your America 250-related events and activities on our statewide calendar of events (coming soon) • Use of the official Washington State America's 250th partner logo and other marketing materials • Access to various toolkits and guides designed to help you plan local activities • Monthly partner newsletter with specific suggestions, activity highlights from other partners, updates from the state level, and notices about nationwide programs. RECITALS Whereas Licensee is a governmental, educational, or incorporated not -for -profit organization or Legal entity Whereas WSHS has adopted and is using the Washington State America's 250th Logo ("WA Logo") Whereas the WA Logo is the excLusive property of WSHS Whereas the United States SemiquincentenniaL Commission ("Commission") has adopted and is using the America250 Logo and Visual. Identity ("A250 Logo") Whereas the A250 Logo is the excLusive property of the Commission Whereas the Commission has granted an excLusive License to America250.org, Inc. ("America250"), a DeLaware nonprofit corporation, to use and subLicense use of the A250 Logo Whereas WSHS has entered into an agreement with America250 to aLLow subLicensing of the A250 Logo Whereas WSHS is deveLoping marketing materiaLs (incLuding but not Limited to photographs, videos, tempLates, and other materiaLs), some of which wiLL contain material. from certain contractors that are the excLusive property of their respective owners and/or creators (hereinafter referred to as "Contractors") Whereas WSHS has entered into agreements with Contractors to subLicense the marketing materiaLs Washington State America's 250th Logo and Marketing Materials License Agreement I May 20, 2025 1 1 • Whereas the Licensee wishes to use the WA Logo, the A250 Logo, and/or marketing materials, hereinafter collectively referred to as "250 Materials" In consideration of the matters described above, and of the mutual benefits and obligations set forth in this Agreement, the parties agree as follows: OWNERSHIP AND CONTROL Licensee acknowledges WSHS's, the Commission's, and the Contractors' ownership of their respective 250 Materials and that the owners retain all rights, title, and interest in and to the 250 Materials. Licensee agrees that it is prohibited from interfering with the owners' rights in the 250 Materials. Licensee is further prohibited from attempting to copyright or register the 250 Materials, or any confusingly similar materials or marks as a U.S. or foreign trademark. Any rights asserted by Licensee or goodwill from use of such 250 Materials by Licensee shall be to the benefit of the owners of the 250 Materials. GRANT OF LICENSE WSHS grants to Licensee a Limited, non-exclusive, non -transferable, revocable, royalty - free right to use the 250 MateriaLs for the purposes described in this Agreement. USE OF 250 MATERIALS Sign this Agreement - Licensee may only use the 250 MateriaLs after obtaining written authorization from WSHS by execution of this Agreement. Follow the 250 Materials Guidelines - Licensee must use the 250 MateriaLs consistent with WSHS' Washington State America's 250th Brand GuideLines (Attachment A) and the America250 Visual. Identity GuideLines (Attachment B). WSHS and America250 reserve the right to amend their respective guideLines at any time, and Licensee agrees to comply with the most current version of either guideLines document. No Commercial, Religious, or Political Use - Licensee may not use the 250 MateriaLs for any commercial. or reLigious purposes, or in connection or support of any poLiticaL candidate, campaign, or issue. For Your Use Only - Licensee may not share the access Link or files of the 250 MateriaLs with any other person or entity; use the 250 MateriaLs in connection with another person or entity's goods, services, or promotional. materiaLs; or transfer, assign, or subLicense its rights under this Agreement. Appropriate Use Only — Licensee may use the 250 MateriaLs only for the purpose of commemorating the 250th anniversary of the signing of the DecLaration of Independence and reLated activities or initiatives. Licensee may not use the 250 Washington State America's 250th Logo and Marketing Materials License Agreement I May 20, 2025 1 2 Materials in anyway that WSHS considers to be unlawful, defamatory, offensive, misleading, or infringing on the rights of WSHS or any third party. WSHS shall have the right, at all reasonable times, to inspect Licensee's goods, services, and promotional materials employing the 250 Materials to ensure that such use is consistent with this Agreement, and may terminate this Agreement should WSHS determine that the use is inconsistent with this Agreement, or for any reason in WSHS's discretion. Licensee further agrees to be bound by all Licensing terms and Limitations applicable to WSHS for the A250 Logo, and understands that America250 may terminate permission to use the A250 Logo in its discretion. Licensee further agrees to be bound by aLL Licensing terms and Limitations appLicabLe to WSHS for the use of marketing materiaLs developed with Contractors, and understands that Contractors may terminate permission to use their respective marketing materiaLs in their discretion. DURATION AND TERMINATION This Agreement begins on the date Licensee signs the Agreement, and shaLL terminate on June 30, 2027 unless terminated earLier. Licensee may request a renewal. of this Agreement, subjectto the discretion and express written consent of WSHS. For any reason in its discretion, WSHS may terminate this Agreement without prior notice. America250 may terminate permission to use the A250 Logo in its discretion. Contractors may terminate permission to use the marketing materiaLs within their discretion. WSHS shaLL notify Licensee of such termination in writing. Upon termination of this Agreement, aLL rights of Licensee to use the 250 MateriaLs shaLL terminate and Licensee must discontinue aLL use and dispLay of the 250 MateriaLs immediateLy. INDEMNIFICATION To the extent permitted by Law, Licensee shaLL indemnify, defend, and hold harm Less the State of Washington and WSHS, its employees, agents, officers, and assigns from and against aLL cLaims, suits, or actions that may arise as a result of the use of the 250 Materials. GOVERNING LAW This Agreement shaLL be governed by and construed in accordance with the Laws of the State of Washington and venue of any proceedings regarding this Agreement shaLL be in the Superior Court of Thurston County, Washington. WAIVER A failure by either party to exercise its rights under this Agreement shall. not preclude that party from subsequent exercise of such rights and shall. not constitute a waiver of any other rights under this Agreement. SEVERABILITY If any provision of this Agreement or the Brand Guidelines be determined to be unlawful or invalid, that provision shall. be deemed to be severed from this Agreement, but all. other provisions shall. remain in effect. ALL WRITINGS CONTAINED HEREIN This Agreement contains all. the terms and conditions agreed upon by the parties. No other understandings, oral or otherwise, regarding the subject matter of this Agreement shall. be deemed to exist or to bind any of the parties hereto. For America250, a flowing red, white, and blue ribbon forms the number 250 as a single continuous path, suggesting unity, cooperation, and harmony. The dynamic, vibrant icon is joined by the name America in an elegant serif lettering to establish a visual identity for this important milestone and beyond. As the America250 logo will appear on nearly all types of communications —digital media, websites, various print media, and other physical applications —it must remain highly visible and recognizable in all instances. Always use the original and approved artwork; never alter or attempt to redraw the design or recreate the lettering using computer fonts. AMERICA 1.1 America250 Identity Guidelines Brand Identity Elements 1*2 Primary Logo The 250 icon and the AMERICA wordmark above it combine to make the primary America250 logo. The full -color version of the logo should be used whenever possible. Note that the 250 icon has a white fill in it that is apparent when the logo appears on both light and dark -colored backgrounds. Using these guidelines for the logo will ensure that it is highly visible and recognizable in all of America250's communications from digital media to printed materials. Always use the original and approved artwork; never alter or attempt to redraw the design or recreate the lettering using computer fonts. Please note that the logos for use on light-colored backgrounds and dark - colored backgrounds are different —they are not interchangeable. Always use the appropriate provided artwork.
