("Consultant"). This agreement is for the project to develop services consistent with the attached Scope of Services, budget and schedule. WHEREAS, LDC, Inc. was the successful proposer responding to the Request for Proposals that was released and advertised by Grant County on February 10, 2025, for services to assist in the creation of the Homeless Housing Five -Year Strategic Plan and assist in the updating of the housing portion of the existing Comprehensive Plan for Grant County, Washington; and WHEREAS, Grant County desires to contract with the Consultant to perform the services described in the Scope of Services attached to this agreement in accordance with the terms and conditions thereof. NOW THEREFORE, the parties hereby agree as follows: In consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1.0 DURATION OF CONTRACT This Contract shall be in full force and effect upon final signature, through completion of services OR December 31, 2025, whichever date is earlier, unless otherwise terminated pursuant to the terms and conditions herein. 2.0 GOVERNING LAW This agreement is entered into pursuant to and under the authority granted by the laws of the State of Washington and any applicable federal laws. The provision of this agreement shall be construed to conform to those laws. The Parties agree to comply with all applicable local, state, federal laws, orders, regulations, and permits. Any action to enforce the terms of this agreement shall be in the Superior Court of Grant County. 3.0 GOVERNING LAW, VENUE The performance and interpretation of the Contract Document shall be governed and interpreted in accordance with the laws of the State of Washington. Any litigation arising out of or in conjunction with this Contract shall be conducted in Grant County, Washington. 4.0 GENERAL SCOPE OF SERVICES The Consultant shall perform the services identified in the attached APPENDIX A (Scope of Services Summary) as approved by the County, and will provide all staffing, materials and supplies in order to carry out such work. PROVIDED: Prior to execution, all subcontracts by the Consultant for which Grant County funds are used to fulfill this contract, must be submitted to the County for review and approval. 5.0 PROFESSIONAL FEES Fees for services for all professional, technical, and clerical personnel are based on the time expended on the project consistent with established hourly rates for consultants and subconsultants as expressed in APPENDIX B. April 2025 6.0 WARRANTY In addition to any special warranties provided elsewhere in the Contract Document and/or companion or applicable documents, the Consultant warrants that all services it performs pursuant to this Contract will conform to the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at the same time and in the same locality. The obligations under this Section shall survive completion. 7.0 INVOICES The County shall provide the Consultant funding not to exceed $34,802.00 as expressed in APPENDIX B for the duration of this Contract. Invoices for services performed will be regularly submitted by the Consultant to the County for reimbursement. Payment will be due within 30 days of the date of the invoice. a. Payment Withheld: The County may withhold or, on account of subsequently discovered evidence, nullify the whole or part of any payment to such extent as may be necessary to protect the County from loss or damage for reasons including but not limited to: • Work not in accordance with the Contract, • Reasonable evidence that the work required by the Contract cannot be completed for the unpaid balance of the contract sum, • Failure by the Consultant to perform in accordance with the Contract, and/or • Cost or liability that may occur to the County as the result of the Consultant's fault or negligent acts or omissions. PROVIDED: In any case where part of all of the payment is going to be withheld for unsatisfactory performance, the County shall notify the consultant in accordance with RCW 39.76.011(b) 8.0 TAXES Fees for services and charges for reimbursable expenses are exclusive of any taxes or similar assessments now or hereinafter imposed by any Federal, State, County or other competent taxing authority (other than taxes assessed on any profit of the Consultant). Any such applicable assessments are in addition to amounts otherwise referred to herein. 9.0 EARLY TERMINATION OF SERVICES The obligation to provide further services under this agreement may be terminated by either party upon thirty (30) days' written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. In the event of any termination, Consultant will be paid for all services rendered to the date of termination, all reimbursable and termination expenses. 10.0 SUCCESSORS AND ASSIGNS The County and Consultant respectively bind themselves, their partners, successors, assigns, and legal representatives of such other party hereto and to partners, successors, assigns, and legal representatives of such other party in respect to covenants, agreements, and obligations contained in the Contract. Neither party shall assign the work without the written consent of the other. If either party attempts to make such an assignment without such consent, that party shall nevertheless remain legally responsible for all obligations set forth in the Contract. April 2025 11.0 NO AGENCY RELATIONSHIP Neither the Contract, nor any agreement implied therefrom, constitutes the Consultant as an agent or legal representative of the County for any purpose whatsoever, and the relationship of the Consultant to the County by reason of the Contract Document shall be that of an independent Consultant. The Consultant is not granted any express or implied right or authority to assume or create any obligation or responsibility on behalf of or in the name of the County or to bind the county in any manner, or thing, whatsoever. 12.0 SURVIVAL In the event any clause or provision of this Contract shall be held to be invalid, then the remaining clauses and provisions shall nevertheless be and remain in full force and effect. 13.0 ENTIRE AGREEMENT The Contract embodies the entire agreement between the parties, all other agreements, oral or written, are hereby merged into and superseded by the Contract. There are no other agreements which modify or affect the terms hereof. No amendment hereto shall be binding unless the terms thereof are in writing and signed by both parties. No verbal or other agreements modify or affect the Contract. 14.0 NOTICES All notices and/or written communications required or permitted to be given or served by any party hereto upon any other, shall be deemed given or served in accordance with the provisions contained herein, by delivering personally, or mailed, postage prepaid and properly addressed, as follows: If to the COUNTY: Caitlin E. Box 37 Ephrata, WA 98823-0037 If to CONSULTANT: Kim Zuppiger, Planning Manager LDC, Inc. 20210 142nd Ave NE Woodinville, WA 98072 15.0 INDEMNITY AND HOLD HARMLESS To the fullest extent permitted by law, the County shall indemnify, defend and hold harmless the Consultant, its officers, agents and employees from and against any and all suits, claims, actions, losses, costs, including reasonable attorney fees, penalties, damages, and loss of use, of whatsoever kind or nature, including injury or death to third parties or employees of the County to the extent caused by the County's negligent acts, errors or omissions associated with the Services provided pursuant to this Contract. This indemnification obligation shall include, but is not limited to, all claims against the Consultant by an employee or a former employee of the County, and the County expressly waives all immunity and limitation on liability under any industrial insurance act, worker's compensation act, disability benefit act, or employee benefit act of any jurisdiction which would otherwise be applicable in the case of such claim ("Immunity Waiver") and the County further agrees to assume potential liability for tort actions brought by the County's employees or former employees against the Consultant. The County's Immunity Waiter extends only to claims against the Consultant by execution of this Contract, Page 3 of 5 Grant County Strategic Planning Consultant Homeless Housing Five -Year Plan LDC, Inc. April 2025 both the Consultant and the County acknowledge the mutual negotiation and acceptance of this paragraph. a. Limitation of Liability: Under no circumstances shall Consultant's total liability arising out of or related to this agreement exceed the total amount paid by the County to the Consultant under this Contract, regardless of whether such liability arises out of any action or claim based on warranty, contract, tort or otherwise. In no event shall Consultant be liable for special, incidental, consequential or indirect damages, regardless of cause, whether such losses arise directly or indirectly from Consultant's actions, inactions, omissions, or breaches. For the purposes of this Contract, the parties agree that "Consequential Damages" include, but are not limited to, loss of use, loss of profit, loss of business opportunity, and loss of advertising revenue. 16.0 INSURANCE The Consultant shall procure and maintain for the duration of this Contract, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Consultant, its agents, representatives, and employees of sub -consultants. The Consultant shall provide a Certification of Insurance evidencing: a. Automobile Liability insurance with no less than $1.000,000 combined single limit per accident for bodily injury and property damage; and b. Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal injury, bodily injury, and property damage. Coverage shall include but not be limited to blanket contractual; products/competed operations; broad form property damage; explosion, collapse and underground, if applicable; and employer's liability; and c. Worker's Compensation insurance at the limits established by the State of Washington. Any payment of deductible or self -insured retention shall be the sole responsibility of the Consultant. The County shall be named as an additional insured on the insurance policy, as respects the work performed by or on behalf of the Consultant and a copy of the endorsement naming the County as an additional insured shall be attached to the Certificate of Insurance. The Consultant's insurance shall be primary insurance with respect to the County and the County shall be given thirty (30) days prior written notice of any cancellation, suspension or material change in coverage. Burgess, Member Page 5 of 5 APPENDIX A PHASE 1 — PROJECT MANAGEMENT Task 1: Project Management & Planning Services 1 a: Project Initiation and Kickoff Meeting To initiate the Project, LDC's Project Planner will schedule and attend one virtual Kick off meeting with the LDC team, the County's Homeless Housing Task Force (HHTF), and key stakeholders. The kickoff meeting will be used to introduce the project team and review the project timeline. Deliverables: One electronic word version of the meeting notes and an action item list for Kick Off Meeting. lb: Project Management/Community Engagement Meetings LDC's Project Planner will attend one virtual monthly coordination meeting (up to 2 hours) with the County's Homeless Housing Task Force (HHTF) to review project status or data needs and the County's comments on administrative draft documents for public hearings. These meetings will continue for the duration of the project term or, as deemed necessary. Deliverables: One electronic word version of the meeting notes and an action item list for monthly coordination meetings, community engagement meetings and public hearings. Assumptions for this task: LDC will attend all meetings virtually. PHASE 2 — DEVELOPMENT OF DRAFT STRATEGIC PLAN Task 2: Project Discovery & Direction LDC will coordinate with the HHTF prior to starting work on the draft strategic plan. This task will involve reviewing the existing plan and discussion of project expectations, collaboration with stakeholders to project Strategic Plan goals and direction. LDC will work with the Grant County HHTF and Board of Commissioners (BOC) to define preferred engagement/review process. Deliverables: One electronic word version of the meeting notes and an action item list with goals and strategies and next steps to be accomplished. Task 3: Data Compilation & Analysis LDC will assist the HHTF with data compilation and analysis to inform updates to the Strategic Plan. This task includes collection and organization of data acquired at the HHTF meetings, assisting County staff in analysis of housing/homeless data for Strategic Plan and meeting materials, preparation of data visualizations for Strategic Plan and meeting materials and collection of relevant publicly available data as needed. Assumptions for this task: Data for Point -In -Time counts will be provided by the County, and no survey or other data creation will be undertaken in this project. Task 4: Initial Draft Strategic Plan LDC will assist County Staff and the HHTF with the development of an Initial Draft Strategic Plan. This task will include recommendations for implementations of Strategic Plan goals and direction, and general updates to Strategic Plan based on current data compiled in Task 3. LDC will work with the HHTF to ensure that the Draft Strategic Plan incorporates the Department of Commerce 2024-2029 State Homeless Housing Strategic Plan objectives which include the following: 1. Promote an equitable, accountable, and transparent homeless crisis response system. 2. Strengthen the homeless service provider workforce. 3. Prevent episodes of homelessness whenever possible. 4. Prioritize assistance based on the greatest barriers to housing stability and the greatest risk of harm. 5. Seek to house everyone in a stable setting that meets their needs. Local plans may include additional objectives developed by local government and local homeless housing task forces. LDC will review the initial draft strategic plan and ensure that the objectives listed above are incorporated into specific strategies or actions to achieve them, timelines for completion and measures of success or performance. Assumptions for this task: LDC will assist the HHTF and County staff by reviewing the initial draft strategic plan to ensure that it is compliance with state and federal regulations. Deliverables: LDC will provide one (1) electronic word version of comments. PHASE 3 —DEVELOPMENT OF FINAL STRATEGIC PLAN Task 5: Comprehensive Plan Amendment As requested by staff, LDC will review the Comprehensive Plan for consistency with the Strategic Plan and identify any necessary amendments. This task may include the following: assisting County staff and the HHTF in review and recommendations for Housing Element policies and/or text change(s), and preparation and submission of a docket request and supporting materials for the Comprehensive Plan Text Amendment. Assumptions for this task: LDC will assist with submittal of the docket request behalf of the HHTF prior to the June 30th deadline. After submission of the docket request, LDC will only assist Count staff with processing proposed amendments on request. y p g p p LDC assumes that County staff will prepare SEPA documentation, however, we can prepare the SEPA documentation as an optional task. Deliverables: LDC will provide one (1) electronic word version of comments. Task 6: Final Strategic Plan LDC will assist County staff and the HHTF by reviewing the Final Strategic Plan to ensure that it is compliant with state and federal regulations. Deliverables: LDC will provide one (1) electronic word version of comments. Task 7: Preparation of Reports for Public Hearings LDC will assist County Staff and the HHTF with review of materials (Staff Reports, exhibits, maps, or other visual aids) related to final approval of the Strategic Plan. Deliverables: LDC will provide one (1) electronic word version of comments. Task 8: Attendance at Public Hearings LDC's Project Planner and key technical personnel will attend one virtual Planning Commission meeting and one virtual County Board of Commissioners meeting) assuming no more than 3 hours per hearing.
