'd AGENCY BUILDING / SPECIAL PROJECT FUND AGREEMENT Between - Grant Caunty sheriff' Office K9 THIS AGREEMENT is made on Febru&a 27, 2025, uvdMjjMg o June .29 between the Columbia Basm* Foundation ('Community Foundation!) and the .32011 3 existing GCSO SP Fund _("Donof '). Update to reflect the change M* name* ESTABLISHMENT OF THE FUND There is hereby established in Community Foundation, and as a part there ot a fund designated as the Grant Count-v Sheriffs Office K9 Fund 0he Fund') to receive gifts, in Whatever form of money or property, and to administer the same. 2. INITIAL GIFT The initial gift to the fund 'i's $4,600_ contributed by various donors. 3. FUNDMINIMUM a * The nummum. amount to establish the Fund is $2,500 with the undmtanding that additional gifts will be required to achieve and maintain a balance of $5,000 witbin a period of one year. 4. LURPO E The Fund is a special Project fund and not a permanent endowment fund. All PrMcipal and income earned on the Fund, subject -to the assessment for reasonable costs of administration, are available for the purpose of distributing to the Donor, upon the recommendation of Donor based on the following criteria: Such grants may be made from the Fund to A) -501(c)(3) organizations or B) for the charitable purposes described in Section 170(c)(1) or (2)(b) of the Internal Revenue code Is 0, of 1986, anal its corresponding regulations, as amended from time to time, consistent with the purposes of Community Foundation. 5. ADDITIONAL GIFrS Any person whether an individual, corporation,, trust, estate or other organization may donate to the Fund by a transfer to Conununity Foundation ofproperty or money acceptable to Community Foundation. All donations, gifts, bequests and devises to the Fund shall be It irrevocable and subject to the tetms and conditions hereof. Agency Building / Special Projects Fund Page I of 3 6. DISTRIBUTION The amount, manner and frequency of distributions will be detennined by CommunityFoundation's Board of Directors ( `the Board") in compliance with the component fund distribution policy of Community Foundation, as amended from. time to time, The principal and earnings of the Fund, less the fees set forth in Section 13, shall be granted or expended for, or in Rutherance of, the purposes of the Fund. Any amount not expended shall be accumulated in the Fund. If any gifts to Community Foundation for the Fund are received and accepted subjectto restrictions as to the use of 'income or principal, -Dal, said restrictions will be honored; s-abiect, however, to the authority of the Board to vary the terms of any lift 1 t if continued adherence to any restriction is impractical, impossible or unlawful. Written request for distribution, including a resolution of Donor's board, will be reviewed by the Board at its next regularly scheduled meeting, but shall not be binding on the Board. 7. ADMINISTRATIVE PROVISIONS Notwithstanding anything herein to the contrary, Community Foundation shall hold the Fund and all contributions to the Fund, shall monitor the distributions of the Fund, and shall have all powers of modification or removal specified in the United States Treasury Departrnent Regulation Section 1. 1 70A-9(e)(11)( ), as amended from time to time. 8. CONDITIONS FOR ACCEPTANCE OF FUNDS Donor agrees and acknowledges that the establishment of the, Fund is made in recognition of, and subject to, the terms and conditions of the Articles of Incotporation and Bylaws of Comm-umty Foundation, as amended from time to time, and such administrative procedures as shall be adopted from time to time by the Board. 9. TERMINATION OF FUND The Fund shall continue as long as: a) the �imu� gifts to the Fund meet the requirements of section 3 above; b) assets are available Mthe Fund; and c) the purposes of the Fund can, in the sole opinion of the Board, be served by its continuation. If the Fund is tenninated by the fail -are of any of the requirements set forth in the immediately preceding sentence, or in the event of the dissolution of the Community Foundation, the remaining assets in the Fund shall be used exclusively for charitable purposes that: (a) are Within the scope of the charitable purposes of Community Foundation's Articles of Incorporation; and (b) most nearly approXimate,, in the good faith opim*on of the Board, the otiginal purpose of the Fund. 10. NOT A SEPARATE TRUST All money and property in the Fund shall be assets of Comm -unity Foundation and not a separate trust. 11. ACCOUNTING The Fund shall be accounted for separately and apart from other ,gifts to and funds of 91 91 Cwmmumty Foundation. 12. R4WSTMENT OF FUNDS Community Foundation shall have all powers necessary, or in its sole discretion desirable, to carry out the purposes of the Fund, including, but not limited to, the power to retain, invest and reinvest the Fund in any manner as authorized by the laws of the State of Agency Building / Special Projects Fund Page 2 of 3 Washington and the power to co -mingle the assets of the Fund with those of other fends for investment purposes. 13, ENPENSES OF THE FUND Except as otherwise determined by the Board, Community Foundation shall charge an annual fee in compliance with the Fee Schedule and Fund Policy Statement (herem*after "the Policy"), as amended from time to time, on the average principal balance of the Fund for each year, or partial year, the Fund is m* existence, to cover administrative expenses of Community Foundation. This fee shall be deducted first from the Fund's income, and if income is insufficient, then from principal. Donor signifies receipt of the Policy by its initials: 14. ENTIRE AGREEMENT This is the entire agreement of the parties and any other agreements, terms and conditions are hereby deemed to be merged into this Agreement. 15. APPLICABLE LAW This Agreement shall be construed under the laws of the State of Washington. 16. BINDING EFFECT This Agreement shall be binding upon the parties, their successors and assigns. M. TIAL GIFT The initial gift to the fund is $ 00.00 contributed by various donors 3. FUND MRqIMUM The min' um amount to establish the Fund is $2.,500 with the understanding that additional gifts will be required to achieve and maintain a balance of $5,000 within a period of one year. 4.
