Solutions, LLC, a Washington limited liability County d/b/a Custom Energy Consultants ("Consultant"). The County and Consultant are each sometimes referred to as a "party" and collectively as the " ap roes " All terms and conditions of Agreement K24-010 remain in full effect and force. 1. Fees. As consideration for the Services to be provided by Consultant, the County shall pay to Consultant an amount not to exceed the amounts listed in the cost tables listed below during the term of this Agreement for Services rendered and upon the County's receipt of Consultant's invoice. County will pay Consultant's invoice within 30 calendar days of receipt. Labor will be billed at the rates listed below. Any Services requiring a fee more than the fee set forth herein shall require additional written approval by the County. CEC does not guarantee compliance with the Clean Buildings Act, but we will work towards that end on behalf of Grant County. CEC does not guarantee receipt of the $0.50/square foot Tier 1 Early Adopter Incentive or the WSAC Energy Audit Grant, but we will support Grant County in pursuing those funds. Vasquez Clerk of the Board Approved as to form: By Barbara Duerbeck Deputy Prosecuting Attorney Date: -2- EXHIBIT A DESCRIPTION OF CONSULTING SERVICES Services shall include: This agreement is made to help the County achieve compliance with Washington States, "Clean Buildings Act" (CBA) and includes the services listed below. The scope of work in this Amendment does not include implementation of an "Optimized Bundle". The ASHRAE 2 Energy Audit will determine if any measures are deemed life cycle cost effective, and therefore would need to be implemented by the County as part of the "Optimized Bundle" for the building. 1. Services to be completed in 2025 a. Access owner portal. b. Ensure all building data is correct including parcel numbers, square footage, etc. 2. Complete energy benchmark in Energy Star Portfolio Manager. 3. Connect Portal with Energy Star Portfolio Manager. 4. Conduct an ASHRAE 2 Energy Audit in accordance with ASHRAE and CBA requirements for the Law and Justice Building. 5. Complete Compliance Forms. a. Law and Justice Building: Forms A, B, C, D, and F b. Courthouse and Annex: Forms A, B, and C 6. Complete an Energy Management Plan and EMP Reporting Tool in accordance with the CBA. a. Law and Justice Building. b. Courthouse and Annex. 7. Complete an Operations and Maintenance Plan and O&M Plan Reporting Tool in accordance with the CBA. a. .Law and Justice Building. b. Courthouse and Annex. 8. Sign all compliance documents as the qualified person and load them into the portal. 9. Coordinate with owner and Commerce as needed. 10. Support as needed with Commerce incentive application (RFA). 11. Support as needed with WSAC Energy Audit grant application. 12. Provide raw files to the owner. 13. Successfully submit Clean Buildings applications for both buildings. 14. Optional: Services to be completed and invoiced in future years. a. Update Energy Star Portfolio Manager with revised data, review wnEUI in Energy Star Portfolio Manager, verify building compliance, review energy related topics with ownership as required in the Clean Buildings Act, and update the EMP and O&M Plans as required. Assumptions The owner will: 1. Provide additional information as needed including record drawings, commissioning reports, TAB reports, etc. 2. Provide access to stakeholders as needed to complete the work and present findings. 3. Provide parcel numbers, access to the energy consuming equipment in the building, and other information as needed to complete this scope of work. Exclusions 1. Design 2. Permitting 3. Construction 4. Implementation of the Optimized Bundle. 5. Any services not listed. -3-
