CONSULTANT AGREEMENT
This Agreement is effective as of and is by and between Chelan
County, Okanogan County, Douglas County and Grant County, all municipal corporations
of the State of Washington (Counties) and Leah M. Becknell, ("Consultant").
1. Services. Consultant will render services and advice to Counties for to the
Facilitation of the North Central Diversion Workgroup ("Services") as set forth
on Attachment "A", which may be modified from time to time as agreed upon
by the parties. Consultant has the right to refuse to accept any new projects
proposed by Counties. Consultant is experienced in providing the type of
services set forth on Attachment "A" and shall have exclusive authority to
determine the methods by which services are completed. Consultant shall be
free to work at such locations and times as she chooses, but shall be required
to meet the deadlines set by Counties.
2. Term. The term of this agreement is for 18 (eighteen) months year from the
effective date. The parties may agree to renew this Agreement on a month --
by -month basis for up to 18 (eighteen) additional months.
3. Payment. Consultant will provide a maximum of 25 hours of consulting service
per month, for which, Counties will pay Consultant a fee computed at the rate
of $100 (one hundred dollars and 0/100) per hour. Consultant shall submit
detailed invoices to the Counties Contact Person for approval on a month)
bases. Payment will be rendered by Counties within 15 days of receipt of the
Consultant's invoice.
4. Other Reimbursements. Such payments shall be Consultant's sole
compensation for services rendered hereunder, and shall cover all expenses
which Consultant may incur in connection with rendering such services, except
ip
that if Consultant s requested by Counties to travel for purposes providing
consultant services, Counties will reimburse Consultant for necessary
reasonable travel expenses. U.S General Services Administration (GSA) per
diem rates, excluding incidental expenses, will be used for the appropriate
travel destination. Mileage reimbursement for the use of a personal automobile
will be at the current IRS mileage rate. Consultant shall promptly submit to
Counties or their designee appropriate proof of the expense and payment by
Consultant of such expense.
Counties will reimburse Consultant for other expenses incurred by Consultant
in connection with the performance of the Services only if such expenses
have been approved in advance in writing by Counties, and all necessary
documentation to establish and detail the amounts of and purpose for such
expenditures must be included with Consultant's invoice(s).
Provided that, the total compensation and reimbursement shall not exceed
$56,000.00 (fifty-six thousand dollars and 0/100) for the initial 18 (eighteen)
month term of the agreement. Each participating County shall be responsible
for proportional share of the total compensation and reimbursement amount
of $56,000.00 (fifty-six thousand dollars and 0/100)
5. Termination. Any party may terminate this Agreement in writing at any time for
any reason or for no reason. After such termination Counties shall be obligated
to pay any fees owed for services actually rendered under this Agreement.
6. Independent Contractor Status. Consultant will be an independent contractor,
and shall not entitle her to either participate in or receive any benefits under
any benefit plan of Counties, even if in the future the worker is reclassified from
independent contractor to employee status. Consultant will be solely
responsible for payment of all income taxes, self-employment taxes and any
other taxes on payments to Consultant under this Agreement, and Consultant
will indemnify Counties from any liability relating to such taxes.
7. Advertising. Consultant will not, without the prior written approval of Counties,
publish or use any advertising or promotion piece that mentions Counties or
infers a relationship between Consultant and Counties.
8. No Conflicts. Consultant will not directly or indirectly disclose to Counties, or
induce Counties to use, any secret or confidential information, ideas or material
belonging to another. Consultant represents and warrants that she is not under
any obligation to anyone else which Counties might consider to be a conflict of
interest with this Agreement or which imposes any restrictions on his rendering
service hereunder, and that no such obligations will arise during the term of this
Agreement.
9. Consultant Information. Counties will have no obligation to maintain in
confidence, and may use without restriction for its own or others benefit, all
information, ideas and materials it acquires from Consultant during the
performance of services under this Agreement.
10. Consultant Does Not Bind Counties. Consultant is not authorized (1) to speak
for, represent or bind Counties in any dealings with any third party, (2)to accept
oral or written disclosures that would create an obligation of confidentiality for
Counties.
11. Indemnity. Consultant agrees to indemnify and hold harmless Counties, its
employees and agents from and against all liens, causes of action, claims,
liabilities, suites, judgments, losses, costs and/or expenses, including
reasonably attorney's fees for the defense against any such claim or suit,
arising from or in anyway connected with, directly or indirectly, the performance
of or failure to perform the terms of this Agreement, or from any act or
negligence of Consultant, its agents, subcontractors, employees or invitees.
12. Assignment. Consultant shall not assign any of her rights, including the right
to receive payment, under this Agreement, to any third party without the written
consent of the Counties.
13. Related Services. Consultant agrees that if requested by Counties, it will
testify at depositions, trial, or other proceeding on any matters relating to its
services hereunder. Consultant will be prepared by and represented by an
attorney of Counties choosing and at Counties expense and Consultant will be
paid the daily / hourly rate hereunder for such services.
14. Amendments. Any modification of this Agreement must be in writing signed
by both Consultant and Counties. This Agreement shall be governed by the
substantive laws of the State of Washington. The venue of any action arising
out of this Agreement shall be in the Superior Court of the State of
Washington, in and for Chelan County. In the event that a lawsuit is instituted
to enforce any provision of this Agreement, each party shall pay its own
attorney's fees and costs.
15. Exclusive Agreement. This is the entire Agreement between the parties.
16. Waiver. No waiver of any provision hereof shall be effective unless made in
writing and signed by the waiving party. The failure of any party to require the
performance of any term or obligation of this Agreement, or the waiver by any
party of any breach of this Agreement, shall not prevent any subsequent
enforcement of such term or obligation or be deemed a waiver of any
subsequent breach.

Dear Commissioner Overbay,
I am pleased to present this proposal for providing ongoing facilitation services for the monthly North
Central Diversion Workgroup. The duration of the engagement is expected to be 12 months, with an
opportunity to extend to 18 months if mutually agreed upon. Based on my previous experience and
ongoing passion for the vision of a North Central Diversion program, I am committed to supporting
your objectives and continuing to make progress on the goals of the workgroup.
Proposal for North Central (NC) Diversion Workgroup
Facilitation Services Scope of Work
The primary objective is to foster productive discussions, ensure active participation from all
members, recruit additional workgroup members as appropriate, and provide guidance towards
achieving the NC Diversion Workgroup goals. The key components of the proposed services
include:
1. Preparation and Planning for Monthly NC Diversion Workgroup Meetings
o Review Crisis System Final Assessment Report produced by Connections Health
Solutions, focusing on the Opportunities and Recommendations section and
develop a structured project plan with 4-6 work streams, capturing work completed
since the report was published and proposed next steps to continue building the
foundation for a future NC Diversion Center.
o Engage with commissioners and key stakeholders on the project plan to ensure
alignment on expectations and desired outcomes and that next steps are tailored
appropriately for the unique needs of each county.
2. Facilitation for Monthly NC Diversion Workgroup Meetings
o Develop agenda and facilitation plan for each NC Diversion Workgroup monthly
meeting and review with Commissioner Overbay at least two weeks prior to
meeting date.
o Distribute meeting agenda and other materials to workgroup members at least one
week prior to meeting date and address any questions or concerns from Workgroup
members. For any workgroup member that is unable to attend the meeting, engage
via email or phone to solicit input.
o Co -lead the monthly workgroup sessions with Commissioner Overbay, utilizing
various facilitation techniques to encourage engagement and collaboration, manage
group dynamics, and ensure the group stays focused on the agenda and achieves the
set objectives.
3. Ongoing Support and Follow -Up:
o Provide a summary of each workgroup session, including key discussions, decisions,
action items and "homework" for workgroup members prior to the next meeting. This
will be distributed within one week following the meeting.
o Check in periodically with workgroup members, focusing on members who
have missed meetings to determine cause and potential opportunities to re-
engage and address issues.
o Identify and recruit additional individuals to be part of the NC Diversion
Workgroup as appropriate and agreed to by the members.
o Research and remain up to date on Washington State developments with 9 8 8 and
crisis system legislation and best practices.
o Update and adjust the project plan according to progress reported by workgroup
members and evolving approaches to address the gaps and recommendations.
o Offer recommendations for follow-up actions and solicit feedback from workgroup
members to prepare for the next monthly session.
4. Coordination with internal/external partners to develop NC Diversion Facility:
o Engage with selected internal and external Behavioral Health providers to develop plans
to standup a diversion facility providing inpatient and outpatient services, providing
"someplace to go" in the NC Region.
o Assist in interpreting WA Department of Health (DOH) and Health Care Authority
(HCA) requirements and guidelines for the facility.
o Identify key elements that must be addressed for the successful start-up of the facility
and work with Commissioners to ensure the right people are at the table.
5. Optional Additional Scope — SIM Mapping Workshop:
o Provide planning and coordination for in -person Sequential Intercept Model (SIM)
Mapping Workshop in the North Central region performed by Connections Health
Solutions, focused on intercepts 3-5. This would include reviewing statement of work,
selecting dates, securing location and refreshments, developing specific agenda,
identifying and recruiting participants, being on site during the workshop to address any
needs, and appropriate follow up after the workshop.
o Details on the scope of work will be reviewed and aligned with representative
Commissioners or their designee prior to performing any work.
Fees and Payment Terms
Services will be provided on a time and materials basis at a rate of $100/hour. An estimated 25
hours/month is anticipated to perform the scope of work described (not including the optional
additional scope). A detailed breakdown of work performed will be submitted via a monthly invoice.
Payment for each invoice is due within 30 days of receipt by check.
All work is expected to be performed virtually, with necessary office equipment (e.g. phone, computer,
software, and video conferencing platform) provided under the hourly rate. If travel is required for in -
person meetings, all travel -related expenses incurred while performing the scope of work outlined in
this proposal will be reimbursed. This includes transportation at the federal mileage reimbursement
rate, accommodations, meals, and other incidental costs. The monthly invoice will include receipts and
appropriate documentation of these expenses.
