DATE OF ACTION:- iqc K24-110 ROYAL CITY AND GRANT COUNTY REGARDING PURCHASING SURPLUS EQUIPMENT This Interlocal Agreement (hereinafter "Agreement") is entered into by and between City of Royal City, a local government of the State of Washington (hereinafter "Royal City") 445 Camelia St NE, Royal City, WA 99357 and Grant County, a municipal corporation of the State of Washington (hereinafter Grant County") 35 C St NW, Ephrata, WA 98823 111M ............. 1. The City of Royal City provides municipal services to residents of Royal City. 2. The Grant County Public Works Department, a department of Grant County, provides municipal services to residents of Grant County. 3. The County and City desire to promote the most efficient use of resources. 4. Pursuant to the powers afforded to the Parties by RCW Chapter 39.34, the County and the City possess the authority and desire to execute an intergovernmental cooperation agreement for this purpose. NOW, THEREFORE, in consideration of the mutual benefits of this Agreement, the parties agree as follows: The Public Works Director of Grant County and the Finance Director of the City of Royal City are hereby authorized to execute one or more letters of understanding that, by this reference, shall become a part of this Agreement, provided that such letters are signed by both parties and reference this interlocal Agreement. The letters of understanding shall address the option to purchase equipment declared surplus. Pursuant to the provisions of RCW 39.34.030, the Grant County Public Works Director and the City Finance Director shall be responsible for administering the agreement. No real or personal property will be jointly acquired by the parties under this Agreement. All property owned by each of the parties shall remain its sole property to hold and dispose of in its sole discretion. Each party is responsible for establishing and maintaining their own budget. INDEMNIFICATION 4.1 Each party agrees to and shall defend, indemnify, and hold harmless the other party, its officials, officers, agents, and employees from and against any and all claims, losses, damages, j udgments, or liabilities of whatever nature, including any portion thereof, arising from or related to the indemnifying party's acts, omissions, or performance under this Agreement. It is the intent of the parties that each party be responsible for its own actions occurring under this Agreement. 4.2 This section shall survive termination of this Agreement. SECTION 5. INSURANCE 5.1 Each Party shall obtain and maintain personal injury and property damage liability insurance in an. amount not less than ONE MILLION AND NO/1 00 DOLLARS ($1,000,000) per occurrence, annual aggregate. Each Patty's membership in a self-hisured, governmental risk pool shall satisfy all conditions set forth in this section. 6.1 This Agreement shall. be for an initial one (1) year period and will automatically renew for additional one year periods -unless otherwise terminated. Either Party may terminate this Agreement, with. or without cause, upon ninety (90) days written notice to the other party. *_.1 SECTION 7, DISPUTE RESOLUTION 7.1 In the event of any dispute or difference arising by reason of this Agreement or any provision or term thereof or the use of and/or payment for any facility for the purpose of this Agreement, the dispute or difference should first attempt to be solved with good faith efforts jointly by the Grant County Public Works Director and the City Financial Director, Such decision shall. be arrived at as expeditiously as possible. SECTION 8. THIRD PARTY BENEFICIARES 8.1 There are no third -party beneficiaries to this Agreement, and this Agreement shall. not be interpreted to create such rights. SECTION 9. INTEGRATED AGREEMENT/AMENDMENT 9.1 This Agreement constitutes the entire agreement of the parties, and may be amended at any time in writing by mutual agreement. SECTI N 10. GENERAL., PROVISIONS 10.1 This Agreement shalt be effective upon the duly authorized signatures of the parties' representatives. 1.0.2 This Agreement will. supersede all. prior interlocal agreements between the parties referencing the issue of surplus equipment purchase agreement. Royal City and Grant County Purchasing Surplus Equipment Agreement Page 2 of 3 10.3 Pursuant to RCW 3 )9.34.030(3)(b), no separate legal entity is created. 10.4 This Agreement shall be filed with the Grant County Auditor or posted on the agency's website pursuant to RCW ' )9.34.040. %_.'
