WHEREA8, on October 3, 2023, the Public Works Department of the AGENCY, released a
Request for Qualifications for Consulting Services to develop and itnplernent a Transportation
Safety Action Plan that includes the Safe Streets and Roads.for.All grant application.,
WHEREAS, through the focused services that FFCC provides (bu.siness strategy� organizational
planning, and community & economic development), they are able to support needs of the
AGENCY to develop and implement a Transportation Safiety Action Plan.

A. With sufficient notice provided, FFCC and its subconsultants or subcontractors
shall attend coordination, progress, and presentation meetings with the AGENCY
GENCY
and representatives as requested. Sufficient notice shall be made by mutual
agreement between FFCC and the AGENCY. Coordination and communication
with entities outside of the AGENCY shall receive advanced approval.
B. FFCC shall make available monthly reports which outlinesro ress in
p g schedule
and
deliverables in such a way that can be easily evaluated. The AGENCY
may
require additional detail in written or graphical form duringphase or
any p task to
ensure sufficient evaluation of performance.
C. All designs, drawings, specifications, documents, and other workrod
p ucts,
including all electronic files, prepared by FFCC rior to completion or
p
termination of this Agreement are instruments of service for these services
and are
the property of the AGENCY. Reuse by the AGENCY orb others acting y ers ng through
or on behalf of the AGENCY of any such instruments of service not occurring as
part of this service, shall be without liability or legal exposure to FFCC.
D. Any and all notices or requires required under this Agreement shall be made in
writing and sent to the other party by certified mail, return receipt requested,

SCOPE OF SERVICE
A. In compliance with all applicable local, state, and federal rules code
regulations � s, and
re
g s governing funds associated with this Agreement and in a manner
satisfactory to the AGENCY, FFCC, and any subconsultants or subcontractors,
will be responsible for completing all services, labor, and related equipment
q pment
necessary to conduct and complete services rendered. This Agreement shall be
interpreted and construe g
p d in accordance with the laws of the State of Washington.
B. The Scope of Work, as described in "Exhibit A" attached hereto an '

A. Services of FFCC shall commence on the date of this Agreement and shall

extend beyond December 31, 2026 unless mutually agreed upon b both parties

and executed as an amendment to this Agreement or otherwise terminated.
B. The AGENCY shall monitor the performance of FFCC against mutually y a greed
upon deliverables. If substandard performance is determined by the AGENCY
and action to correct such finding is not taken by FFCC within a mutually agreed
upon period of time after notification of such concern, the AGENCY may initiate
procedures to suspend or terminate this Agreement.
IV. BUDGET
A. The total project budget shall not exceed $350,000.
B. Billing shall reflect actual work completed and/or costs incurred in association
with the following Project Budget as set forth by the AGENCY:

A. FFCC shall be paid by the AGENCY for completed services rendered under
this
Agreement as provided hereinafter. Such payment shall be full compensation for
r
services or services rendered and for all labor, materials, supplies, equipment, an
pp � d
incidentals necessary to complete services specific in "Exhibit A: Scope of
Work". The estimate in support of the amount is attached hereto as "Exhibit B"
for FFCC and subconsultants and subcontractors, and b this reference made

B. Actual Costs: Payment for all consulting services under this Agreement shall

the basis of FFCC's actual costs. The actual cost shall include direct salary
cost and direct non -salary costs.
i. Direct Labor Costs: The Direct Labor Cost is the direct salaryaid to

limited to, travel, printing, long distance telephone, supplies, computer

charges and fees of subconsultants or subcontractors. FFCC shall maintain
the original supporting documents and provide copies of the documents to
the AGENCY upon request. All above charges must be necessary for the

services provided under this Agreement.
iii. Fixed Fee: The Fixed Fee is based on the Scope of Work defined in this
Agreement and the estimated person -hours required top erform the stated
Scope of Work. In the event FFCC enters into a supplemental Agreement

for additional work, the supplemental Agreement ma include provisions

for the added costs and an appropriate additional fee. The Fixed Fee will
be prorated and paid monthly in proportion to theercenta e of work

completed by FFCC and reported in the reporting documents
accompanying the billing. Any portion of the Fixed Fee earned but not
previously paid in the progress payments will be covered in the final
payment, subject to the provisions of Section XI "Severability."
iv. Management Reserve Fund (MRF): The AGENCY may desire to establish
a MRF to provide this Agreement Administrator with the flexibilityto

costs, or reimbursing FFCC for additional work beyond that already

be replenished. Any changes requiring additional costs in excess of the
MRF shall be made in accordance with Section VIII "Extra Work."
v. Maximum Total Amount Payable: The Maximum Total Amount Payable
b the AGENCY to FF y
y CC under this Agreement shall not exceed the total
amount indicated in Section IV, "Budget" of this Agreement. The
Maximum Total Amount Payable is comprised of the total amount
authorized and the MRF though does not include payment for Extra Work
as stipulated in Section VIII "Extra Work". No minimum amountpay able
is guaranteed under this Agreement.
C. Monthly Progress Payments: FFCC will submit invoices to the AGENCY not
more frequently than on a monthly basis with supporting documentation for work
completed during the billing cycle. The AGENCY shall reimburse FFCC within
thirty (30) days of receipt of invoice. If either Party identifies a discrepancy
between an invoice or payment and the terms of this Agreement, said Party must
provide notice within ten (10) days of realizing the discrepancy to dispute.
D. Final Paymgross amount
Final Payment of any balance due to FFCC of the

earned will be made promptly upon its verification b the AGENCY a

completion of the work under this Agreement, contingent, if applicable, u

receipt of all created materials and documents which were required to be
furnished under this Agreement. Acceptance of such Final Payment b FFCC

shall constitute a release of all claims for payment, which FFCC may have
y against
the AGENCY unless such claims are specifically reserved in writingand
transmitted to the AGE

E. Inspection of Cost Records: FFCC and all subconsultants or subcontractors shall
keep available for inspection by the AGENCY, its representatives. and the

records and accounts pertaining to this Agreement, and all items related to or
bearing upon these records with the following exception: if litigation,

or audit arising out of, in connection with, or related to this Agreement is initiated

expiration of the six (6) year period, the cost records and accounts shall
be retained until such litigation, claim, or audit involving the records is complete.
VI. SUBCONTRACTING
A. The AGENCY permits subcontracts for those items of services as shown in
"Exhibit A" attached hereto and by this reference madeart of this Agreement.

No permission for subcontracting shall create, between the AGENCY
and
subconsultants or subcontractors, any contract or any other relationship.
B. Compensation for subcontracted services shall be based on the cost factors show
in "Exhibit B" attached hereto and by this reference madeart of this is Agreement.
Subcontracted services shall not exceed it maximum amounta able identified p y ed in
each subcontracted cost estimate unless a prior written approval has been issued
by the AGENCY. All reimbursable direct labor and direct non -salary costs for
subcontracts shall be negotiated and substantiated in accordance with'
Section V
"Payment" herein and shall be memorialized in a final written acknowledgement
between the Parties.
C. All subcontracts shall contain all applicablerovisions of this Agreement p g ement and
FFCC shall require each subconsultant or subcontractor, of an tier, to abide
the terms and conditions y � de by
conditions of this Agreement. Subconsultants and subcontractors
shall not discriminate or the basis of race, color, national origin, or sex ex in the
performance of services under this Agreement.
VII. CHANGES OF WORK
A. FFCC shall make such changes and revisions in the completed '
Agreement p work of this
g eement as necessary to correct errors appearing therein, without additional
compensation thereof. Should the AGENCY find it desirable for its own
purposes
to have previously satisfactorily completed services orarts thereof f changed or
revised, FFCC shall make such revisions as direct b the AGENCY. .This work
shall be considered an Extra Work and will be paid for as hereinrovided
Section VIII "Extra Work".

VIII. EXTRA WORK
A. The AGENCY may, at any time, by written order, make changes'
within the
general scope of this Agreement in the services to beerformed. If
.p any
adjustment to the scope of work results in a change to the estimated ated cost of, or
time required for, performance of any part of the services ren '
rendered under this
Agreement, whether or not changed by the order, or otherwise affects ffects any other
terms and conditions of this Agreement, the AGENCY shall make an equitable
adjustment in the:
i. Maximum Amount Payable;
ii. Delivery or completion schedule; or both; and;
iii. Other affected terms
and shall amend this Agreement to reflect such adjustments.

B. Notwithstanding the terms and conditions of Section VIIIA the'
maximum
amount payable for this Agreement shall not be increased or considered to
be
increased except by an amendment to this Agreement.
IX. INDEPENDENT CONTRACTOR
A. The Parties agree that FFCC is an independent contractor with respect to services
provided under this Agreement. Nothing in this Agreement shall be considered g onsidered to
create a relationship of employer and employee between the Parties hereto.

be responsible for withholding or otherwise deductingfederal income come tax or
social security or for contributing to state or federal benefitram

assuming the duties of an employer with respect to FFCC orersonnel

X. MUTUAL INDEMNIFICATION
A. The Parties agree to hold harmless, indemnifyand defend each

claims, losses or liabilityg y
for injuries, sickness or death of persons, including
employees of the other Part damage
y� or g t o property, arising out of any willful
misconduct or negligent act, error, or omission of either Part its

contractors, employees, or consultants incurred in connection with the services of
this Agreement, provided, however, that each Party's obligations '

hold harmless shall not extend to injuries, sickness death or damage

caused by or resulting from the sole willful misconduct or sole negligence g Bence of the

XI. SEVERABILITY
A. In the event any provisions of this Agreement shall be determined to be
unenforceable or otherwise invalid for any reason, suchrovisions

Agreement are severable and the unenforceabilityor invalidity
y of a single
provision herein shall not affect the remaining provisions.

A. Either of the Parties may initiate procedures to suspend or terminate this
Agreement. Upon thirty (30) days written notice to the other Party, either Party
may suspend or terminate this Agreement. FFCC shall be entitled to compensation
for services provided up to, and include, the effective date of termination.
B. In the event this Agreement is terminated b the AGENCY other

on the part of FFCC, a final payment shall be made to FFCC for actual hours
charged and any appropriate fixed fee percentage at the time of termination g rmination of this
Agreement, plus any direct non -salary costs incurred u to the time '

INSURANCE
A. FFCC shall obtain and keep in force during the terms of this Agreement, Bement, or as
otherwise required, the following insurance with companies or through ough sources
approved by the State Insurance Commissioner pursuant to Title 48 RC

B. Insurance Coverage to include:
i. As applicable, worker's compensation and employer's
liability insurance
as required by the State of Washington.
ii. Commercial general liability insurance with minimum limits of one
million dollars ($1,000,000) per occurrence and two million dollars
($2,000,000) in the aggregate for eacholic period.

iii. Auto liability insurance not less than one million dollars
($1,000,000)
combined single limit for each occurrence.
C. Excepting insurance for worker's compensation and professional liability,
AG p al liability, the
AGENCY will be named an additional insured on allolices of FFCC C and any
subconsulta
nts and/or subcontractors with no limitations concerningproducts
completed options cov p and

p p coverage. The AGENCY reserves the right to require certified
copies of all required insurance policies at any time.
D. All insurance shall be obtained from an insurance company y a uthorized to do
business in the State of Washington. FFCC shall submit verification of insurance

the AGENCY representative identified in Section I "General Requirements."
E. No cancellation of the foregoing policies shall be effective without thirty (30)
days prior notice to the AGENCY.
XIV. GOVERNING LAW AND VENUE
A. This Agreement shall be governed b the laws o •

XV. ATTORNEY'S FEES

XVI. WAIVER OF BREACH

A. Nothing in this Agreement shall be construed so as to require the commission of

A. This Agreement has been submitted to the scrutiny of the Parties and their counsel, if
desired, and it shall be given a fair and reasonable interpretation in accordance with

PHASE 1, TASK 1 ~ Project Scope
In addition to what is provided herein, the team will work with County staff and stakeholders to
establish frequency of check -ins, project updates, options for communicating, potential site visit
dates, community engagement plan timeline, and invoicing.
As identified in Section 4.1 No Fee Schedule of the RFQ, FFCC will provide a preliminary salary and
fee schedule within five (5) days of notification •of selection. It is understood that, per the
aforementioned section, costs will not bee as part of the selection process.
PHASE I, TASK 2 ~ Analysi*s of Existing System
Analysis of the existing transportati•on system safety •performance will be o o un erstand
how Grant County's multimodal options are being serviced. Elements of this analysis include:
• Existing conditions and historical trends that produce a baseline for understanding the collision
environment that leads to serious injury and/or fatalities. Contributing factors for review will
include, at a minimum, location, severity, collision type, modes involved, time of year da etc.
Quantitative �o�l�s�®n data will have an overlay of environmental justice areas identif• ied in the
County based on, local, regional, or federally available data
• Equity -focused analysis of system safe•ty needs can be identified •by looking at demographic data
for race, ethnicity, incomep transportation access, proximity to economic centers, availability of
recreation options, and distance to common pedestrian generators
A focus will be on arterial and collector level roads; information provided by the County

PHASE I, TASK 3 ~ Review Policies and Best Practices
Review of policies and best practices will provide a foundation for understanding the history and
current climate around development and expansion regulation while also offering a starting point
for potential new directions by complementary county or city jurisdictions. Elements •include:
• Comprehensive, multi-level, multi -sector literature review with an over of -

o Publications from multimodal industry leaders
• Review of FHWA and WSDOT reporting requirements, methods by which other state or
federal safety targets are set, and assessments of the most effective methods used to achieve

• Complete assessment of current County policies, plans, f unding programs, guidelines, and/or
standards to identify opportunities to improve how processes prioritize transportation safety
PHASE I, TASK 4 N Prioritization of Strategies and Proiects
Prioritization of safety strategies and improvement projects will provide the County with
actionable, realistic steps for implementation. This guidance will include:
• Development of a priority list of safety strategies and improvement projects that includes all
modes emphasizing vulnerable roadway users and equity/environmental justice considerations
• Identification of a 5 -year project scope, justification, and schedule
• Use the Safe System Approach for development with a primary focus on safe roads/people
• Include physical (infrastructure/facilities) and social (outreach) strategies
• Commit to attend up to ten 2 -hour meetings with County staff to identify candidate
transportation safety projects to be included in future rounds of SS4A applications and other
relevant safety funding opportunities as aligned with the scope
