CONTRACT
THIS CONTRACT ("Contract"), entered by and between GRANT COUNTY duly
organized and operating under and by the Constitution and the laws of the State of Washington
("County"), and MASONRY RESTORATION AND CONSULTING LLC. a Limited'
Liability
corporation duly formed and doing business in the State of Washington("Contractor").g
In consideration of the mutual promises and covenants contained herein' the parties
hereto agree as follows:
1. Work of Contract/Scope of Work. The Contractor shall do all work and furnish all tools,
materials, equipment, and things of every description necessaryto complete the tasks and
com lp scope
of work as per the request for proposals and this contract for the Grant County Courthouse -
Limited Restoration Project. "Work" means all work individually and collective) performed
. y y p formed
by the Contractor during the project.
The Contractor will be responsible for doing all the work to : complete the following:

a Cheek wall restoration, as referenced in the RFP document, following the Standards
for the Rehabilitation of Historic Properties
b. Fluted Columns, as referenced in the RFP document, followingthe Standards

recovery and removal of equipment, trash, and debris.

Terra -Cotta.

2. Pro' ect Site. The work shall be accomplished upon the real property ycommon) known as
the Grant County Courthouse, situated on or about 3 5 C Street NW Ephrata, Washington, p g , or as may
be more specifically directed at the sole discretion of the County.
3. Date of Commencement and Date of Completion. The Contractor shall commence the

work described herein upon receiving notice to proceed from the County beginning at a time
mutually agreed upon by the parties after having obtained all necessary permits/bonds.
Substantial completion of the work shall occur by June 30, 2024, unless delays beyond the
control of either party cause the date to be extended. This date will not be extended without
approval by the County.
4. Contract Sum and Terms. The agreed Contract sum, set except for provisions p p forth below
in Paragraph 13, and with payment of such Contract Sum subject to provisions s
.. J p et forth below
in P aragraphs 8 and 11, and any other provision contained within the Contract which may affect such
Contract Sum to be paid to Contractor, is as follows:

requiring a notice of completion to be filed and approved before releasing
retainage.

of wages paid are required to be submitted to Washington State Labor and

Industries according to RCW 39.12.040.
c. Payment Interval and Billing The Contractor shall submit a monthly billing
statement and invoice to the County. Such billing statement and invoice shall set out
the nature of the work performed, the time and materials involved, or the percentage
of work completed as mutually agreed upon by the Contractor and the County.
The County will pay such a statement and invoice within thirty (30) days of
receipt.
5. Performance and Payment Bonds: Required for thisJro'ect.

6. Indemnity and Hold Harmless. The Contractor shall defend indemnify, and hold the

damages, losses, or suits, including attorney fees, arisingout of or in connection ection with the
performance of the contract, except for injuries and damages caused b the sole g Y negligence of
the
County.
It is further specifically and expressly understood that the indemnificationr '
p ovided herein
constitutes the Contractor's waiver of immunity under Industrial Insurance title 51 RCW, solely
for indemnification. The parties have mutually negotiated this waiver. Thero '
p visions of this

section shall survive the expiration of termination of this contract.
7. Insurance. The Contractor shall procure and maintain, for the duration of this contract
insurance against claims for injuries to persons or damage to roe which may arise from
. property �Y y om or
in connection with the performance of the work hereunder by the Contractor, its agents,
representatives, employees, or subcontractors. The Contractor shallp rovide a Certification of
Insurance evidencing:
a Automobile Liability insurance with limits no less than $1,000,000 combined
single limit per accident for bodily injury and property damage; and
b. Commercial General Liability insurance written on an occurrence basis with limits
no less than $100,000 combined single limit per occurrence and $25000,000
aggregate for personal injury, bodily injury, and property damage. Coverage shall
include but not be limited to blanket contractual; p
products/completed operations;
broad form property damage; explosion, collapse, and under round(XCU)if
g
applicable; and employer's liability.
C. Worker's Compensation insurance at the limits established by the State of
Washington.
Any payment of deductible or self-insured retention shall be the Contractor's sole responsibility.
The County shall be named as an additional insured on the insurance policy concerning work
performed by or on behalf of the Contractor, and a copy of the endorsement naming the county
as an additional insured shall be attached to the Certificate of Insurance. The Contractor's
insurance shall be the primary insurance concerning the County, and the County shall be given
thirty (30) days prior written notice of any cancellation, suspension, or material change in
coverage.
8. Payments Withheld. The County may withhold or nullify the whole or part of any
payment to such extent as may be necessary to protect the County from loss or damage for
reasons including but not limited to:
a Work not within the Contract or RFP.
b Reasonable evidence that the work required by the Contract cannot be completed
for the unpaid balance of the contract sum.
c. Work by the County to correct defective work or complete the work.
d Failure by the Contractor to perform work within this Contract or RFP or
e Cost or liability that may occur to the County due to the Contractor's fault,
negligent acts, oromissions.
PROVIDED: In any case where part or all of a payment is going to be withheld for
unsatisfactory performance, the County shall notify the Contractor per RCW 39.76.011(b).

Authority of County. Suppose the Contractor fails toerform the work according g to the
requirements of the Contract Document. In that case, the Countyhall
sprovide written notice of the
deficiency to the Contractor, and the Contractor shall have seven days to correct the he deficiency in the
work. If the Contractor fails to correct the deficiency in the work within the seven days or to take
and continue all appropriate steps to initiate the corrections in the event corrections cannot be
reasonably completed in the seven days, the County may, without prejudice to other '
p � remedies: (a)
use County forces, other contractors, or other means to makeood the Contractor's deficiency,
efficiency,
and (b) deduct from or nullify the Contractor's payments the cost of such effort as described in
paragraph 8 of this agreement.
9. Warranty of Construction. In addition to any special warranties provided '
the C p p elsewhere in
Contract Document and companion or applicable documents, the Contractor warrants that all
work conforms to the requirements of the Contract and is free of an defect i '
y n equipment,
material, or design furnished or workmanship performed by the Contractor.
Concerning all warranties, express or implied, for workerformed or materials als furnished
according to the Contract and companion or applicable documents the Contractorshall. •

10. Successors and Assigns. The County and Contractor respectively bind themselves, their
partners, successors, assigns, and legal representatives to the other a �hereto and topartners,

11. Changes in Work. The County may, at any time and without notice to the Contractor's
surety, order additions, deletions, revisions, or other changes in the work. These changes in the
work shall be incorporated into the Contract Document through the execution of
g Change Orders.
Suppose any change in the work ordered by the County causes an increase or decrease
in the
Contract Sum or the performance time. In that case, ane equitable adjustment shall q � all be made, and
such adjustments(s) shall be incorporated into a Change Order.
If the County desires to order a change in the work, it may re a written Y uest q en Change Order
proposal from the Contractor. The contractor shall submit a Change Order proposal within 14
days of the request from the County or within
such othereriod as mutually y agreed. The

contractor's Change Order proposal shall include total compensation for implementing th

proposed change in the work, including any adjustment in the contract sum or time of
performance, and including compensation for all delays in connection with such change in the
work and for any expense or inconvenience, disruption of schedule or loss of efficiency or
productivity occasioned by the change in the work. Upon receipt of the Change Order
p g proposal
or a request for equitable adjustment to the contract sum or time oferformance the County

may accept or reject the proposal, request further documentation, or negotiate acceptable terms
with the Contractor.

Pending agreement on the terms of the Change Order, the County may direct the Con
. ty y tractor to
proceed immediately with the Change Order work. The contractor shall notw roceed with th any
change in the work until it has obtained the County's approval. All work done under
any county -
directed change in the work shall be executed per the Contract.
12. No Agency Relationship. Neither the Contract nor any agreement a implied p therefrom
constitutes the Contractor as an agent or legal representative of the Countyfor
any purpose
whatsoever, and the Contractor's relationship to the Countybecause of the Contract
Document
shall be that of an independent contractor. The Contractor -is not granted any expressimplied
right or authority to assume or create any obligation or responsibility on behalf of or i
p � n the name
of the County or to bind the County in any manner or thing whatsoever.
13. Clean Up. The contractor shall always keep the project site including hauling
. ... p J � g ng routes,
infrastructures, utilities, and storage areas, free from accumulations of waste materials. Before
completing the work, the Contractor shall remove its rubbish, tools, scaffolding,equipment,
and
materials from the premises. Upon completing the Work, the Contractor shall leave theJ ro'ect
site in a clean, neat and orderlyconditionp
that is satisfactory to the County. If the Contractor
fails to clean up as provided herein, and after reasonable notice from the County, the County
may do so, and the cost thereof shall be charged to the Contractor.
14. Survival. If any clause or provision of this Contract shall be invalid the remaining
' ' � ng clauses
and
provisions shall nevertheless be and remain in full force and effect.
15. Entire Agreement. The Contract embodies the entire agreement between the •
�' parties, all
other agreements, oral or written, are now merged and superseded by the Contract. There are no
other agreements which modify or affect the terms hereof. No amendment hereto shall be
binding unless the terms thereof are in writing and signed b both parties. Time is of
y p the essence.
No verbal or other agreements modify or affect the Contract.
16. Explanation of Documents. The Contractor has thoroughly reviewed the Contract. The
Contractor has had the opportunity to consult with legal counsel as to the legal effect of the
Contract.
17. Notices. All notices required under the terms hereof are to be in writingd
and
personally to the party to receive the same or mailed by regular mail re g �osta e p g prepaid ai
d to the
address specified adjacent to the parties' signatures. All notices shall be deemed served upon

delivery thereof or three (3) days following deposit of the notice in the U. S. mail as required herein.
Headings, Construction. The headings of the sections and paragraphs are inserted - p gr p solely for the
convenience of the parties. They are not a part of and are not intended toovern g , limit, or aid 'n
constructing any term or provision hereof. In construing the parties' intent regarding
significant or stricter g g

g ricter construction of any term or provision hereof shall
be asserted against the county as drafter.
18. Govemina, Law, Venue. The performance and interpretation of the e Contract Document
shall be
governed and interpreted by the laws of the State of Washington. Any litigation arising
from or in connection with this Contract shall be conducted in Grant County, Washington.

Grant County Washington Request for Proposals
Limited Restoration -Grant County Courthouse
Terra Cotta Tile and Block; Granite Base Restoration. Cleaning and
repointing of Courthouse tiles and columns.
Grant County Courthouse, Ephrata, WA
Grant County is inviting qualified companies to provide proposals for the cleaning and
restoration of various historical elements to a courthouse on the National Register of Historic
Places specifically, the Grant County Courthouse at 35 C Street NW in Ephrata, WA.
Interested bidders should examine the included request, download available documents and
view the photo log. Please contact the Director of Central Services with questions or '

Intent/Scope
This proposal intends to identify and contract with a qualified contractor familiar, experienced,
and professionally known in restoring historic buildings specifically, terracotta the andg ranite.
Grant County would like to see this work begin as soon as is practical in the spring of 2024.

The cheek walls are made of glazed terra cotta blocks. Blistering and spalling have occurred
over time. It is believed the damage has been caused by the intrusion of water where the steps
p
meet the walls, from cracks in the terrazzo portico, through deteriorated grout lines between the
blocks, or a combination of the three.
The steps have been addressed, with their deterioration being repaired and a waterproof stem
� Y
at the intersection to stop water intrusion. Likewise, the terrazzo portico has been repaired and
sealed, and the areas where water intrusion may have occurred have been remedied.
The remaining work is to repair the blistering and spalling or to have the blocks rebuilt and
replaced, whichever action would best restore the walls to their original condition. Rep oint the
blocks and address the deteriorated grout between the blocks.
Terra Cotta: Clean, repair, recoat spalled glazing; repoint mortar. Leave intact and in original,
well-maintained condition.
Contractors should provide a proposal profiling the work required, how it will be
performed, and the cost to repair/restore the cheek walls. They should also provide a
maintenance plan for County forces to execute after the restoration.
The Contractor will assess whether existing blistering and spalling of the terra cotta blocks can
be repaired or if replacement blocks are needed. If replacement blocks are deemed necessary,
they shall have the exact dimensions, design, and material as existing terra cotta blocks. Once
repaired/replaced, blocks will be repointed with approved grout and finished tooling replicate
licate

historic tooling. Proposed methods and specifications for terra cotta repair and cleaning will be
p g
submitted to County staff for review and approval before implementation.
The fluted columns set upon the steps are the main focal point of the Courthouse. Theg rout
used when the Courthouse was built is very soft and needs repair or replacement. During the
restoration in 2016, this was done to some extent but needed to be further repaired or replaced,
ensuringno water p p '
er intrusion could damage the tale that makes up the columns.
Terra Cotta: Clean both tiles and columns. Repair, recoat spalled glazing; rep oint mortar. Leave
intact and in original, well-maintained condition.
Contractors should provide a proposal profiling the work required, how it will be
performed, and the cost to repair/restore the columns. They should also provide a
maintenance plan for County forces to execute after the restoration.
Repointing to include the plinths on which the columns sit, along with each section of the
column. Repointing is done with approved grout and finished toolingto replicate historic tool'
p tooling.
Contractors proposed methods and specifications for repointing fluted columns to be submitted
to County staff for review and approval before implementation.
The Courthouse's foundation is laid upon large granite slabs whose faces are deterioratin g an d,
in some areas, have been broken or damaged. The granite slabs encircle the entirep erimeter of
the Courthouse. This work will seek to repair the damage and seal the
granite, protecting it from
the outside elements.
Granite Base: Clean and remove loose impediments and scaling. Repair where required and se
p q al
granite, preventing future moisture intrusion. The contractor will assess slabs that need repair
and developtreatment plan for addressing p
a p g deterioration. Proposed methods and specifications
for granite repair are to be submitted to County staff for review and approval before
implementation.
Contractors should provide a proposal profiling the work required, how it will be performed,
and the cost to restore the bases. They should also provide a maintenance plan for County
forces to execute after the restoration.
The fluted lamps stand on terra cotta brick emplacements at the front of the cheek walls. The
lamps are original with a cast iron base and a fluted metal body with a single, simple lobe
. Y g � p g
hiding a single bulb on the top. Sadly, the cast iron bases have cracked and are not repairable,
p e,
and the lamps must be replaced. Worse, the manufacturer of these lamps is still in business and
d
boasts that they have the molds for nearly all courthouse lamps across the count that were
nine p country built
ninety to one hundred (plus) years ago. They do not have Grant County's molds, and when asked
if they would like to find a suitable alternative, they declined an interest in supplying
Y the
Courthouse with lamps. They have been approached twice.
Grant County has found suitable replacements and will provide them for installation.
Coordination will occur between the selected Contractor and the County to install the lamps.
Time Capsule. When the Courthouse's cornerstone was laid, a time capsule was included with
numerous articles inside. The County intends to perform a public ceremony,opening o enin the capsule
and reviewing the articles it contains. Those articles will belaced back into the vault with new
ew
items for an opening 100 years from now.
Contractors should provide a proposal profiling the work required, how it will be performed,
and the cost to remove the capsule, affect any required repairs, and reinstall once completed.
Contractors Responsibility
All work to the courthouse must be completed in a manner that complies with the Secretary y of
the Interior's Standards for the Rehabilitation a Historic Properties.
