CONSULTING SERVICES AGREEMENT
AMENDMENT
THIS AMENDMENT to the Consulting Services Agreement ("Agreement"), is
made by and among GRANT COUNTY ("County"), County's attorneys. NOSSAMAN
LLP ("NOSSAMAN"), and PARAMETRIX, INC. ("Consultant") as of June 1, 2020.
Individually, County, NOSSAMAN, and Consultant are each a "Party"; collectively, they
are the "Parties".
RECITALS
A. County, County's attorneys, Heller Ehrman LLP, now succeeded by
NOSSAMAN, and Consultant entered into a Consulting Services Agreement
("Agreement"), in 2006.
B. Consultant compensation basis for expenses was for actual costs incurred.
C. The Parties hereby agree to shift to a Per Diem cost basis for meals and
lodging for employees traveling for project purposes and performing project work away
from their ordinary work location.
AGREEMENTS
Agreement Section 3. Compensation and Payment, subsection 3.1 Rates is amended by
adding the following expense cost basis:
Meal and lodging expenses for Consultant and subconsultant and subcontractor
employees traveling for project purposes and performing project work away from
their ordinary work location shall be on a Per Diem cost basis at the current rates
established by the State of Washington Office of Financial Management for travel
within Washington State or the United States General Services Administration for
travel outside Washington State.

Agreement
Dear Jim McKiernan:
This letter and attached Grant County Fairgrounds Economic Impact Study Contract
Scope Of Work will constitute our consultant agreement between Community Attributes
Inc. (CAI or Contractor) and the Grant County Fairgrounds (or Client). CAI will meet
the conditions, scope of services, and schedules described in the Scope of Work
(Attachment A).
Scope of Work
The scope of work presented in Attachment A. In general, Community Attributes will
provide an economic impact analysis and study on the benefits of the Grant County
Fairgrounds to the City of Moses Lake, Grant County and statewide.
Fee
CLIENT will pay CAI $30,000 for the scope of services.
Project Administration
Chris Mefford, at Community Attributes, will be Community Attributes primary contact
and contract manager. All correspondence about the contract, fees or scope of work
should be addressed to him.
Billings and Payments
CAI will submit billings to Grant County on a monthly basis, reflecting progress toward
deliverables. The Client will pay CAI within 30 days of receipt of invoice. Total payment
not to exceed $30,000.

Termination and Disputes
This agreement may be terminated by either party if either party is dis-satisfied with
the progress due to actions or inactions of the other party. This agreement may also be
terminated by either party if events outside the control of either party frustrate the
purposes of this agreement. Community Attributes shall then bill CLIENT for all
services performed though the effective date of the termination, for such services
performed in a satisfactory manner under the terms of this agreement.
Indemnity
Community Attributes Inc. agrees to indemnify and hold the client harmless against
loss or liability arising from the negligent acts or omissions of CAI's employees and
agents. The Client agrees to indemnify and hold CAI harmless for assumptions made in
the analysis that change after CAI's engagement. The project is analytical in nature, not
advisory, and many decisions will be made that may not reflect the assumptions and
analysis.

ATTACHMENT A: SCOPE OF WORK
At the outset of we will establish key milestones, deliverables, timeline, and
key staff for continued coordination. Our project management approach will
include interim check-in conference calls as needed to discuss findings and
work in progress as well as monthly progress reports.
Task 1. Data Gathering and Direct Operations Impacts
Our analysis will begin with a comprehensive data gathering effort. Sources
will include, but are not limited to:
• Institutional and operations data from Grant County
Fairgrounds. Data and lists of businesses working with and operating at
the Fair and Fairgrounds hosted events, Grant County Fairgrounds
employee headcounts, operations budget, admissions and spending.
• Washington State Employment Security Department. For estimates
of workers among fair operations and vendors.
• Washington State Department of Revenue. For estimates of business
revenues among fair businesses and operations.
• Private Business Directories. Auxiliary sources of data on business
payroll, revenues and other indicators on a firm -by -firm basis.
We will use the above sources to produce estimates of the annual and
seasonal direct impacts of Grant County Fairgrounds operations, including
jobs, income and business revenues, with breakouts by activity, such as,
vendors and fair administrative operations.
Event Participants and Attendees Survey
We will additionally develop a survey to collect primary data from event
participants (vendors, exhibitors) and attendees to build a complete data set
of event attendance and vendor operations. We will leverage the survey to
collect demographic data on event participants and attendees and identify
potential improvements to the Fairgrounds. Grant County and Fairgrounds
staff will help disseminate the survey, leveraging the relationships they have
with vendors, exhibitors and event attendees.

Task 2. Visitor Spending Impacts
This task will entail estimating the number of visitors at the Fair and the
Fairground hosted events, the spending profile of these visitors and the total
spending impact over the calendar year. The combined event and Fair
attendance data and visitor spending profile will be used to estimate total

spending by Fair and event attendees as well as the per person spending per
day at the Grant County Fair.
Fair Visitor Survey
We will develop a survey instrument to be distributed through an intercept
survey to Fair and Fairgrounds event attendees and engage a survey vendor
to disseminate the survey at the 2021 Grant County Fair. The survey will
have a maximum of ten questions. Questions will focus on visitor spending on
site as well as outside the Fairgrounds on lodging, food services,
entertainment and other travel costs. The survey will also aim to gather
demographic data on visitors, including residence, distance traveled and
income as well as information on suggested improvements to the
Fairgrounds.
Task 3. Local, Regional and Statewide Economic Impacts
Total economic impacts will include additional jobs, income and business
revenues supported through upstream business -to -business transactions
(indirect) and worker income expenditures elsewhere in the economy
(induced). The Washington State Input -Output Model will serve as the
primary analytic tool for assessing total economic impacts.
Economic impacts will be computed for direct operations -based activities and
visitor spending. We will also estimate local and regional impacts through a
customized Washington State Input -Output Model. We will work
collaboratively with Grant County Fairgrounds staff to confirm the
appropriate geographies for inclusion in this analysis, starting with the City
of Moses Lake, Grant County and Washington state.
Task 4. Stakeholder Outreach
In order to more thoroughly understand the spending and lodging choices of
out-of-town visitors, as well as the tourism impacts of visitors on local
business, CAI will leverage Grant County's relationships with surrounding
hotels and businesses to conduct 4-6 in-depth interviews. Interview questions
will be designed to collect insight on how Fair and Fairgrounds event visitors
benefit the local community, including business revenues from hotel stays,
restaurant visits and other impacts to the local community.
CAI will also conduct further outreach with County and Fairgrounds staff
and other stakeholders to:
Develop a list of areas for the greatest potential return on investment
with regards to facility improvements as well as potential programming
improvements. This will be in addition to any information on

improvements from participants and attendees gathered through the
surveys.
Assess the impact of Fair and Fairgrounds event participation on youth.
We will focus on educational impact from 4-H participation as well as
social and cultural impact.
Findings will be integrated into the draft and final reports.
Task 5. Draft and Final Reports
Draft and final products will include a full report, including graphs, data
exhibit and summary and technical addenda. The report will include a
concise executive summary designed to serve as a stand-alone briefing
document. Our firm also has deep expertise in graphic design and data
visualization to help tell the rich story of the economic impacts and reach of
the Grant County Fairgrounds. We will use this expertise to develop draft
and final reports that convey the economic impacts of the Grant County
Fairgrounds in concise and everyday language supported by charts and
graphics.
Meeting: One final in-person presentation to an audience of the Grant
County's choice
Schedule and Budget
CAI will complete the above scope of work by October 2021 for a budget of
$30,000. Analysis will cover the economic impacts of the Grant County
Fairgrounds in 2021, including events hosted at the Fairgrounds in 2021 and
the Grant County Fair in August of 2021.
CAI and Grant County will schedule a project kick-off in late 2020 or early
2021 to develop project schedule, milestones and facilitate data collection
throughout the 2021 calendar year.
