RESOLUTION AUTHORIZING RESOLUTION No. 19- -CC
EXECUTION OF INTERLOCAL
AGREEMENT BETWEEN GRANT
COUNTY AND ADAMS COUNTY
WHEREAS, Chapter 39.34 RCW, the Interlocal Cooperation Act, permits local governmental
entities to make the most efficient use of their powers by enabling them to cooperate with other localities
on a basis of mutual advantage, for the purposes of providing services and facilities in a manner and
pursuant to forms of governmental organization that will accord best with geographic, economic,
population and other factors influencing the needs and development of local communities; and
WHEREAS, Grant County, Washington, a political subdivision of the State of Washington, by
and through Grant County Public Works, and Adams County are vested with authority to enter into an
interlocal agreement pursuant to chapter 39.34 RCW; and
WHEREAS, the County and Adams County in the interest of better administration and more
effective measures as applies to all future maintenance of and improvement to the County Roads lying on
the boundary between the two counties; and
WHEREAS, Grant County and Adams County desire to memorialize the terms and conditions of
the Agreement between the parties regarding the maintenance of and improvement to the County Roads
lying on the boundary between the two counties.
NOW, THEREFORE, BE IT RESOLVED, that the Interlocal Agreement Regarding Future
Maintenance of and improvement to the County Roads lying on the boundary between Grant County and
Adams County be executed by and between the aforementioned parties.

Adams County and Grant County INTERLOCAL AGREEMENT for Road Maintenance
This agreement made and entered into this 'by and between
Adams County and Grant County, both political subdivisions of Washington; in the interest
of better administration and more effective measures as applies to all future maintenance
of and improvement to the County Roads lying on the boundary between the two counties;
contemplate equal divisions of responsibility as follows:
1. Maintenance
The roads or parts thereof which shall be the sole responsibility of each
county are identified on the table in Exhibit A and color coded on Exhibits B
through E maps.
2. Improvements (Construction)
The division of costs for all improvements henceforth undertaken shall be
on the basis of equal shares to each county of the total cost of
materials, labor and equipment rental, and all such future improvements
shall be subject to approval by both counties in advance of any work to be
undertaken. Further, there shall be a clear understanding of the amount and
kind of work to be performed by each county, with proper accounting of the
cost, to insure equal sharing regardless of which county may have, by pre-
arrangement, contributed the greater amount of value to the improvement.
The county which shall have contributed the lesser value to each such
improvement shall reimburse the other by the amount necessary to equalize
the total cost between the counties.
3. Permits for building access onto County maintained roads
Each county will forward permits for all shared roads, regardless of the side the
parcel falls in, so that both Engineers and/or their techs may review the work to
be done. The County granting the final permit will be the County that the parcel
resides in; fees will only be due to the granting County and shall be in accordance
with the applicable fee schedule. Permits will be reviewed in a timely manner to
maintain a 2 weeks turn around time.
4. Termination of Agreement
Each county can terminate this agreement at will and without cause by giving
a thirty (30) day written notice of their intent to the other county.
5. Time for Beginning and Completion
This Agreement shall commence on the latter of the dates signed by the parties
below and shall continue for a period of twelve (12) months, unless terminated
sooner in accordance with the provisions of this Agreement. Thereafter, this

Agreement will automatically continue until either party provides notice of
termination in accordance with the provisions of this Agreement.
6. Indemnification
Adams County and Grant County each agree to indemnify one another
to the extent of the indemnitor's negligence as permitted in RCW 4.24.115.
7. Assignment
This Agreement may not be assigned in whole or in part by either party, without prior
written approval of the other party.
8. Modification
This Agreement may be modified, amended, changed or terminated, in whole or in
part, at any time, only upon the mutual written consent of both counties. A copy of
any such written consent shall be appended to this Agreement and by this reference
incorporated herein.
9. Dispute Resolution
Adams County and Grant County agree that any dispute arising out of this
agreement shall first be attempted to be settled through negotiations by appointed
representatives of the parties involved. Each party shall appoint a representative to
a dispute panel. Those representatives shall mutually agree on a third person to
chair the panel. The dispute panel shall thereafter decide the dispute with the majority
prevailing. No party shall have recourse to the courts unless and attempt has been
made to settle the dispute under the mechanism set forth herein.
Any notice required to be given by either party to the other shall be deposited in the
United States mail, postage prepaid, addressed to the County at the Adams County
Commissioner's Office, 210 W. Broadway, Ritzville, Washington 99169, or to Grant
County Public Works Director at 124 Enterprise Street SE, Ephrata, Washington
98823.
10. Partial Invalidity
Any provision of this Agreement which is found to be invalid or unenforceable shall be
ineffective to the extent of such invalidity or unenforceability, and the invalidity or
unenforceability of such provision shall not affect the validity or enforceability of the
remaining provisions hereof.
11. Entire Agreement

This Agreement shall contain all of the terms and conditions to be agreed upon by the
parties. No other understandings or representations, oral or otherwise, regarding
the subject matter of this agreement shall be deemed to exist or bind the parties.
12. Headings
The section headings, captions and titles contained in this agreement are intended
for convenience and reference only, and are not intended to define, limit or describe
the scope or intent of any provision of this Agreement.
