WHEREAS, pursuant to R.C.W. 36-01 .010 and R.C.W. 36.32.120 the
legislative authority of each county is authorized to enter into contracts on
behalf of the County and have the care of County property and management
of County funds and business; and
WHEREAS, the Board of Grant County Commissioners constitutes
the legislative authority of Grant County and desires to enter into this
arrangement as being in the best interest of Grant County,
NOW, THEREFORE BE IT HEREBY RESOLVED, that the Personal
Services Contract for a Columbia Basin Ground Water Management Area
between Franklin Conservation District and The Evans/McDonough
Company, Inc. is hereby approved.

At the monthly meeting of the Columbia Basin GWMA Administrative Board held on
August 22, 2001, it was agreed to extend a Contract to Evans/McDonough Company, Inc.
This Contract is for the conducting of a Public Opinion Survey to determine the public's
knowledge of GWMA, and the most effective means to communicate with the public. This
will be the 2"d survey conducted for GWMA by this firm. The original survey was completed
in the fall of 1999, and this survey will be designed to determine changes in public perception
about GWMA and its mission to reduce nitrates in groundwater.
The Contract being extended to Evans/McDonough is for $15,000 which is below the
projected budget for the Survey. After review. it was evident that this company has the
expertise and personnel to accomplish the Surve) needed. A copy of the proposed contract is
attached with this communication.
We would request that each of the Counties draft a Resolution approving the awarding
of the Contract and designating the Franklin Conservation District as the holder and
administrator of the Contract for GWMA, and the Counties involved. Please forward your

Dear Peggy:
At the meeting last night of the GWMA Administrative Board, it was decided to measure GWMA's progress
over the past several years by re -conducting a public information survey. The same firm,
Evans/McDonough, that conducted our initial survey has agreed to conduct this survey at a reduced cost to
GWMA.
We would appreciate receiving a Resolution from the Commissioners agreeing to allow GWMA to conduct
this survey. I have also attached a draft copy of a proposed contract for Evans/McDonough.
The Resolution from Grant County to allow our original survey was numbered 99 -145 -CC.

Personal Services Contract
For a
Columbia Basin Ground Water Management Area Public Opinion Survey
For the
COLUMBIA BASIN GROUND WATER MANAGEMENT AREA
administered by the
FRANKLIN CONSERVATION DISTRICT
THIS contract is a valid, binding contract made and entered into between the Franklin
Conservation District, hereinafter referred to as the FCD, and The Evans/McDonough
Company, Inc., 1633 Bellevue Ave, Ste. A, Seattle, WA 98122, a Subchapter C Corporation of
the State of Washington and authorized to do business in the State of Washington, hereinafter
referred to as the CONSULTANT.
The Columbia Basin Ground Water Management Area (GWMA) is conducted by
Franklin, Grant, and Adams Counties with Franklin County as the fiscal lead. Through an
Interlocal Agreement/Contract, Franklin County has assigned to the FCD the authority,
responsibility, and liability to conduct the fiscal task
GWMA has received a grant to conduct this project from the United States
Environmental Protection Agency, Region 10 (Assistance Agreement No. X-980513-01-0).
GWMA, at their Administrative Board meeting on July 25, 2001, directed S. C.
Communications to issue Requests for Proposal (RFP) and conducted a process which resulted in
the selection of the CONSULTANT to conduct the Scope of Work described in the RFP, which
is attached and incorporated as part of this document
Therefore, in consideration of mutual benefits to be derived from this agreement, which is
a Personal Services Contract, the FCD and CONST I PANT agree as follows:
A. SCOPE OF WORK:
The CONSULTANT shall be responsible to carry out the scope of work described in the
attached RFP.
B. PERIOD OF PERFORMANCE:
The period of performance of this agreement shall commence upon approval and
signature of both parties, and be completed by September 26, 2001, unless extended or
terminated sooner as provided herein. Following approval by the Commissioners of Franklin,
Adams, and Grant Counties, work may begin and costs incurred beginning August 31, 2001.

C. INCONSIDERATION WHEREOF:
The FCD shall pay the CONSULTANT as follows:
a. Amount: The FCD agrees to reimburse the CONSULTANT for services in an
amount not to exceed $15,000 of allowable and grant eligible costs, and the
CONSULTANT agrees to complete the Scope of Work as described in the attached
RFP for the budgeted amount.
b. Method of Compensation: Payment will be made at the completion of the survey and
following the presentation and approval of the survey results to the Columbia Basin
GWMA Executive Board in their September 27, 1999, meeting. Payment will be
made for grant eligible costs that are properly documented during the time period
involved. Payment will be made upon submission to the FCD of an invoice from the
CONSULTANT showing a request for project work. Payments may be withheld if
adequate and timely progress is not made by CONSULTANT toward accomplishing
the work. Payment by the FCD will be made after the FCD Board meeting approval,
usually the third Tuesday of the month.
C. Final Request for Payment: The CONSULTANT must submit a request for
compensation by October 30, 2000, unless the Contract is amended.

All notices, invoices, and other material to be delivered under this Agreement shall be in
writing and shall be delivered or mailed to the following addresses:

GENERAL TERMS AND CONDITIONS
All rights and obligations of the parties to this agreement shall be subject to and governed by the
General Terms and Conditions contained in the text of this section.
* SCOPE OF SERVICE: The CONSULTANT agrees to complete in satisfactory and proper
manner, as determined by the FCD, the services and activities described; PROVIDED, however,
that such determination is subject to and conditioned by the FCD, through its audits and
inspections, to which the CONSULTANT hereby agrees. All records supporting the request for
payment shall be maintained for one year in a manner which will provide an audit trail to the
expenditures for which EPA support is provided. Original source documents shall be maintained
by the CONSULTANT and made available to the FCD or a duly authorized audit representative
upon request. A daily diary of time spent by activity, with a brief narrative, is suggested.
Records should be kept in a common file to facilitate audits and inspections.
* TERMINATION: Either party may terminate this agreement upon five (5) days written or
other appropriate notification. In that event, all finished or unfinished documents, reports, or
other materials prepared by the CONSULTANT under this agreement shall become the FCD's
property, and the CONSULTANT shall be entitled to receive just and equitable compensation for
any, satisfactory work completed on such documents and other materials. If this agreement is so
terminated, the terminating party shall be liable tml, for performance occurring prior to the
effective date of said termination.
* SAVINGS: In the event funding from federal or other sources is withdrawn, reduced, or
limited in any way after the effective date of this agreement and prior to normal completion, the
FCD may terminate the agreement under the "Termination" clause. and/or renegotiate under
those new funding limitations and conditions.
* CONTRACT MANAGEMENT: The work described herein shall be conducted under the
coordination of the FCD District Manager, Mark Nielson, who shall approve changes and
payments in consultation with the FCD Board. The CONSULTANT's point of contact will be
Scott Cave of S.C. Communications. and Lynn F. Hall. Administrator. Columbia Basin GWMA.
* DISPUTES: In the event that a dispute arises under this agreement, it shall be resolved as
follows: The FCD and the CONSULTANT shall each appoint a member to a Dispute Board,
who shall jointly appoint a third member to the Board. The Dispute Board shall make a decision
resolving the dispute. The determination of the Dispute Board shall be final and binding on the
parties hereto.
* ORDER OF PRECEDENCE: In the event of inconsistency in this agreement, unless
otherwise provided herein, the inconsistency shall be resolved by giving precedence in the
following order: (a) applicable Federal and State ,tatutes and regulations; (b) Scope of Work;

(c) Special Terms and Conditions; (d) the General "Perms and Conditions of this Contract; and
(e) Any terms incorporated herein by reference OMB Circular A-87, including the "Cost
Principles for State, Local, and Indian Tribal Governments" and Part 31 of the "Uniform
Administrative Requirements for Grants and Cooperative Agreements to State and Local
Governments".
* AGREEMENT ALTERATIONS AND AMENDMENTS: The FCD and the CONSULTANT
may mutually amend this contract. Such amendments shall not be binding unless they are in
writing and signed by personnel authorized to bind the CONSULTANT and the FCD.
* THE CONSULTANT: Agrees to observe and comply with all laws, regulations, and policies
of the United States and the State of Washington. In the event of noncompliance or refusal to
comply, this contract may be rescinded, canceled, or terminated in whole or in part and the
CONSULTANT declared ineligible for further agreement with the FCD. The CONSULTANT
shall, however, be given a reasonable time in which to cure any noncompliance. Any dispute
may be resolved in accordance with the "Disputes" procedure set forth herein.
* CONTRACTUAL RELATIONSHIP: This agreement does not constitute the
CONSULTANT as the agent or legal representative of the FCD or GWMA, and the relationship
of the CONSULTANT to the FCD or GWMA by reason of this Agreement shall be that of an
independent contractor. The CONSULTANT is not granted any express or implied right or
authority to assume or create any obligation or responsibility on behalf of or in the name of the
FCD or GWMA, or to bind the FCD or GNN7MA in an} manner or thing whatsoever.
* PERFORMANCE:
a. Performance Reporting: The CONSULTANT shall submit written reports to the FCD,
which shall include activities and plans. The CONSULTANT shall also include in the
report any problems, delays, or adverse conditions which will materially affect the
ability to meet project objectives, time schedules, or work units. This disclosure shall
be accompanied by a statement of the action taken or contemplated, and any FCD
assistance needed to resolve the situation. Payments may be withheld if required reports
are not submitted.
b. Liabilitv for Performance: To the extent that the Constitution and laws of the State of
Washington permit, the CONSULTANT shall indemnify and hold the FCD and
GWMA harmless from and against any liability for any or all injuries to persons or
property arising from the negligent act or omission of the CONSULTANT arising out
of this contract, except for such damage, claim, or liability resulting from the sole
negligent act or omission of the FCD and t NAIA.
c. Release of Information or Materials: The CONSULTANT will not release any
information or materials developed pursuant to this contract without prior authority
from the FCD, unless the CONSULT AN -1 is required to do so by state and federal law.

d. Wages and Job Safety: the CONSULTANT agrees to comply with all applicable laws,
regulations, and policies of the United States and the State of Washington which affect
wages, job safety, and industrial insurance.
* ALL WRITINGS CONTAINED HEREIN: "This contract contains all the terms and conditions
agreed upon by the parties. No other understandings, oral or otherwise, regarding the subject
matter of this contract shall be deemed to exist or to hind any of the parties hereto.
SPECIAL TERMS & CONDITIONS
1. The CONSULTANT may not sub -contract duties under the Scope of Work without approval
of the FCD.
2. The FCD will review and approve CONSULTNNT requests for equipment prior to their
purchase.
3. The CONSULTANT agrees to utilize, to the maximum extent possible, minority and women -
owned businesses in purchases.

REQUEST FOR PROPOSAL (RFP)
for a
Public Opinion Survey
in an amount
Not To Exceed $15.000
from
August through September, 2001
The Columbia Basin Ground Water Management Area (GWMA) is currently soliciting
proposals for a Public Opinion Survey to determine the most effective means to communicate
with 1) the general public, and 2) specific stakeholders to encourage voluntary implementation of
plan recommendations.
The GWMA project is being conducted by Franklin, Grant, and Adams Counties with
Franklin County as the fiscal lead. The contact for this RFP and for the accounting process is the
Franklin Conservation District (FCD).
A. Proiect Overview:
The population of the three county area is approximately 120,000. The Columbia Basin
GWMA has determined that a telephone survey of a minimum of 400 residents in Adams, Grant
and Franklin Counties will yield a margin of error of +'- 4.9%. This level of statistical validity is
required.
The interviews need to constitute a statistically valid sample reflecting the correct
proportions of population, demographic and attitudinal distribution. Each interview is likely to
be between 15 and 20 minutes in length. An open ended question may or may not be included in
the survey. S.C. Communications will assist with the design of the survey instrument.
B. Goals:
The research goals are to produce data that will provide members of the Columbia Basin
GWMA with insight into public opinion about the Columbia Basin GWMA and nitrate in
groundwater, as well as aid in their decision-making process for plan recommendations and other
communication efforts.
C. Scope of Work:
The scope of work for the GWMA Public Opinion Survey Consultant is to specifically
identify the public's:
• Concern about nitrates in ground water

• Knowledge about health risks associated with nitrates in drinking water
• Knowledge about the Columbia Basin GWMA
• Perceptions of the cause of ground water problems
• Reaction to a range of communication tools
• Reaction to specific messages or solutions
• Support for likely recommendations
D. Time Line and Meeting Attendance: The following time line is required for this proposal:
August 23-30 - Develop survey plan and questionnaire
August 31 - Present survey plan and questionnaire to Scott Cave,
Paul Stoker (Coordinator/Facilitator), and Carol Miller for approval
September - Survey in the field
September 27 - Present survey results to Executive Board
The selected vendor will need to attend one Executive Board meeting, which
are typically held on the fourth Thursday of each month in Othello, Washington
(see dates in bold highlight above).
